COUNTY OF EAGLE, STATE OF COLORADO
RESOLUTION NO. 2002
RESOLUTION APPROVING CONTRACT TO BUY AND SELL
REAL ESTATE DATED FEBRUARY 12, 2002 BETWEEN EAGLE COUNTY
COLORADO, A BODY CORPORATE AND POLITIC AND /OR
ASSIGNS AND EAGLE MANOR LIMITED PARTNERSHIP
WHEREAS, Eagle County, Colorado ( "County") is a political subdivision of the
State of Colorado ( "State "), duly organized and existing pursuant to the laws and the
Constitution of the State; and
WHEREAS, Eagle County is desirous of preserving existing housing for its
elderly citizens; and
WHEREAS, Eagle Manor Limited Partnership, the present owner of the Golden
Eagle Elderly Apartments is prepared to sell said apartments pursuant to the terms and conditions
of a Contract to Buy and Sell Real Estate dated February 12, 2002 (hereinafter "Contract ")
WHEREAS, Eagle County desires to purchase the Golden Eagle Elderly
Apartments pursuant to the terms and conditions of the Contract.
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF THE COUNTY OF EAGLE, STATE OF COLORADO:
THAT, the County hereby approves (nunc pro tunc February 12, 2002) the
Contract to Buy and Sell Real Estate dated February 12, 2002, between Eagle County, Colorado,
a body corporate and politic and/or assigns, and Eagle Manor Limited Partnership and authorizes
the purchase of the following described property subject to the terms and conditions of the
Contract:
Lot 1B, Golden Eagle Elderly Housing, a resubdivision of Lot 1, Block 1,
The Bull Pasture, according to the recorded plat thereof, recorded July 18, 1985,
in Book 420 at page 259 as Reception No. 316528, as more fully described in the
attached Exhibit A. ( "subject property")
THAT, the Board hereby authorizes the Chairman of the Eagle County Board of
County Commissioners to execute on behalf of County any and all necessary documents,
instruments, papers or other forms necessary for the consummation of the sale of the property,
including assumption of existing USDA loans, which documents may include assumption
agreements, transfer of bank accounts, disclosure statements, settlement sheets as well as any
other necessary documents which are required or desirable in connection with the purchase of the
subject property and the closing of the transaction.
THAT the Board hereby ratifies, confirms, and approves all actions taken to date
in connection with the purchase of the subject property.
THAT, this Resolution is necessary for the public health, safety and welfare of the
citizenry of the County of Eagle, State of Colorado.
MOVED, READ AND ADOPTED, by the Board of County Commissioners of
the County of Eagle, State of Colorado, at its regular meeting held the APUL of
2002, Nunc Pro Tunc, February 12, 2002.
