HomeMy WebLinkAboutC93-069 Fixed Base Operators, Inc dba Vail_Beaver Creek Jet CtrC93-69-17 LEASE AGREEMENT (Oshkosh Snowplow - Eagle County Regional Airport) THIS AGREEMENT, made this /9-6C, day of March, 1993, between the County of Eagle, State of Colorado ("Owner"), and Fixed Base Operators, Inc., doing business as Vail/Beaver Creek Jet Center ("FBO"). WITNESSETH, That FBO desires to lease from Owner a snowplow; and Owner is willing to lease a snowplow to FBO, in the interest of the safety of the travelling public. WHEREFORE, Owner and FBO agree as follows: Owner does hereby lease to the FBO one Oshkosh snowplow, 1968, 4-wheel drive, with roll-over plow attachment, to be used only on the Eagle County Regional Airport. Wherever possible and practical, Owner shall perform initial snow removal at the Airport, after which FBO agrees to be respon- sible for proper removal of snow from its leased area and then from the remainder of the general aviation portion of the south - side ramp. All snow removal by FBO shall be performed to the satisfaction and requirements of Owner. FBO shall not pay any rental for the use of the snowplow; however, FBO shall pay all costs of its operation and maintenance, including licensing requirements, if any. THE TERM of said Lease is one year beginning the 1st day of January, 1993, and ending the 31st day of December, 1993. Lease shall be renewable for four successive years at the option of the FBO, upon thirty (30) days' notice to Owner. Owner, however, may repossess the snowplow for any reason upon ten (10) days' notice to FBO. FBO covenants with the Owner that at the expiration of the term of this lease, FBO will yield up the snowplow to the Owner without further notice, in as good or better condition as when the lease was entered into by the parties, loss by ordinary wear excepted. And FBO shall permit the Owner to have free access to the snowplow for the purpose of examining or exhibiting the same. IT IS FURTHER AGREED by FBO that neither FBO nor its legal representatives will sublease the snowplow, or assign this Lease, without the written consent of the Owner. FBO uses the snowplow at its own risk, and the Owner assumes no liability for damage to the FBO or its property. The FBO - for itself, its subcontractors and employees - shall indemnify, defend and hold harmless the Owner, its respective officers, representatives, employees, boards and commissions from any loss, damage, expense, theft, cost, injury, liability, claims, liens, demands, actions or causes of action, whatsoever, including reas- onable attorney's fees, arising out of or related to FBO's negligent acts, errors or omissions, whether contractual or otherwise, arising from this Lease Agreement. INSURANCE. FBO shall maintain during the term of this Lease, insurance in the following type and coverage, protecting it from claims which may arise out of or result from the FBO's operations under this Lease, whether such operations be by itself or by anyone directly employed by FBO, or by anyone for whose acts any of them may be liable: General Liability Coverage shall be carried in the minimum amount of $150,000 per person and $600,000 per occurrence, for coverage of claims for damages arising from the provisions of this Lease Agreement, including but not limited to personal injury or death, property damage. Such liability insurance shall be adjusted to comply with any changed limits in the Colorado Governmental Immunity Act, Title 24, Article 10, Colorado Revised Statutes. The provisions of this Lease Agreement shall inure to the benefit of and be binding upon the parties hereto, and their respective successors and assigns.
