HomeMy WebLinkAboutECAT11-002 Adoption of Cotnract Approval Guidelines Director F S @ r moved adoption of the following resolution: RESOLUTION ADOPTING CONTRACT APPROVAL GUIDELINES OF THE EAGLE COUNTY AIR TERMINAL CORPORATION WHEREAS, the Eagle County Air Terminal Corporation (hereinafter "ECAT ") has been duly organized for the purpose of fmancing, constructing, and operating the Eagle County Airport Terminal; and WHEREAS, the ECAT Board of Directors desires to adopt suggested guidelines for contract approval of ECAT business matters; and WHEREAS, such guidelines are intended to enhance the operational efficiencies of ECAT while maintaining appropriate Board oversight of expenditures; and WHEREAS, these guidelines should be followed except when particular circumstances warrant an alternative necessary to protect the best interests of ECAT; and WHEREAS, deviations from these guidelines must be for valid business reasons and should be brought to the attention of the ECAT Board as soon as reasonably possible. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF EAGLE, STATE OF COLORADO: THAT, the Eagle County Air Terminal Contract Approval Guidelines are hereby adopted as set forth in the attached Exhibit "A." THAT, the ECAT Board of Directors may amend or modify this Resolution or the attached guidelines in writing as necessary to protect the interests of ECAT. THAT, the Eagle County Air Terminal Contract Approval Guidelines are hereby adopted as set forth in the attached Exhibit by the Board of Directors for the Eagle County Air Terminal Corporation this 2 7r t day of October, 2011. EXHIBIT A Eagle County Air Terminal Corporation Contract Approval Process Effective Date: October 12, 2011 Purpose: To establish authorization levels and protocol for the County Manager, acting in his capacity as a Director of the Eagle County Air Terminal Corporation (hereinafter "ECAT ") to enter into contracts and agreements on behalf of the ECAT Board of Directors. Policy: 1) The Airport Director may request the County Manager enter into agreements up to $25,000 without prior approval from the ECAT Board so long as such funds have been budgeted and are available for the intended purpose. Such action by the County Manager shall be deemed action by the ECAT Board for all purposes, including but not limited to, any contract approval requirements set forth in management agreements with Eagle County. 2) Such action in entering into a contract shall be deemed ECAT Board action for all. 3) Any agreement greater than $25,000 must be placed on ECAT Board's calendar for approval at a regular meeting of the Board. Any agreement less than $25,000 that is signed by the County Manager should be disclosed for informational purposes to the ECAT Board at the next available meeting of the Board. 4) If the item is a Memorandum of Understanding (MOU) and /or agreement with no dollar value, it must nonetheless fit within the Airport's departmental goals and objectives and be entered into by either the County Manager or the ECAT Board. Procedures: 1) The Airport Director is responsible for processing agreements he /she receives or generates. 2) Prior to having an agreement executed by either the County Manager (up to $25,000), or ECAT Board (greater than $25,000), the Airport Director must obtain County Attorney's Office review and sign off' approved as to form" with signature block by both the County Attorney's Office and Administration. If any changes to the agreement, however minor, have been made after County Attorney review and approval, the contract or agreement must be resubmitted for County Attorney review. 3) It is recommended that a non - alterable version of the contract or agreement be sent to the other contracting party for signature prior to County Manager or ECAT Board signature. County Attorney review should be completed prior to sending to the other contracting party. Sending draft agreements prior to County Attorney review is discouraged. At least two signed originals should be obtained. One signed original will be retained by the County Attorney's Office. All additional originals will be returned to the requesting department for distribution to contractor /vendor and /or departmental files. This document supersedes all others.
