COUNTY OF EAGLE, STATE OF COLORADO
RESOLUTION NO. 98 -9?
RESOLUTION CONFERRING POWER OF ATTORNEY UPON MICHELLE D. MITCHELL
PRESIDENT OF COLORADO HOUSING ASSISTANCE CORP. TO ACT AS
ATTORNEY -IN -FACT FOR EAGLE COUNTY, STATE OF COLORADO, WITH
RESPECT TO THE DOWN PAYMENT ASSISTANCE PROGRAM.
WHEREAS, the Board of County Commissioners of the County of
C Eagle , State of Colorado ( "County ") entered into an Agreement for

Administering a Housing Down Payment Assistance Program ( "Agree-
ment"), with Colorado Housing Assistance Corp. ( "CHAC ") to
administer a housing down payment assistance program ( "Program ")on
behalf of the County, executed July 13, 1998; and
WHEREAS, in administering funds delivered to CHAC by the
County and funds received by CHAC from Program borrowers, making
and enforcing loans, and enforcing loans pursuant to the Agreement,
CHAC shall be acting as agent for the County; and
WHEREAS, all such funds shall be used for the benefit of the
County in accordance with the terms of the said Agreement; and
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF THE COUNTY OF EAGLE, STATE OF COLORADO:
THAT, Michelle D. Mitchell, as attorney -in -fact for Eagle
County, shall execute, on behalf of Eagle County, security
instruments, releases, conveyances, and such other documents as are
reasonably necessary to document, enforce and release loans and the
security therefor, pursuant to the said Agreement.
THAT, the power granted hereby may be revoked by resolution of
the Board of County Commissioners duly filed with the Clerk and
Recorder of Eagle County, Colorado.
THAT, this document shall be recorded in the records of the
Eagle County Clerk and Recorder.

KNOW ALL MEN BY THESE PRESENTS: That the County of Eagle, State of
Colorado, a body politic and corporate, reposing special trust and confidence in Michelle D.
Mitchell, President of Colorado Housing Assistance Corp., has made, constituted and appointed,
and by these presents does make, constitute and appoint the said Michelle D. Mitchell the true
and lawful attorney -in -fact for the County of Eagle; and in its name, place and stead, for its sole
purpose to execute, on behalf of Eagle County, security instruments, releases, conveyances, and
such other documents as are reasonably necessary to document, enforce and release loans and the
security thereof, pursuant to the Agreement for Administering a Housing Down Payment
Assistance Program, between Eagle County and Colorado Housing Assistance Corp., dated July
13, 1998
