FIRST AMENDMENT
TO
FAMILY CONNECTS SITE PROGRAM AGREEMENT
This First Amendment to Family Connects Site Program Agreement (this “Amendment”),
is made effective as of 5/1/2025, by and between Illuminate Colorado, a Colorado nonprofit
corporation (“Illuminate”), and Eagle County Public Health (“Site” and, together with
Illuminate, the “Parties”).
WHEREAS, the Parties previously entered into that Family Connect Sites Program
Agreement, dated as of 5/1/2024 (the “Agreement”); and
WHEREAS, the Parties wish to amend the Agreement as set forth in this Amendment.
NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, and notwithstanding
anything to the contrary in the Agreement, the Parties agree as follows:
1. DEFINITIONS. Capitalized terms used in this Amendment and not defined in this Amendment
shall have the meanings set forth in the Agreement.
2. AMENDMENT TO AGREEMENT. Section III of the Agreement is hereby amended and restated
in its entirety as follows:
“III. Term of Agreement. This Agreement shall be effective as of the Effective Date
and will remain in effect for one year until 4/30/2026 / terminated in accordance with the
terms of this Agreement.”
2. MISCELLANEOUS. Except as expressly provided in this Amendment, the Agreement is and
shall remain in full force and effect. On and after the date first set forth above, each reference
in the Agreement to “this Agreement,” “the Agreement,” “hereunder,” “hereof,” “herein,” or
words of like import, and each reference to the Agreement in any other Site Agreements, shall
mean and be a reference to the Agreement as amended by this Amendment. This Amendment
shall be governed by and construed in accordance with the internal laws of the State of
Colorado without giving effect to any choice or conflict of law provision or rule (whether of
the State of Colorado or any other jurisdiction). This Amendment shall be binding upon and
inure to the benefit of the Parties and their respective successors and permitted assigns. This
Amendment, together with the Agreement as set forth therein, constitute the sole and entire
agreement between the Parties with respect to the subject matter contained herein, and
supersede all prior and contemporaneous understandings, agreements, representations, and
warranties, both written and oral, with respect to such subject matter. This Amendment may
be executed in counterparts, each of which shall be deemed an original, but all of which
together shall be deemed to be one and the same agreement. A signed copy of this Amendment
delivered by email or other means of electronic transmission shall be deemed to have the same
legal effect as delivery of an original signed copy of this Amendment.
