Eagle County, Colorado
Direct Contracting Agreement
The Agreement made and entered into effective on the 1st day of January 2024 (the “Agreement”), by and
between Vail Clinic, Inc. dba: Vail Health Hospital and Eagle County, Colorado is hereby amended as
follows:
Vail Clinic, Inc dba Precourt Healing Center (the “Precourt Healing Center”) will, upon obtaining all licensure
required by the State of Colorado, be acknowledged as an included affiliate of Vail Health, offering Inpatient
Psychiatric services on site at 435 Edwards Access Road, Edwards, CO 81632, subject to the terms and
conditions of the Agreement. As of the effective date of this First Amendment, Vail Health is in the process of
securing proper and required Colorado Department of Public Health and Environment (“CDPHE”) licensure as
a condition of Precourt Healing Center opening for inpatient psychiatric services. The parties recognize the
intended opening date of Precourt Healing Center is May 5, 2025, conditioned on Precourt Healing Center
obtaining CDPHE licensure.
Upon the Precourt Healing Center’s obtaining the required licensure, the listing of Vail Health Providers set forth
on Exhibit A of the Agreement will be supplemented to include the following:

Rates stated on Exhibit B of the Agreement for Covered Services provided by Vail Clinic, Inc dba Vail Health
Hospital (all locations) will apply to Covered Services provided by the Precourt Healing Center.
All other terms and conditions of this Agreement will remain unchanged as stated in the Agreement.
Capitalized terms in this First Amendment will have the same meaning as in the Agreement.
The parties acknowledge and agree that this First Amendment shall not be effective unless and until the
Precourt Healing Center obtains all licensure required by the State of Colorado.
IN WITNESS WHEREOF, the parties have caused the Amendment to be executed by their respective duly
authorized representatives on the dates set forth below.
