SECOND AMENDMENT TO AGREEMENT BETWEEN
EAGLE COUNTY, COLORADO
AND
TRANE U.S. INC. d/b/a TRANE
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of _______________ by
and between Trane U.S. Inc. d/b/a TRANE, a Delaware corporation (hereinafter “Contractor”)
and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 20th day of April, 2023,
for certain Services (the “Original Agreement”); and
WHEREAS, by a First Amendment dated March 27th, 2024, the term of the Original Agreement
was extended to April 20th, 2025 (the “First Amendment”); and
WHEREAS, the parties desire to extend the term of the Original Agreement for an additional
year and to adopt an updated fee schedule for the Services performed during this additional year,
as provided for below.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement is hereby extended for an additional one-year term
(“Additional Term”), which extends the term of the Original Agreement to April 20,
2026.
2. The compensation for services in the extended term set forth above shall not exceed
$100,000.00, which shall be in addition to compensation set forth in the Original
Agreement and First Amendment. The rate(s) of compensation shall be computed as
set forth on Exhibit “A2” attached hereto and incorporated herein by reference.
3. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second
Amendment conflict with, modify or supplement portions of the Original Agreement
or First Amendment, the terms and provisions contained in this Second Amendment
shall govern and control the rights and obligations of the parties.
4. The Original Agreement is being extended by this Second Amendment pursuant to
the terms of paragraph “4” thereof.
5. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.

6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement the day and year first above written.

Here is the update information for the on-call agreement through 2025.
Service Technician: $217.00/hr.
Controls Technician: $207.00/hr.
Travel would be @ $217.00/hr. for mechanical work, $207.00/hr. for controls work
Control service calls would come from Glenwood Springs…..40 Minutes away
Service Technicians would be from Grand Junction….2 hrs. away in good weather
Your mechanical rate of $217/hr. is an 21.9% discount from our normal street rate of $278/hr.
Your controls rate of $207/hr. is an 20.6% discount from our normal street rate of $261/hr.
