HomeMy WebLinkAboutC25-160 Phillips County Purchase of Surplus VehicleBILL OF SALE, ACKNOWLEDGEMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT (“Agreement”) is made and executed on ___________________ by Phillips County (“Phillips County”) and Eagle County Fleet Services (“Eagle County”). WITNESSETH WHEREAS, Eagle County elected to sell to Phillips County, one 2021 Ford F150 identified by the VIN listed below (the “Vehicle”), which is a police surplus vehicle that has outlived its useful life for day-to-day Eagle County Sheriff’s Operations; and WHEREAS, Phillips County has agreed to purchase the Vehicle for $15,000; and WHEREAS, Eagle County is willing to deliver title and Phillips County is willing to assume the same for the payment, acknowledgements and indemnification agreement set forth hereunder. BILL OF SALE Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and payment of $15,000 for the Vehicle (Eagle County Fleet Unit #8464; VIN: 1FTFW1E83MKD59334) and receipt of payment acknowledged, does hereby transfer to Phillips County, title to the Vehicle to have and to hold. NOW, THEREFORE, Phillips County acknowledges the following: 1. That the Vehicle is being delivered in “as is” condition. Phillips County understands that Eagle County makes no warranties, express or implied, as to the fitness of the Vehicle for any particular use; 2. Phillips County has received from Eagle County, maintenance records of the Vehicle and understands that Eagle County makes no representation regarding the completeness of said records; and 3. Phillips County will, at all times, operate the Vehicle in a lawful manner including maintaining adequate insurance coverage during its operation and use. NOW THEREFORE, in consideration of the sale of the Vehicle and the acknowledgements herein, Phillips County agrees to the following: Phillips County, its successors or assigns, assume all liability for and shall defend, indemnify, and hold harmless Eagle County, and its officers, agents, representatives and employees, for all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or property damage received or sustained by any person or persons growing out of, occurring or attributable directly or indirectly, to the operation of the Vehicle after the transfer of the same to Phillips County. ________________________ By: ___________________________________ DATE Jeff Shroll, County Manager ________________________ By: ___________________________________ DATE Tom Timm, Board of Phillips County Commissioners, Chair Docusign Envelope ID: B464BCA7-C02E-4F5E-8531-635AF853CA33 4/23/2025 4/26/2025 4/26/2025 4/26/2025
