HomeMy WebLinkAboutC25-138 The Vail Corporation as Operator of Prater Lane Play School_first amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND THE VAIL CORPORATION AS OPERATOR OF PRATER LANE PLAY SCHOOL THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and between The Vail Corporation, a Colorado Corporation, as operator of Prater Lane Play School (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 1st day of January, 2025, for certain Services (C25-048, the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed $134,400; and WHEREAS, as contemplated by Paragraph 5 of the Original Agreement, Grant Recipient is eligible for additional Department of Human Services initiatives to enhance Contractor’s ability to provide early childhood care and education, including: ●Health and Safety Enhancement o Not to exceed $3,000. WHEREAS, County and Consultant desire by this First Amendment to expand the scope of Services and compensation as set forth in the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1.The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2.The compensation for the additional Services set forth in Exhibit 1 shall not exceed $3,000 for a total maximum compensation under the Original Agreement and this First Amendment of $137,400. 3.Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 4.Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. This funding may support health and safety enhancements and/or infant and toddler capacity expansion projects. Expanded definitions of funding categories: ● Health and safety enhancements = Repairs, materials, or equipment needed to maintain a safe environment for children and/or projects that support the health safety of the learning environment that if not addressed would create a hardship on the childcare business and/or would result in a reduction of capacity ● Infant/toddler expansion projects = Project(s) in classrooms to accommodate for additional infant and toddler slots Funding requests will take the following into consideration: 1. Does the funding request align with Eagle County’s early childhood strategic priority of expanding early childhood capacity? a.Focus on increasing infant and toddler capacity 2. Does the funding request align with the Eagle County Early Childhood Guiding Principles? a.Focus on accessibility, affordability, quality, evidence informed, timeliness, and equity 3.Does the child care provider meet the current Eagle County provider grant guidelines? a. Must be licensed, a CO Shines level 2 (minimum), have agreements with CCCAP and UPK (if applicable), and participate in coaching services 4.Are the funds needed to address health and safety issues? Funding Structure for Health and Safety Enhancements 1. Projects up to $10,000 will be considered and; 2. Early childhood programs may only apply for one project at a time and; 3.If a program is awarded funding for an initial project, the program must wait 3 months prior to submitting a request for additional funding, if applicable, and; 4.A maximum of 2 approved projects per calendar year per program is allowable and; 5. All funding is dependent on budget availability and; 6.There are no guarantees that funds will be available for all programs and/or multiple projects and; 7. Eagle County may choose to partially fund a project from its requested amount due to funding and considerations above. Funding Structure for Infant and Toddler Expansion Projects 1. Prior to funding, a site visit will be conducted by either/and a coach, licensing, and/or DHS staff member to verify project and; 3. Only one project could be awarded per 12 month period and; 4. All funding is dependent on budget availability and; 5.There are no guarantees that funds will be available for all programs and/or multiple projects and; 6. Eagle County may choose to partially fund a project from its requested amount due to funding and considerations above. Eligibility Qualifications 1.Early childhood program must be a.located in Eagle County and; b. licensed as a Child Care Center or Family Child Care Home in Eagle County and; c. actively serving infants, toddlers, and/or preschoolers and; d. a Colorado Shines level 2 (minimum) and; e.an active CCCAP provider (have an open fiscal agreement with Eagle County) and UPK provider (if applicable). Requirements 1.Eligible applicants must a.sign a standard Eagle County Contract or Amendment and; b. provide a certificate of insurance (once annually) and; c.provide a detailed description of the project in need of funding and; d. provide receipts, invoices, photos, project quotes/estimates, 3rd party verification (environmental rating scale (ECERS and ITERS) coach or licensing recommendation) and/or other supporting documentation of project at time of application and as requested and; e.agree to hosting a site visit from a coach, licensing, and/or DHS staff member depending on project and if applicable and; f.provide data, photos, proof and/or information that demonstrates completion and impact of the project and; g.provide Eagle County with additional supporting documents and information if and when requested. Application Process and Timeline 1. Application will be opened and posted on October 15, 2024 2. Applicants will need to submit requests for funding via google form and attach all necessary documentation 3. Applicants may only apply for one project per application 4.Department of Human Services staff will consider requests based on guidelines and considerations 5. Applications will be reviewed on an ongoing/rolling basis 6.
