EAGLE COUNTY, COLORADO
AND
THIRD STREET COUNSELING, LLC
THIS FIRST AMENDMENT (“First Amendment”) is effective as of the ____________ by and
between Third Street Counseling LLC, (hereinafter “Consultant” or “Contractor” and Eagle
County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 23rd day of December
2023, for certain Services (C23-397, the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
Services with compensation in an amount not to exceed $35,000; and
WHEREAS, the County desires by this First Amendment to expand the scope of Services and
compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit 1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$17,000 for a total maximum compensation under the Original Agreement and this
First Amendment of $52,000.
3. The term of the Original Agreement is hereby extended to the 31st day of October,
2025.
4. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify, or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
5. Except as expressly altered, modified, and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect and are
hereby ratified and confirmed in all respects as of the date hereof.
6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

EXHIBIT 1
SCOPE OF SERVICES, SCHEDULE, FEES
Purpose
Consultant, Third Street Counseling, will continue providing support, coordination, and capacity
building for the personal development and behavioral health components of the Campeones del
Sistema initiative as the clinical facilitator for the initiative. This includes:
Scope of Services
Ɣ Providing comprehensive implementation of the behavioral change aspects of the
program, including:
o Facilitation of Phase 1 in collaboration with Campeones del Sistema participants
and graduates, Public Health Community Health Strategist, Community Action
Coordinator, and other partners as they fit into the program curricula.
o Co-facilitation and participation in phase 2 of the program as needed.
Ɣ Promoting systems-based analysis of personal development and behavioral health with
attention to the impact of structural racism, gender disparities, and other forms of
discrimination and oppression that impact psychological and social well-being and access
to self-care as well as mutual aid and support.
Ɣ Upholding curricula and program fidelity standards as established by Eagle County
Public Health and Environment.
Ɣ Making practice enhancements and curricula recommendations to amplify the voice and
power of community members as they engage in the various Campeones del Sistema
cohorts in all phases of the program.
Proposed time and compensation:
The goals above will be met during Phase 1 and as needed in Phase 2.
Compensation:
x County shall compensate Consultant for performance of Services in an amount not to
exceed $15,000. Payment will be made on January 1, 2025. This includes collaboration
with the Campeones del Sistema team, facilitation of Phase 1 and 2, participation in
retreats, graduations and other participation as available.
x A $2,000 budget is available for travel, accommodation, mileage, and meals as needed to
be invoiced monthly.
