HomeMy WebLinkAboutC25-012 Alliance Police DepartmentBILL OF SALE, ACKNOWLEDGEMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT (“Agreement”) is made and executed this _______________, by the Alliance Police Department, Alliance, NE (“Alliance”) and Eagle County, Colorado, a body corporate and politic (“Eagle County”). WITNESSETH WHEREAS, Eagle County wishes to sell to Alliance one (1) 2020 Chevy Tahoe identified as Eagle County Fleet Unit #979, VIN#: 1GNSKDEC2LR266625 (the “Vehicle”), which is a police surplus vehicle that has outlived its useful life for day-to-day Eagle County Sheriff’s Office operations; and WHEREAS, Alliance has agreed to purchase the Vehicle for $12,000; and WHEREAS, Eagle County is willing to deliver title to the Vehicle and Alliance is willing to assume the same for the payment, acknowledgements and indemnification agreement set forth hereunder. BILL OF SALE Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and payment of $12,000 for the Vehicle, does hereby transfer to Alliance, title to the Vehicle to have and to hold. ACKNOWLEDGEMENT AND AGREEMENT NOW, THEREFORE, Alliance acknowledges and agrees as: 1. That the Vehicle is being delivered in “as is” condition. Alliance understands that Eagle County makes no warranties, express or implied, as to the fitness of the vehicle for any particular use; 2. Alliance has received from Eagle County maintenance records of the Vehicle and understands that Eagle County makes no representation regarding the completeness of said records; 3. Alliance will, at all times, operate the Vehicle in a lawful manner including maintaining adequate insurance coverage during its operation and use; and 4.
