EAGLE COUNTY, COLORADO
AND
EAGLE VALLEY MENTAL HEALTH D/B/A
EAGLE VALLEY BEHAVIORAL HEALTH ("EVBH")
THIS THIRD AMENDMENT (“Third Amendment”) is effective as of January 1st, 2025 by and
between Eagle Valley Mental Health d/b/a Eagle Valley Behavioral Health, a Colorado non-
profit corporation (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a
body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of January,
2021 (C21-005), for certain Services (the “Original Agreement”), with compensation not to
exceed $100,000 for the Initial Term; and
WHEREAS, by a First Amendment dated January 1, 2022 (C22-050), the term of the Original
Agreement was extended to December 31st, 2022, with compensation not to exceed $100,000 for
that year; and
WHEREAS, on January 1, 2023, the Original Agreement, as amended, was automatically
renewed for a Renewal Term that lasted until December 31, 2023, with compensation not to
exceed $100,000 for that year; and
WHEREAS, by a Second Amendment dated January 1, 2024 (C23-386), the term of the Original
Agreement, as amended, was extended to December 31st, 2024, with compensation not to
exceed $100,000 for that year; and
WHEREAS, the term of the Original Agreement, as previously amended, expires on the 31st day
of December, 2024, and the parties desire to extend the term for an additional year and amend
the compensation provided for performance of the Services.
THIRD AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The term of the Original Agreement, as previously amended, is hereby extended to
the 31st day of December, 2025.
2. Compensation for the Services under this Third Amendment shall be consistent with
the fee schedule set forth on the attached Exhibit A3, which is attached hereto and
incorporated herein by reference.

3. Compensation for the Services under this Third Amendment shall not exceed
$195,000 or a total maximum compensation under the Original Agreement, the First
Amendment, the Renewal Term, the Second Amendment, and this Third Amendment
of $595,000.
4. Capitalized terms in this Third Amendment will have the same meaning as in the
Original Agreement, as amended. To the extent that the terms and provisions of the
Third Amendment conflict with, modify or supplement portions of the Original
Agreement, First Amendment, or Second Amendment, the terms and provisions
contained in this Third Amendment shall govern and control the rights and
obligations of the parties.
5. Except as expressly altered, modified and changed in this Third Amendment, all
terms and provisions of the Original Agreement, as previously amended, shall remain
in full force and effect, and are hereby ratified and confirmed in all respects as of the
date hereof.
6. This Third Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the
Original Agreement the day and year first above written.
