EAGLE COUNTY, COLORADO
AND
JAVIERA SOTO
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of ________________
by and between Javiera Soto (hereinafter “Consultant” or “Contractor”) and Eagle County,
Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of January,
2023, for certain Services for compensation not to exceed $23,000 (C22-385, the “Original
Agreement”); and
WHEREAS, County and Consultant entered into a First Amendment dated the 1st day of
January, 2024 to extend the term of the Original Agreement for an additional year for certain
services for compensation not to exceed $25,344 (C23-384, the “First Amendment”); and
WHEREAS, the County desires to continue Services as reflected in Exhibit 2, increase the
compensation for Consultant for 2025 and extend the term of the Original Agreement; and
WHEREAS, the term of the First Amendment expires on the 31st day of December, 2024 and
the parties desire to extend the term for an additional year and revise the compensation on the
same terms and conditions as set forth in the Original Agreement.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The term of the Original Agreement and First Amendment is hereby extended to the
31st day of December, 2025.
2. The Original Agreement shall be amended to include the Services and compensation
described in Exhibit 2, which is attached hereto and incorporated herein by reference.
3. The compensation for this term shall not exceed $26,496 for a total maximum
compensation under the Original Agreement, First Amendment and this Second
Amendment of $74,838.
4. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement and First Amendment. To the extent that the terms and

provisions of the Second Amendment conflict with, modify or supplement portions of the
Original Agreement or First Amendment, the terms and provisions contained in this
Second Amendment shall govern and control the rights and obligations of the parties.
5. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement and First Amendment shall remain in
full force and effect, and are hereby ratified and confirmed in all respects as of the
date hereof.
6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Original Agreement the day and year first above written.

EXHIBT A
SCOPE OF SERVICES, SCHEDULE, FEES
Javiera will work in the Eagle County Healthy Aging kitchen assisting our Healthy Aging Chef
Tuesday through Friday from approximately 8:00 am to 2:30 pm. She will also act as the back up
chef in the event that the Healthy Aging Chef is unavailable due to illness or vacation.
Financial Compensation:
A. During the term of January 1, 2025 through December 31, 2025, Eagle County will
compensate Javiera for the performance of the Services at the rate of $23 per hour for up to 24
hours per week.
B. Invoices should be submitted once or twice per month to phinvoices@eaglecounty.us and
copy and carly.rietmann@eaglecounty.us.
