EAGLE COUNTY, COLORADO
AND
LOVE IN PRACTICE, LLC
THIS FIRST AMENDMENT (“First Amendment”) is effective as of January 1, 2025 by and
between Love in Practice, LLC, a Colorado limited liability company (hereinafter “Consultant”
or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter
“County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of April, 2024,
for certain Services (C24-166, the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $85,000; and
WHEREAS, the County desires to have Consultant perform additional Services for additional
compensation as set forth below; and
WHEREAS, the term of the Original Agreement expires on the 31st day of December, 2024, and
the parties desire to extend the term for an additional year.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit 1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$85,000 for a total maximum compensation under the Original Agreement and this
First Amendment of $170,000.
3. The term of the Original Agreement is hereby extended to the 31st day of December,
2025.
4. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.

5. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

SCOPE OF SERVICES, SCHEDULE, FEES
SCOPE OF SERVICES
1. Foundations of Success
This training program offers an approach to personal and professional development, encompassing
various aspects vital for success in both realms. Members are guided through a journey of self-discovery,
starting with an introduction to Inside First and gradually exploring core values, building trust, and
understanding personal integrity. The program also delves into ethical considerations and provides a
framework for making principled decisions. Members learn essential communication skills to effectively
convey their ideas and foster meaningful connections with others. Overall, this training aims to empower
individuals with the tools and insights necessary to navigate challenges, cultivate ethical leadership, and
enhance interpersonal effectiveness in their role.
Foundation of Success will be held for a 1.5 hour time frame.
The session will include the following:
Session 1: Introduction to Inside First
Session 2: Discover Core Values
Session 3: Developing Trust
Session 4: Personal Integrity
Session 5: Ethical Scaffolding
Session 6: Skilled Communicator
2. Mastermind sessions:
This mastermind meeting provides an invaluable platform for staff to engage in collaborative learning and
problem-solving. With a structured agenda in place, attendees are welcomed with an overview of the
schedule before diving into an open dialogue session where they share both successes and challenges.
This fosters a supportive environment for feedback and collective insight. Following a break, a dedicated
segment led by a speaker or focusing on leadership content offers attendees practical strategies and
techniques for personal and professional growth. The meeting concludes with a reflective discussion,
allowing participants to share key takeaways and insights gained from the session. This mastermind
meeting offers guests a unique opportunity to learn, network, and gain actionable ideas to enhance their
skills and performance in various aspects of their professional lives.
Mastermind Sessions will be held for a 3 hour time frame.
Check-in with each other—Open dialogue on “what’s going well” and “what are you being
challenged with?”
We encourage feedback and collective insight during this part of the meeting.

Topics could include: Leadership content, Management, Strategy, Project Management, Time
Management, Conflict resolution and Networking

3. Coaching and Group coaching:
Coaching is an on-going conversation where we provide encouragement, guidance and honest feedback
and professional goals. These sessions are based on goals provided by the clients and the organization
leader (supervisor or director). In coaching, the responsibility is to provide content, insight, tools,
wisdom, framework, ideas, and feedback. Staff members are referred by the HR team or with department

directors.
a. Individual Coaching: [60 minute sessions]
Coaching is a personalized and ongoing conversation designed to support individuals in achieving
their professional goals. Through encouragement, guidance, and honest feedback, we work
closely with each client to provide valuable insights, tools, and strategies for growth and
development. Whether it's clarifying career objectives, overcoming challenges, or maximizing
potential, we are dedicated to helping clients succeed. Sessions are conducted in a confidential
and supportive environment, where clients can explore ideas, gain clarity, and take actionable
steps towards their goals.
b. Group Coaching: [90 minute sessions]
Group coaching offers a collaborative and dynamic environment for individuals to grow and learn
together. Group sessions provide encouragement, guidance, and honest feedback to participants
as they work towards their professional goals. Participants benefit from shared insights, diverse
perspectives, and peer support, enhancing their learning experience and fostering a sense of
community. Group coaching sessions may include interactive activities, discussions, and
exercises tailored to the group's objectives and dynamics.
4. Workshop/Team meeting: [4-6 hour sessions]
Team meetings are an on-going conversation where we provide encouragement, guidance and honest
feedback and professional goals. Our responsibility is to provide content, insight, tools, wisdom,
framework, ideas, and feedback. This can be for members of a department or even connecting two or
more departments.
This team meeting is dedicated to enhancing teamwork and fostering interaction among team members.
The team leader then provides an overview of the team's goals and objectives, reaffirming the collective
purpose and motivating everyone to work towards common objectives. Through a series of team-building
activities and open discussions, team members have the opportunity to collaborate, share ideas, and
provide feedback in a supportive environment. These activities are designed to promote communication,
trust, and camaraderie, laying the foundation for effective teamwork. Action planning ensures that
concrete steps are taken to sustain and enhance the positive team dynamics established during the session.
Team meeting serves as a valuable opportunity for team members to connect, collaborate, and align their
efforts towards shared goals.
5. Retreat: [6 hour session]
Focus will be on trust, effective communication and unity/culture. The retreat will focus on
communication with the leadership team on, How do you want your team to work together? We will
focus on the following:
> A fun event; interactive; engaging and bringing the team more together
> Values that align with organizational values
> Focusing on trusting cohesion with departments communicate
> Agenda will be created with guidance from Leadership
The retreat will include a team-building event aimed at encouraging collaboration and cohesion. This
event will be designed to be fun, interactive, and engaging, serving as an opportunity for team members to
bond and align their values with those of the organization. Emphasis will be placed on building trust and
facilitating open communication between departments to strengthen unity. The agenda for the retreat will
be carefully crafted with input from leadership to ensure that key topics are addressed and that the goals

of the retreat are met. The retreat provides a comprehensive opportunity for team members to connect,
learn, and grow together.
