FIRST AMENDMENT TO AGREEMENT BETWEEN
EAGLE COUNTY, COLORADO
AND
CHRISTI COUCH
THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and
between Christi Couch, a sole proprietor (hereinafter “Consultant” or “Contractor”) and Eagle
County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of January,
2024, for certain Services (the “Original Agreement”); and
WHEREAS, the term of the Original Agreement expires on the 31st day of December, 2024, and
the parties desire to extend the term of the Original Agreement for an additional one (1) year on
the same terms and conditions as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to extend the term to the 31st day of
December, 2025.
2. The compensation for the additional Services set forth in Exhibit A shall not exceed
$9,700.00 or a total maximum compensation under the Original Agreement and this
First Amendment of $19,400.00.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. This First Amendment is executed pursuant to the terms of Paragraph 4 (“Extension
or Modification”) of the Original Agreement.
5. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.

6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

EXHIBIT A
SCOPE OF SERVICES, SCHEDULE, FEES
I. SCOPE OF SERVICES AND SCHEDULE
A. Consultant shall provide a senior-appropriate exercise class (the "Services") as set forth
in Section LB below.
B. Unless otherwise agreed upon by County, the Services shall be provided each week during
the term of this Agreement on the following days and times:
a. Provide a stretch class three days per week from 9:30am-10:30 am on Mondays,
Tuesdays, and Thursdays at the Property
b. Provide a strength training class two days per week on Mondays and Wednesdays
from 10:30 - 11:00 am at the Property
c. Provide a Pilates class one day per week from 10:30 - 11:30 am on Tuesdays at
the Property
d. Provide a aerobics class one day per week from 10:30 - 11:30 am on Thursdays at
the Property
C. Consultant agrees that she will provide County with as much advance notice as is
reasonably practicable whenever Consultant will not be available on a particular date to provide
the Services.
II. FEES
A. Eagle County will pay Consultant a fee of $30.00 per exercise class she teaches, not to exceed an
annual amount of $9,700.00.
