FOURTH AMENDED AND RESTATED INTERGOVERNMENTAL AGREEMENT
FOR COOPERATIVE LAW ENFORCEMENT SERVICES
THIS FIRST AMENDMENT TO THE FOURTH AMENDED AND RESTATED
INTERGOVERNMENTAL AGREEMENT FOR COOPERATIVE LAW
ENFORCEMENT SERVICES (the "First Amendment"), effective the 1st day of January, 2025,
is between the Town of Gypsum, Colorado, a municipal corporation, by and through its Town
Council (the "Town"); and the County of Eagle, Colorado, a body corporate and politic, by and
through its Board of County Commissioners (the "County") and is approved by the Eagle County
Sheriff (the "Sheriff”).
RECITALS
WHEREAS, the Town and the County previously entered into the Fourth Amended and
Restated Intergovernmental Agreement for Cooperative Law Enforcement Services with an
effective date of June 1, 2021 (“Law Enforcement IGA”) whereby the Town contracted with the
County for provision of law enforcement services in the Town of Gypsum for the years 2021
through 2025, and associated compensation therefor; and
WHEREAS, the Town and the County have been notified that beginning January 1, 2025,
the Town of Vail, through the Vail Public Safety Communications Center (“VPSCC”) will
increase dispatch fees for law enforcement agencies utilizing the dispatch services provided by
the VPSCC; and
WHEREAS, the Town and County now desire to amend the Law Enforcement IGA to
increase the compensation the Town will pay to the County for law enforcement services
provided in 2025 in order to account for this previously unanticipated increase in law
enforcement costs.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. Paragraph VII A shall be amended to increase the compensation the Town will pay to
the County for law enforcement services in 2025 from $1,418,647 to $1,484,330 to
account for the increase of $65,683 in dispatch fees that will be charged by VPSCC
for dispatch services in the Town of Gypsum boundaries.
2. Capitalized terms in this First Amendment will have the same meaning as in the Law
Enforcement IGA. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Law Enforcement

IGA, the terms and provisions contained in this First Amendment shall govern and
control the rights and obligations of the parties.
3. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Law Enforcement IGA shall remain in full force and effect, and
are hereby ratified and confirmed in all respects as of the date hereof.
4. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
