HomeMy WebLinkAboutC24-440 Holy Cross_addendum to line extention letterPage 1 of 2 HOLY CROSS ENERGY COMMUNITY ENERGY SYSTEMS (“CES”) ADDENDUM TO LINE EXTENSION LETTER AGREEMENT This ADDENDUM (the "Addendum"), dated August 6, 2024 (“Effective Date”), to the Holy Cross Energy Line Extension Letter Agreement and Contract dated _________________ [“Agree-ment”], is by and between Eagle County (“Applicant”), whose address is PO Box 850, Eagle, CO 81631, and Holy Cross Energy (“HCE”), whose address is 3799 HWY 82, Glenwood Springs, CO, 81602. 1. Terms and Conditions A. In conjunction with this Addendum, the Applicant has entered the Agreement which includes provisions for CES In-Kind Support and which has been ap-proved by HCE. CES In-Kind Support will be applied to the Line Extension Policy Construction Deposit portion of the required funds, and this Adden-dum shall govern the repayment of funds if the CES project is not fully com-pleted as provided in the Agreement. B. HCE agrees to contribute the amount of $22,500 (“CES In-Kind Support”) to-ward the construction deposit portion of HCE’s 3030 Line Extension Policy for Applicant’s CES project. HCE’s 3030 Line Extension Policy and the tariffs, rules, regulations, and policies of HCE shall govern the Applicant’s Agree-ment and this Addendum. C. Applicant shall provide HCE with a written estimated Project Completion Date which shall be confirmed by HCE. Applicant shall provide HCE with reg-ular monthly schedule updates and, if applicable, will request in writing an extension to the Completion Date. Applicant and HCE shall work in good faith to address issues that may arise during the CES project. Modifications to the terms of the CES project including extensions to the Projected Completion Deadline shall be at HCE’s sole discretion and agreed to in writing. D. If the Project is not completed per the agreed-upon terms, Applicant agrees to reimburse HCE the total amount of the CES In-Kind Support amount of $22,500 within 90 days of HCE’s written notification that the Project was not completed per the Agreement deadline. HCE and Applicant will work in good faith to resolve any associated questions and concerns if the Project is not completed. E. Upon request, Applicant agrees to provide HCE pictures, updates, and infor-mation including coordinated site visits to the Project.
