HomeMy WebLinkAboutC24-433 Graves Consulting, LLC_first amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND GRAVES CONSULTING, LLC THIS FIRST AMENDMENT (“First Amendment”) is effective as of October 1, 2024 by and between Graves Consulting, LLC an Oklahoma Limited Liability Corporation (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 6th day of October, 2023, for certain Services (C23-320, the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed $24,000; and WHEREAS, the County desires to have Consultant perform additional Services for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires on the 30th day of September, 2024, and the parties desire to extend the term for an additional year. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $38,880 for a total maximum compensation under the Original Agreement and this First Amendment of $62,880. 3. The term of the Original Agreement is hereby extended to the 30th day of September, 2025. 4. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. Review all pay related documents from the County including the current pay structure, the list of comparable organizations used, data from previous compensation studies,org charts, job descriptions and current census data. 2. Obtain relevant market data from multiple data sources which may include PayFactors, CompAnalyst, ERI, and other County specific survey data 3. Evaluate and analyze the data and used to make recommendations for how the County’s pay structure needs to be revised to account for market movement and to identify positions that may need to be upgraded as they have moved more rapidly in the market than others. 4. Create a financial impact analysis for implementation. Pay Equity Analysis 1. Graves Consulting will provide a Pay Equity Analysis under the Colorado Equal Pay for Equal Work Act to identify any potential pay disparities. This analysis also provides safe harbor protection under the act if the County acts on any potential unlawful pay disparities identified. SCHEDULE Project kick off Q1 2025 with an estimated completion of on or before September 30, 2025 for a January 2026 implementation.
