Memorandum of Understanding
This Memorandum of Understanding ("MOU") is entered into on _______________ by and between
Cosmic Aerospace, Inc., a Delaware Corporation, located at 7962 East Briarwood Boulevard,
Centennial, CO, 80112, USA ("COSMIC"); and Eagle County, Colorado, Colorado, a body corporate
and politic, located at 500 Broadway, Eagle, CO 81631 ("County").
1. Purpose
The purpose of this MOU is to establish the framework for collaboration between COSMIC and
COUNTY with the goal of enabling sustainable passenger and/or cargo operations to and from the Eagle
County Regional Airport (“EGE”) using COSMIC’s aircraft, with a projected target entry into service
in 2029.
2. Scope
This MOU outlines the general terms and conditions governing the collaboration between COSMIC
and EGE. It does not create a legally binding contract and does not impose any financial or other
obligations on the COUNTY, but instead serves as an expression of intent to collaborate in good faith.
3. Terms of Collaboration
3.1 Objectives: The parties agree to collaborate to explore development of the following objectives:
- Explore possibility of EGE becoming a pilot airport for the commercial operation of COSMIC’s
aircraft. This may include consideration of the following:
o Charging infrastructure and procedures: the definition of airport electrical power
system requirements for commercial charging operations of COSMIC’s aircraft,
development and ground testing of charging procedures and systems.
o Ground operations: Development, implementation and testing of aircraft turnaround
procedures, and other safety related and operational aspects related to ground
maneuvering, passenger and cargo handling.
o Maintenance and repair: Development and implementation of aircraft and component
maintenance and repair procedures.
o Pilot training: Pilot training for US operations.
o Battery swap procedures and logistics: Battery swap, and development of airport-side
aircraft battery system logistics.
o Facilities: Facilities planning (runway extensions, taxiway planning, hangars,
terminals and other spaces).
o Flight testing: Flight testing as part of COSMIC’s aircraft development.
3.2 Roles and Responsibilities: Each party will contribute to the collaboration according to their
expertise and resources. The objectives set forth above are subject to County approval, including
approval of funding in accordance with a budget adopted by the Board of County Commissioners in
compliance with Article 25, title 30 of the Colorado Revised Statutes, the Local Government Budget
Law (C.R.S. 29-1-101 et. seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec.
20).
4. Term and Termination: This MOU shall become effective on the date of signature by both parties and
shall remain in effect until terminated by either party with seven (7) days’ written notice.

6. Signatures
This MOU may be executed in counterparts, each of which shall be deemed an original and all of which
together shall constitute one and the same instrument.
