HomeMy WebLinkAboutC24-369 Nurse-Family Partnership_data sharing agreementCO Network Partner Data Sharing Agreement Effective 5 30 2024 Page 1 of 2 NURSE-FAMILY PARTNERSHIP DATA SHARING AGREEMENT Eagle County Network Partner This Agreement (“Agreement”), for the period May 30, 2024 (the “Effective Date”) through the length of any agreement between the Parties, is by and between Eagle County Public Health and Environment (“Network Partner”) and Nurse-Family Partnership, a Colorado nonprofit corporation ("NFP"), sometimes hereafter referred to as “Party” individually or “Parties” collectively. RECITALS: Whereas the Nurse-Family Partnership®Program (the "Program") is an evidence-based program developed on the basis of randomized controlled trial research to yield certain benefits for low-income, first-time mothers and their children (“Program Benefits”). Whereas Invest in Kids (“IIK”) provides certain services, largely funded by the Colorado Department of Early Childhood (“CDEC”) through the University of Colorado, to Colorado NFP Network Partners. IIK also provides services to the Network Partners on NFP's behalf to ensure Colorado Network Partners implement the Program with fidelity to the Nurse-Family Partnership Model Elements. Whereas IIK funding is dependent upon it receiving NFP reports containing outcomes and other data obtained from Network Partners, and using the reports to provide data to CDEC. Accordingly, the Parties are entering into this Agreement to memorialize the consent from the Network Partner to release to IIK data reported to NFP by Network Partner. AGREEMENT: In consideration of the foregoing recitals and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the Parties agree as follows: I.Subject to confidentiality and data-sharing requirements and obligations of the Parties, Network Partner consents to the release of any and all client data provided to NFP to IIK. II. Termination Network Partner may terminate this Agreement upon sixty (60) days written notice to NFP. III. NFP Obligations. A. Data will be transmitted via encrypted electronic mail or via access to NFPs data system. B. NFP shall include the minimum necessary data required to meet IIK’s obligation to provide data to CDEC. C. IIK shall not sell, authorize, transfer, or disclose the relevant shared data provided in accordance with this Agreement to any third party other than to or at the direction of CDEC, or send to third parties or allow third parties to use any data (including derived data), unless: a) a written authorization from NFP has been obtained; or b) the disclosure is made as required according to applicable laws and regulations, and the        Docusign Envelope ID: 5B404E08-1505-4A7B-A7F1-A1712D7B9BBB CO Network Partner Data Sharing Agreement Effective 5 30 2024 Page 2 of 2 party gives a written notice in an appropriate manner and takes necessary measures to obtain necessary consent before the disclosure, and makes the disclosure pursuant to the data minimization principle. II. CONFIDENTIALITY NFP will maintain a Business Associate Agreement with IIK and at all times comply with all applicable Privacy Laws including but not limited to the Health Insurance Portability and Accountability Act of 1996, the regulations promulgated thereunder by the U.S. Department of Health and Human Services (45 CFR Parts 160, 162 and 164) (collectively, “HIPAA”) and the Health Information Technology for Economic and Clinical Health Act of 2009 (the “HITECH Act”), and other applicable laws and regulations, including state data privacy and medical confidentiality laws, as the same may be amended or promulgated from time to time.
