Home My WebLink AboutC24-322 Skyline Mechanical, Inc._first amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND SKYLINE MECHANICAL, INC. THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and between Skyline Mechanical, Inc., a Colorado corporation, (hereinafter “Contractor”), and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated July 3, 2023 and identified as County Contract C23-218 for the procurement of certain Equipment and to complete certain installation Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that Contractor would procure the Equipment and perform the Services for compensation in an amount not to exceed $600,000.00; and WHEREAS, the Term of the Original Agreement extended until the Services were deemed complete by County’s Facilities Management Department’s designee; and WHEREAS, the Original Agreement is still in effect as County’s Facilities Management Department’s designee has not yet deemed the Services to be performed under the Original Agreement to be complete; and WHEREAS, County and Consultant desire by this First Amendment to procure additional Equipment and expand the scope of Services and compensation as set forth in the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include the procurement of additional Equipment and the provision of additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. County shall compensate Contractor for the additional Equipment and performance of the Services in a sum computed and payable as set forth in Exhibit 1. The cost of the additional Equipment and performance of the additional Services under this First Amendment shall not exceed four hundred thirty-five thousand, two hundred seventy dollars and fifty cents ($435,270.50). In the event Contractor and County agree upon the need for additional repair, removal, or replacement services beyond those described in Exhibit 1, those additional services shall be billed at the rates as set forth in Exhibit 2. Prior to commencement of additional repair, removal, and replacement services beyond those described in Exhibit 1, Contractor shall first Docusign Envelope ID: 8D2C8F58-4A8D-44B6-80BA-8E4DEE534433 7/30/2024 2 provide County with a written estimate. Each estimate must be approved by County’s Representative prior to commencement of the additional maintenance or repair services by Contractor. Total compensation under this First Amendment shall not exceed four hundred sixty thousand dollars ($460,000.00). Total compensation under this First Amendment and the Original Agreement shall not exceed one million sixty thousand dollars ($1,060,000.00). 3. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 4. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns.
