HomeMy WebLinkAboutC24-276 Valley Settlement_first amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND VALLEY SETTLEMENT THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and between Valley Settlement a Colorado nonprofit corporation (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 26th day of January, 2024, for certain Services (C24-054, the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed $16,337.50; and WHEREAS, County and Consultant desire by this First Amendment to expand the scope of Services and compensation as set forth in the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit B, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit B shall not exceed $16,337.50 for a total maximum compensation under the Original Agreement and this First Amendment of $32,675. 3. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 4. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. The 2016 Eagle County Early Childhood Roadmap launched a series of investments in strategies to create and sustain a comprehensive early care and education system. For childcare and early learning to make a positive difference in child development and future educational success, children should have access to quality programs which: ● Support children’s health and safety, ● Ensure staff are well-trained and effective, ● Provide a supportive learning environment that teaches children new skills, ● Help parents become partners in their child’s learning, and ● Demonstrate good leadership and business practices. A healthy, supported workforce, adequate coaching supports, family engagement, child physical and mental health services, shared services (lower stress, increased financial viability) all contribute to a quality program, which means safer, more consistent support for children and families. CONTRACTOR SHALL PERFORM OR PROVIDE THE FOLLOWING SERVICES Services dedicated to improving the early childhood workforce and family engagement include: ● Recruit additional and support existing FFNs in Eagle County ● Conduct outreach to families served by FFN population ● Train, evaluate, and maintain enrollment of FFN population ● Conduct Learning with Love classes with infants and toddlers and parents in Basalt and El Jebel Services dedicated to improving access to and increase quality of early childhood services include: ● Recruit students for CDA ● Schedule CDA classes ● Conduct CDA classes for participants ● Increase the quality and access of FFN program to community ● Support optional 3rd year with FFN population with CDA course to increase education and support with curriculum development of optional 3rd year program ● Busisito preschool classes in El Jebel COMPENSATION Contractor shall be compensated for performance of the Services as follows: 1. A total amount under this First Amendment not to exceed $16,337.50, for a for a total maximum compensation under the Original Agreement and this First Amendment of $32,675. 2. Compensation will be distributed as follows: 100% of funds will be distributed upon signed amendment CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY 1.
