HomeMy WebLinkAboutR24-02 ECHDA Authorizing Ex Dir of ECHDA to Execute Agreements Associated with Haymeadow Units DocuSign Envelope ID:54585629-F418-4B0B-97C1-059526064072 Commissioner McQueeney moved adoption of the following Resolution: EAGLE COUNTY HOUSING AND DEVELOPMENT AUTHORITY RESOLUTION NO. 2024- 02 RESOLUTION AUTHORIZING EXECUTIVE DIRECTOR OF THE EAGLE COUNTY HOUSING AND DEVELOPMENT AUTHORITY TO EXECUTE AGREEMENTS AND DOCUMENTS ASSOCIATED WITH THE PURCHASE AND RESALE OF HAYMEADOW UNITS WHEREAS,the Eagle County Housing and Development Authority(the "ECHDA") entered into a Purchase and Sale Agreement with 7 Hermits, LLC, dated April 4, 2023, for the purchase of forty-three (43) condominium units (each a"Unit") and twenty-one (21) garages in Phase 1 of the Haymeadow Planned Unit Development located in Eagle, Colorado (the "Agreement"); and WHEREAS, the closing of the purchase of the Units by the ECHDA shall occur in phases after the Units are substantially complete in accordance with Agreement; and WHEREAS, it is ECHDA's intent to sell each Unit acquired pursuant to the Agreement to third-party purchasers as part of its mission to provide affordable housing within Eagle County, with closing to occur simultaneously with any closing on the purchase of a Unit by ECHDA under the Agreement, or at a subsequent date; and WHEREAS,ECHDA desires to delegate to the Executive Director of ECHDA and in her absence, the Eagle County Housing Manager, the authority to negotiate, enter into and execute on its behalf Reservation Agreements and Contracts to Buy and Sell Real Estate with third-party purchasers for the subsequent sale of the Units; and to authorize the Director, and in her absence the Eagle County Housing Manager, to execute on its behalf all documents, instruments and other forms that may be necessary to complete the purchase of the Units, and to complete the subsequent resale of the Units to third-party purchasers, including but not limited to, closing authorizations and instructions, settlement statements, closing documents, and deeds, all subject to prior review by the Eagle County Attorney's Office and subject to availability of budgeted and appropriated funds; and WHEREAS, agreements and documents committing funds for the purchase of the Units and executed by the Executive Director of the ECHDA shall be identified on the next available agenda for the ECHDA Board of Commissioners. DocuSign Envelope ID:54585629-F418-4B0B-97C1-059526064072 NOW, THEREFORE,BE IT RESOLVED BY THE COMMISSIONERS OF THE EAGLE COUNTY HOUSING AND DEVELOPMENT AUTHORITY: THAT the ECHDA Board hereby authorizes the Executive Director of ECHDA and in her absence, the Eagle County Housing Manager, to negotiate, enter into and execute on its behalf Reservation Agreements and Contracts to Buy and Sell Real Estate with third-party purchasers for the subsequent sale of the Units; and further authorizes the Director, and in her absence, the Eagle County Housing Manager, to execute on its behalf all documents, instruments and other forms that may be necessary to complete the purchase of the Units, and to complete the subsequent resale of the Units to third-party purchasers, including but not limited to, closing authorizations and instructions, settlement statements, closing documents, and deeds, all subject to prior review by the Eagle County Attorney's Office, and subject to availability of budgeted and appropriated funds. THAT, the Board of County Commissioners finds, determines and declares that this Resolution is necessary for the public health, safety and welfare of the citizens of Eagle County, State of Colorado.
