LETTER OF UNDERSTANDING BETWEEN THE TOWN OF RED CLIFF
AND THE COUNTY OF EAGLE
The purpose of this letter of understanding is to identify certain
obligations of the Town of Red Cliff and Eagle County. Both govern-
mental entities are within the State of Colorado. This letter will
remain in effect for a period of fi.ve years or as determined by the
elected officials as stated in Item "V .
A. Eagle County will provide to the Town for the Town's ex-
clusive use one Clark frontend loader, Model 55C, Serial
number 481B110CB, complete with removal bucket and blade
option attachement. The Town will have full use and enjoy-
ment of this unit during the period of this agreement. Use
of this equipment will be approved and authorized by officials
and employees of the Town only.
B. The County will provide, at its own expense, collision and com-
prehensive insurance for repair or replacement of this vehicle
only. The Town will provide liability coverage through the Town's
insurance program and hold the County harmless for any acts of
negligence or wrong doing caused by employees of the Town or others
authorized by the Town during the operation or use of the equipment
in Item "A".
C. The County agrees to provide training for the proper use of this
equipment, to any individual authorized by the Town to operate
this equipment. Training will be done when convenient and mutually
agreed upon by both parties of this agreement.
D. The County agrees to provide, when needed, the use of a pull
behind sanding unit, in order to properly sand road surfaces
maintained by the Town.

E. In addition to Item "A", the County will provide, at no cost
to the Town, a qualified mechanic to service and repair the
equipment mentioned in Item "A". The Town's responsibility
will be sharing cost charges necessary for parts costing
$100 or more, whether they are new or replacement parts. Such
parts will only be purchased with prior agreement given by both
parties to this agreement. In addition, these costs will be
shared by both the County and Town as follows:
All items above the $100 limit will be apportioned yearly in the
following percentage:
COUNTY TOWN OF RED CLIFF
First year 95 5
Second year 90 10
Third 85 15
Fourth 80 20
Fifth 75 25
Should the Town not be able to pay its percentage match when
needed, the County agrees to defer for a maximum period of up to
one year the costs so incurred by the Town. This service and
repair will be provided for the Town, at no cost, for the period
of this agreement.
F. The County will quit claim deed to the Town, any interest or owner-
ship the County has in the building and lot that presently serves
as the maintenance shop for the Town. This interest includes any
fuel storage tanks or other miscellaneous items in the structure
belonging to the County at the time of taking.
(Exact ownership of this lot and building is still being determined).
C. The County will, through its Public Works Department, make available
to the Town the County Engineer to inspect and evaluate the
problem of the upper road, identified as High Street, that enters
the Town via a rock shelf.
The Town has expressed a need for professional assistance to
find an acceptable solution for the safe use of this roadway.
There will be no cost to the Town for this service.
In exchange for the County"s offers of Items "A" through "G" above,
the Town of Red C1 i-ff wi l l perform Items "H" through "J" as stated below.
H. Remove snow and maintain in a reasonably safe, driveable
condition, the lower roadway, identified as Water Street, from
the city limits, near the bridge, to the intersection of U.S.
Highway 24, a distance of approximately five tenths (.:5) of a mi l.e.
I.. Remove snow and maintain in a reasonably safe, driveable
condition, the upper roadway, identified as High Street, from the
city limits to the intersection of U.S. Highway 24, near the
upper arch bridge spanning the Eagle River, a distance of approx-
imately two tenths (.2) miles.
J. Remove snow and maintain in a reasonably safe, driveable
condition, the roadway identified as Turkey Creek Drive and known
also as Shrine Pass Raod, from the city limits to the site of the
Red Cliff Water and Sanitation District's water treatment plant
location. This is a distance of about one (1) mile.
K. Upon acceptance by each party, this Letter of Understanding and the
terms agreed upon shall become binding as to performance until such
time as another agreement might be reached, or until such time as
this Letter of Understanding is terminated upon mutual agreement
to do so by both parties who have so entered into this agreement.
This Letter of Understanding encompasses prior discussions of the Board
of County Commissioners of Eagle County and the Mayor and Town Council of
the Town of Red Cliff.
It is the desire of both governmental entities to reach an equitable
agreement that is beneficial for all taxpayers within the Town of Red Cliff
and the taxpayers within the County of Eagle.
