AGREEMENT BETWEEN
THE COUNTY OF EAGLE, STATE OF COLORADO
AND
COMMUNITY HEALTH SERVICES
THIS AGREEMENT, made and entered into this 1st day
of ju l „ , 198 4 by and between THE COUNTY OF
EAGLE, STATE OF COLORADO, a body corporate and politic, by and
through its BOARD OF COUNTY COMMISSIONERS, hereinafter referred
to as the "County" and COMMUNITY HEALTH SERVICES, hereinafter
referred to as the "Contractor."
W I T N E S S E T H:
WHEREAS, the County, by and through the Eagle County
Nursing Services Department, provides community health nursing
services in the County of Eagle, Colorado, area, and desires to
contract with an entity which can provide qualified nursing
services; and
WHEREAS, Community Health*Services can provide such
qualified nursing services, and desires to enter into a contract
with the County.
NOW, THEREFORE, in consideration of the mutual
covenants and agreements herein contained, and for other good
and valuable considerations acknowledged by each respective
party to be satisfactory and adequate, the parties hereto agree
as follows:
1. The County hereby contracts with Community Health
Services to provide those certain health nursing services as
specified and deemed necessary by the supervisor of the
Eagle County Nursing Services Department acting as the
designated representative of the County.

term of this
contract is from
July 1st,
1984
through
June
3, 1985
, and may be
terminated
as
hereinafter provided. This agreement shall be renewable for
successive one year periods upon the mutual agreement of the
respective parties hereto.
3. Community Health Services shall provide such
specified services on such days and during such hours as
shall be required by the supervisor of the Eagle County
Nursing Services Department acting as the designated
representative of the County. As compensation for such
specified services, the County shall pay Community Health
Services a fixed rate per visit as follows:
RN visit ................$ 44.00 - $ 65.00
PT visit ................ $ 44.00 - $ 65.00
ST visit ................$ 44.00 - $ 65.00

Homemaker visit ....... $.39..20...$ 45.00
4. Either party hereto shall have the right to
terminate this agreement by giving the other party thirty
days' notice by registered mail, return receipt requested.
If notice is so given, this agreement shall terminate on the
expiration of the thirty days, the liability of the parties
hereunder for the further performance of the terms of this
agreement shall thereupon cease, but the parties shall not
be relieved of the duty to perform their obligations up to
the date of termination.
5. The parties to this agreement intend that the
relationship between them contemplated by this agreement is
that of employer -independent contractor. Contractor shall
be solely responsible for its acts during the performance of
this agreement.
6. At all times during the performance of this
agreement, the contractor shall strictly adhere to all
applicable rules and regulations of the County of Eagle,

Colorado, and the laws of the State of Colorado and the
rules and regulations issued pursuant thereto. Contractor
authorizes the County to perform audits and to make
inspections for the purpose of evaluating the performance
under this agreement.
7. Contractor shall indemnify the County against all
liability and loss, and against all claims and action based
upon or rising out of damage or injury, including death, to
persons or property caused by or sustained in connection
with the performance of this agreement or by conditions
created thereby, or based upon any violation of any statute,
ordinance, or regulation in the defense of any such claims
or actions.
S. Financial obligations of the County payable after
the current fiscal year are contingent upon funds for the
purposes set forth in this agreement being appropriated,
budgeted and otherwise made available.
9. No modification or waiver of this agreement or of
any covenant, condition, or provision herein contained shall
be valid unless in writing and duly executed by the party to
be charged therewith.
10. All agreements and covenants herein are severable,
and in the event that any of them shall be held invalid by a
competent court, this agreement shall be interpreted as if
such invalid agreement or covenant were not contained
herein.
11. This written agreement embodies the whole agreement
between the parties hereto and there are no inducements,
promises, terms, conditions, or obligations made or entered
into either by Contractor or County other than that
contained herein.

12. This agreement shall be binding upon the parties
hereto, their heirs, personal representatives, successors or
assigns, and may not be assigned by anyone without the prior
written consent of the County.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement, the day and year first above written.
