THIS AGREEMENT, made and entered into this ;Zp day
of June, 1984, by and between the COUNTY OF EAGLE, STATE OF
COLORADO, acting by and through its BOARD OF COUNTY
COMMISSIONERS, hereinafter called the "County", and ED CONOVER
and SUE CONOVER, d/b/a EAGLE FLOOR COVERING, hereinafter
called the "Contractor".
The County and the Contractor, in consideration of
the mutual covenants herein set forth, agree as follows:
ARTICLE 1. WORK
The Contractor shall supply and install static
resistant carpet in the office of the Eagle County Clerk &
Recorder located in the Eagle County Courthouse, 551 Broadway,
Eagle, Colorado. The Contractor shall be responsible for the
furnishing of all tools and materials required.
Contractor understands that the work is not to be
done during regular office hours of the Eagle County Clerk &
Recorder's office.
ARTICLE 2. COUNTY'S REPRESENTATIVE
Michael Bradley or, in his absence, the Public Works
Director, is designated as the County's representative for
purposes required in the contract documents.
ARTICLE 3. CONTRACT PRICE
The County shall pay the Contractor for the performance
of the work in accordance with the contract documents and in
current funds the total price of one thousand seven hundred
ninety dollars and twenty-five cents ($1,790.25).
ARTICLE 4. PAYMENT PROCEDURES
The County intends to make payment of the total
price after completion -'of the work by the Contractor and inspec-
tion by the County's representative. The inspection by the
County's representative shall be made promptly upon notification
by the Contractor that the work is complete. If, during the
course of the inspection, the County's representative notes any
deficiencies or defects in the work, he shall provide the
Contractor with a written list of such defects or deficiencies
in the work and the Contractor shall promptly correct all
defects or deficiencies. The above -described payment shall
not be made until the defects or deficiencies are corrected and
the work has been reinspected by the County's representative.
No work shall be done which changes the amount
owed to the Contractor by the County unless authorized in
writing by Change Order signed by the Chairman of the Board
of County Commissioners. Prior to and before any payment by
the County to the Contractor, the Contractor shall furnish
a sworn affidavit containing the names of any employees and/or
subcontractors and a statement that they have been paid in
full. Any subcontractor shall be required to also furnish
a sworn statement with regard to the payment of his employees.
ARTICLE 5. CONTRACTOR'S REPRESENTATIONS
In order to induce the County to enter into this
Agreement, the Contractor makes the following representations:
5.1 The Contractor has familiarized himself with the
nature and extent of the contract documents, work, locality
and with all local conditions and federal, state and local
laws, ordinances, rules and regulations that in any manner
may affect the cost, progress or performance of the work.
5.2 The Contractor has conducted an on -site
inspection and measurement of the work and studied care-
fully the existing conditions at the work site or otherwise
affecting the cost.

5.3 The Contractor has made or caused to be made
examinations, investigations and tests as he deems
necessary for the performance of the work, the contract
price, within the contract time in accordance with the
other terms and conditions of the contract documents.
5.4 The Contractor warrants and guarantees all
work and materials supplied to the County for a period of
one (1) year. Such warranty shall be independent of
and in addition to the warranty of any manufacturer of
the carpeting used in the work.
ARTICLE 6. CONTRACT DOCUMENTS
The contract documents which comprise the entire
agreement between the County and the Contractor are attached to
this Agreement and made a part hereof and consist of the
following:
6.1 This Agreement;
6.2 Invitation to Bid; and
6.3 Contractor's Bid.
There are no contract documents other than those listed above
in this Article 6. The contract documents may only be altered,
amended or repealed by a modification in writing signed by
the Contractor and the Board of County Commissioners.
ARTICLE 7. MATERIALS
The color of the carpet to be installed is Bittersweet
No. 2307. The carpet is to be tufted loop pile 100% Dupont
Antron 3 with static resistance, multi -dye level nylon with
a yard weight of 28 ounces per square yard, jute or action
backing and 1% 8" guage.
ARTICLE 8. MOVING FURNITURE AND EQUIPMENT
The Contractor shall move all furniture necessary
to properly install the carpet and return it to its original

location for which there will be an additional -charge not to
exceed sixty dollars ($60.00).

ARTICLE 9. MISCELLANEOUS
9.1 No assignment by a party hereto of any rights or
interests in the contract documents will be binding on
another party hereto without the written consent of the
parties sought to be bound; and specifically, but without
limitation, monies that may be due and monies that are due
may not be assigned without such consent (except to the
extent tha the effect of this restriction may be limited
by law), and unless specifically stated to the contrary on
any written consent to an assignment, no assignment will release
or discharge the assignor from any duty or responsibility
under the contract documents.
9.2 The County and Contractor each binds himself,
his partners, successors, assigns and legal representatives in
respect to all covenants, agreements and obligations contained
in the contract documents.
9.3 Prior to commencing work, the Contractor shall
furnish good and sufficient insurance in a form acceptable to
the County Attorney, including liability insurance and workmen's
compensation insurance.
9.4 The work as described hereinabove shall be com-
pleted on or before August 26, 1984.
IN WITNESS WHEREOF, the parties hereto have signed
this Agreement in triplicate on the day and year first above
written. One counterpart each has been delivered to the
County and Contractor.

that will be accepted is a Omalon Commercial Grade,
spec. two.
BIDDERS RESPONSIBILITIES
1. Visit job site and measure offices to be carpeted.
2. All installation and carpet preperation work must
be done between 5:30PM and 7:30AM Monday through
Friday. .Any time on weekends, unless office work
has been planned.
3. Moving office furniture and equipment.
4. Completely prepare floor for installation of new
carpet. This will include but not be limited to
the following repair; low or damaged snots in floor,
clean Boor surface.
5. Supply all labor, tools and materials to complete
installation of carpet.
