AGREEMENT
THIS AGREEMENT is dated as of the O day
of u / 1984, by and between the COUNTY OF EAGLE,
STATE OF COL RADO, acting by and through its BOARD OF COUNTY
COMMISSIONERS (hereinafter referred to as the "County"), and
CEDAR VALLEY ELECTRIC, INC. (hereinafter called the
"Contractor"). The County and the Contractor, in consideration
of the mutual covenants herein set forth, agree as follows:
ARTICLE I. WORK
The Contractor will complete all work as specified or
indicated in the Contract Documents. The work is generally
described as follows: installation of four electrical
pedestals, described as pedestals 1, 2, 3 and 4 on the bid
specifications marked as Exhibit "A" (a copy of which is
attached hereto) in accordance with those bid specifications, at
the Eagle County Fairgrounds, Eagle, Colorado. The work does
not include the installation of pedestal no. 5.
ARTICLE II. COUNTY'S REPRESENTATIVE
The Eagle County Building and Grounds Supervisor or, in
his absence, the Public Works Director, is designated as the
County's representative for purposes required in the Contract
Documents.
ARTICLE III. CONTRACT TIME
The work shall be done as promptly as possible. All
work shall be completed on or before August 7, 1984. The County
and the Contractor recognize that time is of the essence in this
Agreement.
ARTICLE IV. CONTRACT PRICE
The County shall pay the Contractor for performance of
the work in accordance with the Contract Documents in current
funds the total price of Six Thousand Two Hundred Fifty -Three
Dollars and No Cents ($6,253.00), lump sum price.
ARTICLE VI. MANNER OF PAYMENT
A. The County agrees to make a payment of 90% of the
total contract price after completion of the work by the
Contractor and inspection by the County representative through
the County's regular bill paying procedure. The inspection by
the County representative shall be made promptly upon
notification of the Contractor that the work is complete. If
during the course of the inspection the County representative
notes any deficiencies or defects in the work, he shall provide
the Contractor with a written list of such defects or
deficiencies in the work and the Contractor shall promptly
correct all defects or deficiencies. The above described
payment shall not be made until the defects or deficiencies are
corrected and have been re -inspected by the County's
representative.
B. Ten percent (10%) of the total price shall be
retained by the County and shall not be made until after final
settlement of this contract has been duly advertised at least
ten (10) days prior to such final payment by publication of
ti
notice thereof at least twice in a public newspaper of general
circulation published in Eagle County, and the Board of County
Commissioners has held a public hearing, thereupon and complied
with Section 38-26-107 of the Colorado Revised Statutes. Final
payment shall be made in accordance with the aforesaid statute.
C. No work shall be done which changes the amount owed
to the Contractor by the County unless authorized in writing by
written change order, signed by the County's representative.
ARTICLE VI. CONTRACTOR'S REPRESENTATIONS
In order to induce the County to enter into this
Agreement, Contractor makes the following representations:
6.1 Contractor has familiarized himself with the
nature and extent of the Contract Documents, work, locality, and
with all local conditions and federal, state and local laws,
ordinances, rules and regulations that in any manner may affect
cost, progress or performance of the work.
6.2 Contractor has conducted an on -site inspection of
the work and studied carefully the existing conditions at the
work site or otherwise affecting the cost.
6.3 Contractor has made or caused to be made
examinations, investigations and tests as he deems necessary for
the performance of the work at the contract price, within the
contract time and in accordance with the other terms and
conditions of the Contract Documents.
6.4 Contractor has correlated the results of all such
observations, examinations, investigations, tests, reports and
data with the terms and conditions of the Contract Documents.
6.5 Contractor has given the County written notice of
all conflicts, errors or discrepancies that he has discovered in
the Contract Documents and the written resolution thereof by the
County is acceptable to the Contractor.
6.5 Contractor warrants and guarantees all work and
material supplied to County for a period of twelve months.
Warranty of the Contractor is in addition to any warranty of
materials provided by any manufacturer.
ARTICLE VII. CONTRACT DOCUMENTS
The Contract Documents which comprise the entire
agreement between the County and Contractor are attached to this
agreement, made a part hereof and consist of the following:

including Drawing and Map.
7.3 Exhibit B - Contractor's Bid (captioned
"Proposal")

There are no Contract Documents other than those listed above in
this Article 7. The Contract Documents may only be altered,
amended or repealed by a Modification in writing signed by the
Contractor and the Board of County Commissioners. In case of
any conflict between the documents, the Agreement shall take
precedence over all other documents and the Bid Specifications
shall take precedence over all other documents except this
Agreement.
ARTICLE 8. MISCELLANEOUS
8.1 No assignment by a party hereto of any rights
under or interests in the Contract Documents will be binding on
the other party hereto without the written consent of the party
sought to be bound; and specifically but without limitation,
monies that may become due and monies that are due may not be
assigned without such consent (except to the extent that the
effect of this restriction may be limited by law), and unless
specifically stated to the contrary in any written consent to an
assignment, no assignment will release or discharge the assignor
from any duty or responsibiity under the Contract Documents.
8.2 County and Contractor each binds himself, his
partners, successors, assigns and legal representatives in
respect to all covenants, agreements and obligations contained
in the Contract Documents.
8.3 Prior to commencing work, Contractor shall furnish
to proof of good and sufficient insurance in a form acceptable
to the County Attorney, including liability insurance and
workmen's compensation insurance.
8.4 Time is of the essence in this contract.
IN WITNESS WHEREOF, the parties hereto have signed this
Agreement in triplicate. One counterpart each has been
delivered to Owner and Contractor. All portions of the Contract
Documents have been signed or identified by Owner and
Contractor.

EXHIBIT "A"
BID =
Eagle County will be accepting bids --for installing electric
pedestals at the Eagle CountyFairgrounds..-These pedestals will
be used .for the most part during fair time, to supply power to
the booths.
There will be a total of-5 pedestals._ Each pedestal will be an
individual circuit (115 V, 20 AMP) . The pedestal label # 1 will
also have 220 V capability (220 V, 50 AMP) . -Each pedestal will
have rain tight covers and receptacles, 4 X 4 redwood post, 30"
above ground, and treated and*concre-te_d in. The facing board
must be made of marine type plywood: All above ground pipe must
be sch 80 pvc. All under.;round Pipe must be sch. 40 pvc.
The following is a break down of distance between the pole and
the pedestal, number of outlets (110 V or 220 fir) .

Panel and service on pole must be 200 Amp, single phase, main
breaker panel, meter box and raiser.
Your bid must also include all trenching for all underground
lines.
All work must be complete by August 1, 1984.
All bids are due back to the Public Works Department office by
July 13, 1984 at 2: 00 P.m.
Payment will be made within 30 days of completion.
