EAGLE COUNTY, COLORADO
AND
ALAN KOKISH, INC. DBA
CUSTOM CATERING
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of the 1st day of
January, 2024 by and between Alan Kokish, Inc. a Colorado corporation d/b/a Custom Catering
(hereinafter “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter
“County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of January,
2022, for certain Services for compensation not to exceed $91,728.00 (C21-381, the “Original
Agreement”); and
WHEREAS, County and Consultant entered into a First Amendment dated the 1st day of January,
2023 to extend the term of the Original Agreement for an additional year for certain services for
compensation not to exceed $98,280.00 (C22-380, the “First Amendment”); and
WHEREAS, the County desires to continue Services as reflected in Exhibit 2, increase the
compensation for Consultant for 2024 and extend the term of the Original Agreement; and
WHEREAS, the term of the First Amendment expires on the 31st day of December, 2023 and
the parties desire to extend the term for an additional year and revise the compensation on the
same terms and conditions as set forth in the Original Agreement.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The term of the Original Agreement and First Amendment is hereby extended to the
31st day of December, 2024
2. The Original Agreement shall be amended to include the Services and compensation
described in Exhibit 2, which is attached hereto and incorporated herein by reference.
3. The compensation for this term shall not exceed $103,230 for a total maximum
compensation under the Original Agreement, First Amendment and this Second
Amendment of $293,238.
4. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement and First Amendment. To the extent that the terms and
provisions of the Second Amendment conflict with, modify or supplement portions of

the Original Agreement, the terms and provisions contained in this Second
Amendment shall govern and control the rights and obligations of the parties.
5. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement and First Amendment shall remain in
full force and effect, and are hereby ratified and confirmed in all respects as of the
date hereof.
6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Original Agreement the day and year first above written.

EXHIBIT 2
SCOPE OF SERVICES, SCHEDULE, FEES
Custom Catering will provide senior meal services twice per week, including:
A. Cook, deliver and serve meals to the El Jebel senior site by 11:45 every Tuesday and
Thursday
B. Send appropriate staff to serve each meal
C. Purchase all raw food
D. Follow the grant approved menu each month. Any substitutions should be cleared by the
Healthy Aging Coordinator and/or grant contracted dietician
E. Provide an appropriate menu to the El Jebel Healthy Aging Coordinator each month by
the 5th day of each month
F. Manage all temperature and food and appliance logs for Tuesday/Thursday meals and
turn in at the end of each month
G. Maintain regular communication with the El Jebel Healthy Aging Coordinator
H. Accommodate basic modified diets needs (vegetarian)
I. Handle disposal and washing of all serving pieces supplied by Custom Catering
J. Manage all catering personnel staff and send appropriate staff each meal day
K. If Custom Catering is unavailable on a meal day; Custom Catering will notify El Jebel
Healthy Aging Coordinator at least 48 hours before the absence so that the Healthy Aging
Coordinator can arrange for alternate plans, such as an alternate catered meal option.
Eagle County will:
A. Provide disposable take out meal containers for congregate participants
B. Provide and store all beverages for meal days
C. Provide warming cart or warming trays at El Jebel site every Tuesday/Thursday
D. Communicate an accurate meal count, including congregate and home delivered meals
(HDM), to Custom Catering every Monday/Wednesday
E. Provide all delivery containers for home delivered meal participants
F. Communicate any modified diet needs to Custom Catering no later than the day before
the meal day
G. Handle all intake paperwork for congregate and HDM participants
H. Conduct re-assessments for all HDM participants
I. Find and coordinate meal day volunteers
J. Provide all cleaning supplies for El Jebel kitchen
K. Provide cups, silverware, dishes, etc. for each meal day and wash all at the end of each
meal
L. Set up and take down dining room each meal day
M. Maintain all appliances in El Jebel kitchen
N. Store any extra food in El Jebel’s pantry, freezer or Fridge if needed

A. During the term of January 1, 2024 through December 31, 2024, Eagle County will
compensate Custom Catering for the performance of the Services at the rate of $103,230
which covers 70 meals per meal day at a rate of $14.18 per meal. There are a possible
104 meal days in the year. Compensation will go towards funding personnel, raw food,
and other operating expenses. Compensation for the performance of Services under this
Agreement during the term shall not exceed $103,230.00 for project period January 1,
2024 through December 31, 2024.
B. Invoices should be submitted once or twice per month to phinvoices@eaglecounty.us and
copy mandi.dicamillo@eaglecounty.us and carly.rietmann@eaglecounty.us and should
be billed no more than $992.60 per meal day. Breakdown of total is as follows:
104 approximate meal days in project period
70 contracted meals per day
$14.18 cost per meal
$14.18 x 70 = $992.60 cost per meal day
$992.60 x 104 = $103,230.00
