EAGLE COUNTY, COLORADO
AND
KATIE ZEPPETELLI
THIS THIRD AMENDMENT (“Third Amendment”) is effective as of the 1st day of January,
2024 by and between Katie Zeppetelli (hereinafter “Consultant” or “Contractor”) and Eagle
County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 5th day of August, 2021
for certain Services (the “Original Agreement”); and
WHEREAS, County and Consultant amended the Original Agreement via a first amendment
effective the 1st day of January, 2022 (C21-408, the “First Amendment”) to include additional
compensation and extend the term of the Original Agreement through the 31st day of December,
2022; and
WHEREAS, County and Consultant amended the Original Agreement via a second amendment
effective the 1st day of January, 2023, (C22-363, the “Second Amendment”) to include
additional compensation and extend the term of the Original Agreement; and
WHEREAS, the County desires to have Consultant perform Services for additional months and
additional compensation as set forth below; and
WHEREAS, the term of the Original Agreement, as extended by the Second Amendment,
expires on the 31st day of December, 2023 and the parties desire to extend the term of the
Original Agreement, as amended, for an additional year on the same terms and conditions as set
forth in the Original Agreement, as amended.
THIRD AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement, as amended, shall be amended to extend the term to the 31st
day of December, 2024.
2. The rate of compensation per class will not change but the total compensation for the
Services shall now not exceed $1,800, for a total maximum compensation under the
Original Agreement, First Amendment, and Second Amendment of $6,500.
3. Section 15 of the Original Agreement is hereby deleted in its entirety.

4. Capitalized terms in this Third Amendment will have the same meaning as in the
Original Agreement, as amended. To the extent that the terms and provisions of the
Second Amendment conflict with, modify or supplement portions of the Original
Agreement, as amended, the terms and provisions contained in this Third Amendment
shall govern and control the rights and obligations of the parties.
5. Except as expressly altered, modified and changed in this Third Amendment, all
terms and provisions of the Second Amendment, First Amendment and the Original
Agreement shall remain in full force and effect, and are hereby ratified and confirmed
in all respects as of the date hereof.
6. This Third Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the
Original Agreement, as amended, on the day and year first above written.
