EAGLE COUNTY, COLORADO
AND
JAVIERA SOTO
THIS FIRST AMENDMENT (“First Amendment”) is effective as of January 1, 2024 by and
between Javiera Soto (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a
body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of January,
2023, for certain Services (C22-385, the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $23,000.00 and
WHEREAS, the term of the Original Agreement expires on the 31st day of December, 2023 and
the parties desire to extend the term of the Original Agreement for an additional year on the same
terms and conditions as set forth in the Original Agreement.
WHEREAS, County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit 1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$25,344.00 for a total maximum compensation under the Original Agreement and this
First Amendment of $48,344.00.
3. The term of the Original Agreement is hereby extended to the 31st day of December,
2024.
4. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.

5. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Original Agreement on the day and year first above written.

EXHIBIT A
SCOPE OF SERVICES, SCHEDULE, FEES
I. SCOPE OF SERVICES AND SCHEDULE
A. The Kitchen Assistant shall provide assistance to the Healthy Aging Chef with food
preparation and delivery (the “Services”) as set forth in Section B below.
B. Unless otherwise agreed upon by County, the Services shall be provided each week
during the term of this Agreement on the following days and times:
a. Provide assistance in the Golden Eagle Senior Center kitchen and assist with food
delivery to Minturn Tuesday - Friday from 8:00 am to 2:00 pm
b. Act as the lead kitchen staff if Healthy Aging Chef is on vacation or out for
medical leave
C. Contractor agrees that she will provide the County with as much advance notice as is
reasonably practicable whenever she will not be available on a particular date to provide the
Services.
II. FEES
A. Eagle County will pay the Contractor a fee of $22.00 per hour for the period of January 1
- December 31, 2024 not to exceed an annual amount of $25,344.00
B. Contractor will invoice Eagle County every 2 weeks or monthly by submitted invoices to
phinvoices@eaglecounty.us and copying carly.rietmann@eaglecounty.us
