HomeMy WebLinkAboutC23-373 The Adam Palmer Sustainability Fund_grantGRANT AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND THE ADAM PALMER SUSTAINABILITY FUND THIS GRANT AGREEMENT (“Agreement”) is effective as of _____________ by and between the Adam Palmer Sustainability Fund, a Colorado nonprofit corporation (hereinafter “Grant Recipient”) and Eagle County, Colorado, a body corporate and politic (hereinafter “Grantor” or the “County”) through its Department of Public Health (“ECPHE”). RECITALS WHEREAS, Eagle County works to promote the health, safety, and welfare of Eagle County citizens of all ages; and WHEREAS, ECPHE has identified a significant community need for funding and services dedicated to the ‘promotion’ phase of care, which addresses root causes of local health disparities, which lead to a myriad of individual high-risk behaviors; and WHEREAS, the observed and reported fragmentation of community organizations and non- profits leads to a lack of strategy in services and programming across systems of care; and WHEREAS, ECPHE would like to extend staff knowledge and experience to offer organizational support while administering funds with the intent of infusing equity and inclusion from a systemic level; and WHEREAS, among the services Eagle County provides in order to promote such health, safety, and welfare are grants-in-aid to local organizations whose work assists the County in accomplishment of the goal to create and sustain a safe, healthy, environmentally and economically vital and socially diverse community; and WHEREAS, the County introduced the 2023 Pilot Advancing Systems Change Grants (the “ASC Grants”), which intend to fulfill capacity-building needs that support selected grant recipients’ projects which lead to expanding the ability to advance efforts to address root causes, enhance inter-agency partnerships and collaboration, and incorporate community-based decision-making in operations; and WHEREAS, the County issued a Request for Proposals on June 26, 2023 to determine appropriate entities to receive the ASC Grants. Grant Recipient submitted a proposal and was selected on July 31, 2023 as an appropriate entity to receive the Grant. Grant Recipient’s proposal is attached hereto as Exhibit A and incorporated herein by this reference; and WHEREAS, Grant Recipient has agreed to provide services that create and sustain a healthy environmentally and economically vital and socially diverse community in Eagle County; and DocuSign Envelope ID: 6D10F146-5F83-42BB-96FE-D2739CA7F3C9 11/30/2023 2 Eagle County Grant Final 5/14 WHEREAS, this Agreement shall govern the relationship between Grant Recipient and County in connection with the Services. GRANT AGREEMENT Now, therefore, in consideration of the foregoing premises and the following promises, Eagle County and Grant Recipient enter into this Agreement for payment of the grant award in the amount of twenty-eight thousand, five hundred and thirty-five dollars ($28,535) (the “Grant”) to Grant Recipient. A. Grant Recipient agrees that funds awarded by County may be used and expended solely to increase the diversity of voices influencing local climate policy while increasing equitable access to available programs by reducing the significant financial, language, and social barriers to participation as specified in its 2023 Community Service Grant Application and Grant Application Budget Section. All funds will be expended in the specified grant period as outlined in the Scope of Work (the “Grant Period”), which is attached hereto and incorporated herein as Exhibit B. The Grant Award set forth herein is for the specific Grant period and the Grantor makes no representations, nor should Grant Recipient rely on this award as a representation of any future awards for other grant periods. B. In return for the award of the Grant, Grant Recipient agrees to submit required documentation discussing how the funds were expended, deliverables as outlined in the Scope of Work, and how they tie back to creating and sustaining a healthy environmentally and economically vital and socially diverse community. C. Payment of the Grant will be made in two installments, with 70% of funds paid at upon execution of this Agreement, and the final 30% paid in December of 2023 following the County’s satisfactory review of deliverables as outlined in the Scope of Work. D. Grant funds under this Grant Agreement are to be used and expended within the Grant Period. Any funds not used or expended during the Grant Period must be returned to Grantor. E. If, after payment of the Grant Award, Eagle County reasonably determines that payment was improper because the purposes for which the payment was made were misrepresented, or the terms of this Agreement were breached, then upon written notice of such determination and request for reimbursement from Eagle County, Grant Recipient shall forthwith return such payment to Eagle County. F. Grant Recipient shall comply at all times and in all respects with all applicable federal, state and local laws, resolutions and codes; and specifically, with the requirements of the Civil Rights Act of 1964 and Section 504, Rehabilitation Act of 1973, concerning discrimination on the basis of race, color, sex, age, religion, political beliefs, national origin or handicap. G. Grant Recipient shall not assign any of its rights or duties under this Grant Agreement to a third party without the prior written consent of the Grantor. H. Grant Recipient agrees that no agent, employee or volunteer of Grant Recipient shall be deemed an agent, employee or volunteer of County. I. Grant Recipient shall maintain, for a minimum of three (3) years, adequate financial and programmatic records for reporting to Grantor on performance of its responsibilities hereunder. Grant Recipient shall be subject to financial audit by federal, state or county auditors or their designees. Grant Recipient authorizes Grantor to perform audits or to make inspections during normal business hours, upon 48 hour notice to Grant Recipient for the purpose of evaluating performance under this Grant Agreement. Grant Recipient shall cooperate fully with authorized Eagle County representatives in the observation and evaluation of the program and records. Grant Recipient shall have the right to dispute any claims of misuse of funds and seek an amicable resolution with Grantor. J. This Agreement shall be governed by the laws of the State of Colorado. Jurisdiction and venue for any suit, right or cause of action arising under, or in connection with this Agreement shall be exclusive in Eagle County, Colorado. K. This Grant Agreement supersedes all previous communications, negotiations, and/or agreements between the respective parties hereto, either verbal, or written, and the same not expressly contained herein are hereby withdrawn and annulled. L. This Grant Agreement does not, and shall not be deemed or construed to confer upon or grant to any third party or parties any right to claim damages or to bring any suit, action or other proceeding against either Grant Recipient or Grantor because of any breach hereof or because of any of the terms, covenants, agreements and conditions contained herein. M. Invalidity or unenforceability of any provision of this Grant Agreement shall not affect the other provisions hereof, and this Grant Agreement shall be construed as if such invalid or unenforceable provision was omitted. N. To the extent required to perform under this Grant Agreement, Grant Recipient represents and warrants that it has the expertise and personnel necessary to properly perform the Grant Agreement and its professional personnel are duly licensed to perform. O. No failure or delay by either party in the exercise of any right hereunder shall constitute a waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding breach. P. The signatories to this Grant Agreement aver to their knowledge, no employee of the County has any personal or beneficial interest whatsoever in the matters described in this Grant Agreement. The Grant Recipient has no beneficial interest, direct or indirect, that would conflict in any manner or degree with the performance of the Grant Agreement and Grant Recipient shall not employ any person having such known interests. Grant Recipient shall be responsible for the completeness and accuracy of its performance under the Grant Agreement, including all supporting data or other documents prepared or compiled in performance of the Grant Agreement, and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the Grantor has accepted or approved the work performed shall not relieve Grant Recipient of any of its responsibilities. Grant Recipient shall perform the Grant Agreement in a skillful, professional and competent manner and in accordance with the standard of care, skill and diligence applicable to Grant Recipients performing similar services. This paragraph shall survive termination of this Grant Agreement. S. Grant Recipient shall carry workers compensation insurance as required by law and automobile and commercial general liability insurance as necessary and appropriate during the term of the Grant Agreement, proof of which is attached hereto as Exhibit C. T. The Grant Recipient shall indemnify and hold harmless Grantor, and any of its officers, agents and employees against any losses, claims, damages or liabilities for which Grantor may become subject to insofar as an such losses, claims, damages or liabilities arise out of, directly or indirectly, this Grant Agreement, or are based upon any performance or nonperformance by Grant Recipient or any of its sub-recipients hereunder including claims for bodily injury or personal injury including death, or loss or damage to tangible or intangible property; and Grant Recipient shall reimburse Grantor for reasonable attorney fees and costs, legal and other expenses incurred by Grantor in connection with investigating or defending any such loss, claim, damage, liability or action. This indemnification shall not apply to claims by third parties against the Grantor to the extent that Grantor is liable to such third party for such claims without regard to the involvement of the Grant Recipient. This paragraph shall survive expiration or termination hereof. U. Involvement will be highly interactive and adaptable to the grantee's needs, goals, and limitations, with the intent of fostering a supportive funding relationship. This 9-month grant cycle will begin September 2023, with an application period beginning Monday, June 26th, 2023, and closing Friday, July 21st, 2023. A virtual information session will be held virtually on July 6th, 2023 at 4pm to offer applicants an opportunity to ask questions and learn more detail about the grant. Any additional submitted questions will be publicly posted with coinciding answers. This program wishes to fulll capacity-building needs that support applicants’ projects which leads to expanding ability to advance root cause efforts, enhance inter-agency partnerships & collaboration, and incorporate community-based decision-making in operations. These capacity-building efforts must be directly linked to the development or support of projects which serve populations in our community that experience disadvantages due to inequities in policies, practices, social norms, and the distribution of resources. It is through dedication to these efforts that gradual system-level change can be accomplished. The mission of the Palmer Fund is to par tner with community leaders to achieve net-zero carbon consumption in the Town of Eagle by 2030 through philanthropy, green infrastructure, revolving loans, and grant funding. Over time, we have found a strong role with local advocacy. As the Town of Eagle slowly builds capacity towards our shared climate goals, Palmer Fund provides technical exper tise, policy advocacy, and community engagement. This included worksessions with electeds, council presentations, and community conversations and tabling that led to a resolution to bring curbside compost and single stream recycling to Town residents. New containers will be arriving at the end of August! While this is an exciting step for sustainability, trash rates will increase and unfor tunately, no outreach has been done in Spanish. This change will impact approximately 3,000 residents. In May 2023, the Palmer Fund released its Net Zero Action plan for the Town of Eagle. The full repor t is available on our website. This action plan establishes baseline emissions and details investments and immediate and long term actions needed to meet our goals. We have hosted two community engagement sessions and printed posters of this plan. Between these workshops and our popular biannual trivia nights, we have engaged with approximately 250 community members. With grant funds, we can translate the posters and host Spanish language engagement sessions. A key belief of the Palmer Fund is that collectively, we have the solutions to climate change and more equitable access to capital is needed to scale and disseminate technology and ideas. This spring, we opened our first round of Community Microfinance. We have dedicated a small por tion of funds to go directly to community members to fund grassroots projects. The Palmer Fund aims to grow this program to a green revolving fund. Loans will be made from the fund with below-market interest rates and to entities that might otherwise not be able to access capital. Fifty-one percent or more of the loans will be earmarked for minority-owned, women-owned, rural, and/or income-qualified entities. We need additional capacity to reach these target populations who face systemic barriers to accessing capital and may not have the confidence to apply for our program from the outset. The Palmer Fund will honor the triple bottom line of sustainability, operating as an organization that sees equal value in stewardship of the environment, human dignity, and financial resources. All operations are grounded in these three principles. We believe in protecting and preserving the natural environment, responsible stewardship and fiscal management of donor resources, and a just transition away from carbon that is inclusive and ensures all individuals are equally protected from environmental risk. We are inspired by Lilia Watson who said “If you have come here to help me, you are wasting your time. But if you have come because your liberation is bound up with mine, then let us work together.” This is the crux of climate justice–recognizing our codependent future on a shared planet. They meet once a quar ter for formal board meetings, and each member is engaged in an individualized role in collaboration with the executive director. The Board is responsible for making connections, fundraising, and oversight of the organization. Board members frequently attend par tner meetings and volunteer at Palmer Fund events. Kristen Har tel serves as the board chair and Laura Hartman as the executive director. While it is encouraging that two women lead the organization, the remaining members of the board represent a similar demographic- middle aged white men. In the coming year, we would like to recruit younger board members who are par t of communities where we wish to par tner and codesign action. Project Funding Request Capacity Building for Climate Justice: Addressing root causes of health inequities and developing climate justice requires an intentional approach that includes and empowers all populations in Eagle. We will hire community advocates to engage both at the grassroots level and with local leadership and policy makers. We will build capacity within the Palmer Fund to effectively engage traditionally disadvantaged populations in securing access to funds available for rebates, loans, and other programs as a way of forwarding climate justice. Women, low income, rural, and Latino populations have higher barriers to accessing capital and stand to miss oppor tunities for financial resources. Success will mean increased access to programs that mitigate the physical, financial, and mental health impacts of climate change. Historically, the impacts of climate change affect communities of color and low-income communities most predominantly. 26% of Eagle’s community identifies as Hispanic or Latino and 33% of residents are renters. Informed by the Colorado Latino Climate Justice Policy Handbook by Conservation Colorado, Palmer Fund recognizes that these “communities face a variety of environmental, economic, and health disparities born out of underinvestment and marginalization, resulting in…severe disparities in small business ownership, and less traditional access to banking.” These communities are less able to access programs that mitigate the physical, financial, and mental health impacts of climate change. To build capacity for climate justice, the Palmer Fund will begin with recruiting three climate justice advocates from communities that stand to bear the greatest climate change burdens. These advocates will receive monthly stipends. During the nine month program, they will have the oppor tunity to work directly with Palmer Fund and Town of Eagle leadership to incorporate diverse voices of renters and Spanish speakers in decision making. We are requesting grant funds for advocates to attend the Mountain Towns 2030 conference in Vail to connect with leaders from across the West. Throughout the program, Advocates will be asked to identify and take leadership on a sustainability project or subject area. They will design community outreach to help others access the available financial resources for sustainability like rebates, prebates, grants, loans, and tax incentive programs. Additionally, Palmer Fund will recruit new Board Members and/or advisors that are young because they stand to suffer the most from climate change and/or are part of the traditionally marginalized communities where we aim to build power. The Palmer Fund anticipates annual funding from the Town of Eagle that covers some basic operations. We have relationships with a handful of major donors and great community relations that contribute to individual giving. In the coming year, Palmer Fund is focused on securing more sustainable grant funding and developing corporate par tnerships. Evaluation and Outcomes Translation: Translate materials related to existing sustainability programs. Translate Net Zero Action Plan posters. Advocacy: Increase diversity of voices influencing local climate policy. Grassroots Leadership: Hire three community advocates to codesign policy goals, engage with community, and attend Mountain Towns 2030 conference. Engagement: With advocates, develop engagement strategies to help target populations access programs to mitigate financial, physical, and mental health impacts of climate change. Board Development: Recruit at least one new board member and one new advisor that represent the community we ser ve. To date, the Palmer Fund has focused on output tracking more than outcomes. This is due to our small size and young age. We understand that an essential principle of stewardship of philanthropic dollars is to measure impact and ensure that resources are having the desired effect on issues. Palmer Fund welcomes the exper tise of ECPHE in developing a more formal methodology for assessing our impact beyond our current tracking of numbers served and policies passed. During the course of the program, we would like to engage advocates and ECPHE in a shared design process that allows the community to determine additional relevant and culturally appropriate outputs and outcomes. The Palmer Fund will use a survey and motivational interview with advocates in September and May to measure climate leadership development. It could include measures around confidence, voice, and commitment to community. Additionally, we will track changes in inclusion policy in local government and within the Palmer Fund itself. We have seen how the compost advocacy program in Eagle is inspiring action in Vail and Avon. Our greatest hope is that climate justice done well in Eagle can serve as a guidepost for other organizations and municipalities. As they relate to climate justice, we see that low-income, women, and people of color stand to suffer the negative effects of climate change sooner and to a greater degree than people of more privilege. The CDC explains, “People throughout the United States face climate change-related health risks, but some of us will feel the effects earlier and more severely. This is because of differences in our exposures to climate hazards, our sensitivity to these hazards, and our ability to adapt…Characterizations of vulnerability should consider how populations of concern experience dispropor tionate, multiple, and complex risks to their health and well-being in response to climate change.” In understanding our local community, the Palmer Fund focuses on renters, women, and Latino communities in our climate justice work. According to the CO Latino Climate Justice Policy Handbook, 47% of Latinos in Colorado are renters and fully 40% of all outdoor workers in Colorado are Latino. 35% of Hispanic/Latinos surveyed by Yale Program for Climate Communication are alarmed and 29% are concerned about global warming. The highest percentage among ethnic/racial groups surveyed. The purpose of Palmer Fund’s Building Capacity for Climate Justice is two-fold, first to leverage principles of codesign and community power building to increase the diversity of voices influencing local climate policy and also to increase equitable access to available programs that mitigate the financial, physical, and mental health impacts of climate change. This work directly responds to the call in the Handbook reimagine public engagement to empower community decision-making. Translation, engagement, and advocacy will increase access to programs that can result in decreased cost burden of utilities, more equitable economic benefits of clean energy transition, decreased feelings of helplessness associated with climate anxiety, and increased savings that allow vulnerable people to adapt to unknown future climate mitigation needs/emergencies. By calling out root causes of systemic inequalities, we build a more just and inclusive society that recognizes our codependent futures on a shared and warming planet. We also par tner with the Climate Action Collaborative to stay in line with valley-wide climate efforts. Palmer Fund has made connections with Equitable Solar Solutions (ESS) out of Ridgeway. ESS is pioneering practices to repurpose solar panels from wealthy early adopters and install them to serve low-income communities. We are in the planning phase of a par tnership with ESS to develop a local panel reuse program. Nothing can be accomplished in this community without collaboration. Laura, key staff in this program, has a strong track record of collaboration and understands how to bring key players together to accomplish a shared goal. To recruit advocates, Palmer Fund would like to par tner with existing power-building programs like Campeones and Family Leadership Training Institute. Inclusivity and Equity This area needs to be further developed. While all board and staff members of Palmer Fund share a commitment to input and collaboration with impacted populations, we are lacking a formal structure. We would very much like to move to community codesign and power sharing in determining our next advocacy steps. This project is explicitly designed to increase our capacity in this regard. Laura Har tman, Executive Director, is the only staff member of the Palmer Fund. She is a woman, a renter as opposed to a homeowner, and speaks Spanish as a second language. While these qualities will help her connect with the target populations of this work, she recognizes that she is not of that community. Therefore, we are seeking funds to hire sustainability advocates who can work in their communities directly and liaise between grassroots and Palmer Fund.
