EAGLE COUNTY, COLORADO
AND
SCHMUESER GORDON MEYER, INC. d/b/a SGM, INC.
THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and
between Schmueser Gordon Meyer, Inc. dba SGM, Inc a Colorado corporation (hereinafter
“Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic
(hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 9th day of May, 2023,
for certain Services (the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $500,000; and
WHEREAS, County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit D, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit D shall not exceed
$45,000 or a total maximum compensation under the Original Agreement and this
First Amendment of $545,000.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

RE: Geothermal Feasibility Study Services – West Eagle Workforce Housing Project
SGM is excited to present our proposed scope and
budget to provide geothermal feasibility study services
for the West Eagle Workforce Housing Project. Our
scope of service proposal is based on the provided
Caddis Collaborative 100% Design Development (DD)
documentation dated 5/31/2023.
Project Information and
Approach
The West Eagle project consists of approximately 7
Duplex, 9 Townhome, 9 Multi-Family, and 7 Triplex
buildings of new construction for workforce housing for
Eagle County and USFS staff. The workforce housing
consists of 156 housing units for ~494 occupants.
The proposed activities are required to successfully study heating, ventilation and air-
conditioning (HVAC) and possible water heating capacities needed to determine if geothermal
systems are feasible.
1.Review of DD level mechanical, electric, and plumbing (MEP) system design.
2.Estimation of geothermal geo-field approximate size bore and/or loop quantity.
3.Geothermal and mechanical system recommendations.
4.Major Geothermal will be SGM’s geothermal sub-consultant.
The project will be broken into two phases to allow for discussion, refinement, and owner input,
once initial basic feasibility has been presented.
1.Project management.
2.Discovery.
3.Review current design.
4.Draft report.
Phase two will consist of:
1.Project management.
2.Client review.
3.Final report.

Phase 1: Discovery and Draft Report
Task PM 1 – Project Management/Correspondence
1. Project Management
a. Attend up to (4) monthly teleconference-based feasibility team meetings with the
Ownership team.
b. Conduct an internal kick-off team meeting.
2. Communications and Correspondence:
a. Provide monthly project budget status and invoice reviews.
b. Provide bi-weekly project update emails to the client.
Task MEP 1 – Review Current Proposed Design
1. Plan review discovery will include:
a. Review proposed HVAC equipment.
b. Review proposed service, transformers, and other electrical equipment.
c. Review proposed plumbing equipment as it relates to geothermal heating/cooling.
Task MEP 2 – Draft Report
The following tasks are necessary to develop the feasibility objectives:
1. (1) Teleconference to review the Owner’s Project Requirements (OPR).
2. Identify electrical service capacity.
3. Identify basic equipment location planning.
4. Inquire for the building heat gain and loss calculations from proposed engineer. SGM will
require Manual J (or Trace) and 8760 loads and energy usage simulation outright and
exports outright.
a. Loads have been provided by Bighorn Engineering.
b. If not provided SGM will calculate loads, usage simulation and export for an
additional fee.
i. Up to duplex floorplans – Manual J peak load
ii. Triplex and larger – 8760 hourly loads
Deliverable: Summary of findings in report format, and supporting graphical exhibit(s) or
schematic floor/site plans. The document shall be considered the Draft Feasibility Report for
subsequent tasks.
Task Geo 1 – Review Current Proposed Design
1. Plan review discovery will include:
a. Review proposed site plans.
b. Review proposed building plans.
c. Review proposed equipment.

Task Geo 2 – Draft Report
The following tasks are necessary to develop the feasibility objectives:
1. GHX calculations for all structures
a. Manual J loads – use residential GHX design software which uses climate data to
determine load durations from Manual J peak loads.
b. 8760 hourly loads – use commercial design software for more detailed GHX simulations.
2. For preliminary GHX simulations will use best available data for interpreting undisturbed
temperature and thermal conductivity (note: well log data is sparse around project location)
3. Preliminary GHX simulations for each representative floorplan
4. Comparison of district vs dedicated GHX options
a. Estimated or relative installation costs
b. Maintenance or service considerations
c. Advantages v Disadvantages of GHX options
d. Recommendation for district vs dedicated GHX options
Note: From a residential load perspective alone a district system will not make sense as
there is no significant load sharing advantage that will make sense or offset district
pumping cost. A district GHX might make sense if enough GHX cannot be installed for
every site. District GHX systems require more infrastructure and complexity which
require a level of maintenance not associated with dedicated GHX fields.
5. Determine heat pump schedules for all floorplans.
Phase 2: Final Report
Task PM 2 – Project Management/Correspondence
1. Project Management
a. Attend (1) monthly teleconference-based feasibility team meeting with the Ownership
team.
b. Project closeout
2. Communications and Correspondence:
a. Monthly project budget status and invoice reviews
b. Bi-weekly project update emails to the client
Task MEP 3 – Final Report Documents
Teleconferences to finalize and review the Owner’s responses to the draft report.
1. Mechanical
a. Finalize review and recommendations for the HVAC systems coordination with
geothermal systems.
2. Plumbing
a. Finalize review and recommendations for the plumbing systems coordination with
geothermal systems.
3. Electrical
a. Approximate electrical service upgrade necessary for geothermal systems.

a. Final recommendations for GHX site plan options - site condition coordination.
b. Estimated geothermal field capacity and optional types.
Deliverable: Summary of findings in report format. Report will include executive summary,
narratives findings including potential pros and cons, list of recommendations, and supporting
graphical exhibit(s) or schematic plans. The document shall be considered the Final Feasibility
Report.
Exclusions
These services are either not requested or not required for this project or are to be
accomplished by others.
• Public meetings, outreach, or presentations to government agencies, property owners
associations or other review authorities
• Utility Test Hole (AKA potholing) investigation during design
• Thermal Conductivity Testing
• Future expansion areas
• Geotechnical investigation
• Construction cost estimates
• Scope beyond that specifically called out.
• Documentation, coordination, and response to 3rd party reviews, peer reviews, specialty
consultants, historical preservation commissions, non-contractual contractors, or reviews
by other entities not specifically stated.
• HVAC load calculations,
• Building energy usage simulation.

Project Fees
*All tasks listed to be time and expense estimates, unless noted otherwise
The proposed fees were developed by estimating the total labor required to complete the
feasibility study. If there are multiple iterations of the feasibility study, the project scope could
change substantially, or, if unforeseen circumstances arise, the fees shown would be negotiated
accordingly. SGM will provide detailed monthly invoicing and monthly project status updates
describing SGM work.
