Solar Purchase Agreement
This Contract is by Active Energies, Inc., DBA North 39 Energy whose address is PO Box 1434 Edwards, CO
81632, and Eagle County, whose mailing address is 500 Broadway, PO Box 850, Eagle, CO 81631. In this
Contract, the party who is contracting to sell the installed equipment, Active Energies, Inc. DBA North 39 Energy, is
referred to as “N39,” and the party who will be purchasing the equipment, Eagle County, is referred to as
“Customer.”
1. DESCRIPTION OF PRODUCTS. This Contract is for the purchase of the installed photovoltaic (PV)
system on the premises located at 936 Chambers Court, Unit B4, Eagle, CO 81631. The PV system meets
the following specifications:
• 25.2 Kilowatt Name Plate System ($18,600)
• Located on the roof of the building located at the above address.
N39 agrees to transfer ownership of the following PV system equipment:
80 315 watt SolarWorld XL Mono photovoltaic panels
2 Fronius Symo 12.0-3 Delta inverters
1 S-5 standing seam clamp racking system with aluminum rails
1 AC and DC wiring, grounding and conduit associated with the grid tied PV system
All work has been completed and the PV system is capable of full operation and was inspected by the Eagle
County Building Department on July 30th, 2015 under permit #781100. The PV system became
commercially operational on July 31st, 2015.
2. WARRANTY. There is no warranty of any kind offered as part of this agreement from N39. There are
remaining manufacturer warranties on some of the equipment, listed below, which became active on the
commercial operation date listed above.
• Photovoltaic (PV) panels – 10 year product warranty / 25 linear performance warranty
• Racking system – 10 year manufacturer warranty
3. EXCLUSIONS. N39 is not responsible for the following:
• Expenses or damages associated with or caused by pre -existing conditions of the Customer's property,
whether related to the current electrical system, the roof, the structure of the building, or any other
cause, which (a) are (i) in violation of applicable code requirements, otherwise dangerous, or
inadequate to support N39's work, or (ii) outside of the scope of N39's work, and/or (b) should or must
be corrected before or after system interconnection.
• Roof or soil stability analysis and load assessments.
• PV system electrical output production, inverter efficiency and s ystem output due to weather is based
on manufacturer technical specification and locally collected climate data, which are not guaranteed by
N39. Actual system electrical production results may vary.
• Additional net-metering costs if required by utility company.
• Actual utility rebate amount assessed by the utility company.
• Eligibility or collection of any Federal Tax Credit. Customer should consult with an accountant to
ensure proper processing of tax credit.
• Damage or destruction of PV system, including modules, wiring, racking, or inverter, due to an act of
nature, vandalism, terrorism, theft, fire, or other circumstances not within the control of N39.
• Consequences related to or arising from the disconnection of installed PV system by a party other than
N39.
• Broken shingles or related damages due to activity on roof. All reasonable precautions will be taken
by N39 to protect roofing material.
• Monitoring and communication devices, which are devices peripheral to the system’s main operation
and provide output information, will be initially commissioned during the installation of t he system.
N39 will provide remote troubleshooting and support for monitoring and communi cation devices.

4. PAYMENT FOR SERVICES. Customer shall pay for the system by the following method:

5. TERM. This Contract will terminate automatically upon completion, with the ex ception of terms intended
to survive completion of the project.
6. NOTICES. Any notice or communication required or permitted under this Contract shall be sufficiently
given if delivered in person or by certified mail, return receipt requested, to the address set forth in the
opening paragraph or to such other address as one party may have furnished to the other in writing.
Alternatively, either party may give the other notice by letter or by e-mail from jason@north39energy.com
if the following information is completed and if the notifying party can produce evidence of receipt by the
other party.
