Home My WebLink AboutC23-290 Alliance Electric Solutions_first amendmentFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND ALLIANCE ELECTRIC SOLUTIONS, LLC THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and between Alliance Electric Solutions, LLC, a Colorado limited liability company (hereinafter “Consultant”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement (C22-350) dated the 20th day of October, 2022, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that Consultant would perform electric vehicle charging station installation Services with compensation in an amount not to exceed $89,330; and WHEREAS, the County desires to have Consultant perform additional electric vehicle charging station installation Services at the Eagle County Regional Airport for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires 12 months after the County accepted the original installation, which occurred on the 21st day of June, 2023, meaning the term of the Original Agreement expires on the 21st day of June, 2024; and WHEREAS, the parties desire to extend the term of the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit C, which is attached hereto and incorporated into the Original Agreement by reference. 2. The compensation for the additional Services set forth in Exhibit C shall not exceed $118,836 or a total maximum compensation under the Original Agreement and this First Amendment of $208,166. 3. The term of the Original Agreement is extended until 12 months after the County accepts the installation contemplated in Exhibit C herein. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. AES began installing EVCE’s over 10 years ago and now dedicates 100% of our work to EVCE installation and has installed over 1000 level 2 and 40 level 3 chargers across the country. Description of Service and Notes: 1)Provide turnkey installation of HCE conduit and wire for the new service at the location specified per plans and specs. 2)Trenching contractor description of work. a)Schedule locates and obtain necessary permits from Eagle County, b)Mobilize to site, c)Excavate around existing electrical lines for new Holy Cross vault placement T1, Install Holy Cross supplied vault and backfill. d)Saw cut curb, gutter, and asphalt roadway to the terminal entrance road, e)Remove and dispose of curb, gutter, and asphalt, f)Trench across the terminal entrance to accommodate electrical conduit installation, by others, backfill with flowfill and repatch. g)Dig a second hole to accommodate another vault and piping on the West side of the terminal entrance, T2 h)Continue South from vault T2 to dig a trench to accommodate seven 6” PVC conduits and another hole to accommodate a UM1-11S vault install, 2A. i)After installation of electrical conduit, by others, we will bed the pipe with pee gravel and backfill with on-site material. j)Clean-up site and demobilize. Excludes: 1) Conduit and items specified from HCE Repair and Maintenance 1) Alliance Electric Solutions will include labor free of charge to fix any problems related to install for a period of one year. Parts excluded but covered by manufacturer’s warranty. 2) Alliance Electric Solutions will match the manufacturer’s warranty for the replacements of any defective or malfunctioning parts. If a part needs to be replaced during the manufactures warranty period, Alliance Electric Solutions will complete the work free of charge. 3) If a problem is detected, call Alliance Electric Solutions and someone from Alliance will be onsite within 48 hrs to troubleshoot the issue. Clarifications and Inclusions: 1) Includes all labor costs to obtain permits and inspections. 2) This proposal is based solely off of the information distributed for pricing. No pricing is included for existing conditions or obstructions not evident prohibiting the completion as specified. 3) Proposal assumes that the existing conditions will accommodate the proposed changes for power, etc. and that the existing electrical has the capacity to handle the additional change and load to the present system. No new transformers, panels and gear, etc. included unless otherwise noted. 4) Warranty does not apply to existing equipment and electrical devices to remain or be reused. This proposal assumes that the integrity of all existing circuitry and electrical systems is intact. All circuits and electrical that are to remain are to code and operational. Any additional labor and material to fix or repair the previously mentioned will be billed on a time and material basis at $87.00/hr. + material.
