HomeMy WebLinkAboutC81-054 rental Machinery CompanyAGREEMENT BETWEEN THE COUNTY OF EAGLE, STATE OF COLORADO AND RENTAL MACHINERY COMPANY THIS PURCHASE AGREEMENT is made and entered into this day of December , 1981, by and between the County of Eagle, State of Colorado, a body corporate and politic, by and through its Board of County Commissioners, (hereinafter referred to as the "County") and Rental Machinery Company, (hereinafter referred to as "RMC"). v WITNESSETH: WHEREAS, RMC is willing to sell to the County one (1) Rocky Mountain Attack Tanker (Unimog Self Contained Slide -On Fire System) mounted on Eagle County Unimog as more particularly described hereinbelow; and WHEREAS, the County is desirous of purchasing the aforesaid equipment for the use and benefit of the Eagle County Airport. NOW, THEREFORE, for and in consideration of the mutual covenants, conditions and promises contained herein, Iftw the parties hereto agree hereby as follows: 1. Equipment. In consideration of the payments, agreements and covenants hereinafter contained, to be made, performed, and carried out by the County, RMC hereby covenants and agrees to sell to the County one (1) Rocky Mountain Attack Tanker (Unimog Self Contained Slide -On Fire System) mounted on Eagle County Unimog as further described in Exhibit "A" attached hereto and incorporated herein by this reference. RMC represents that said equipment is solely owned by RMC and is free and clear of any and all encumbrances. 1� 2. Payment. The County, in consideration of the premises, hereby covenants and agrees to purchase the afore- said equipment for the total purchase price of fourteen thousand four hundred dollars ($ 14,400.00) payable as follows: the sum of thirteen thousand two hundred fifty dollars ($ 13,250.00) shall be payable upon execution of this Agreement, and the balance of one thousand one hundred fifty dollars ($ 1,150.00) shall be due and payable on or before Janaury 15, 1982. The total purchase price referred to in the paragraph next above includes the installation of the subject equipment on -the County's Unimog by RMC, and the transporting of the County's Unimog by RMC to Denver from Eagle and back ,ftow,I for such installation of the subject equipment. 3. Possession. The County shall have the right to possession of the installed equipment on the County's Unimog on or before ninety (90) days from the date of the execution of this Agreement. 4. Warranty. The equipment purchased herein shall be subject to the conditions and provisions of RMC's regular order blank and warranty. 5. Additional Conditions. a. Whenever any notice or payment is required under this Agreement to be made, given, or transmitted to the parties hereto, unless otherwise specified herein, such notice or payment shall be deemed to have been given upon the mailing of said notice or payment by depositing in the United States mail, postage prepaid, certified mail, return receipt requested, addressed to the parties at their respective addresses as shall appear herein or upon a change of address pursuant to this notice provision. -2- , %No./ 'law/ b. All covenants, conditions and provisions in this Agreement shall extend to and bind the legal representatives, successors, and assigns of the respective parties hereto. c. This Agreement shall be construed under the laws of the State of Colorado. Any covenant, condition or provision herein contained that is held to be invalid by any court of competent jurisdiction shall be considered deleted from this Agreement, but such deletion shall in no way affect any other covenant, condition, or provision herein contained so long as such deletion does not materially prejudice RMC or the County in their respective rights and obligations contained in the valid covenants, conditions or provisions of this Agreement. d. All amendments to this Agreement shall be made in writing by mutual agreement of the parties and no oral amendments shall be of any force or effect whatever. e. Financial obligations of the County payable after the current fiscal year are contingent upon funds for the purposes set forth in this Agreement being appropriated, budgeted and otherwise made available.
