THIS AGREEMENT made this day ofe�.rS,...� 19 U,
by and between the UNIVERSITY OF DENVER (COLORADO SEMINARY), for and on
behalf of its Baccalaureate Program which offers a major in Nursing,
hereinafter referred to as "the University" and -tLs� x3b

WITNESSETH:
WHEREAS the University has developed through its College of Arts and
Sciences an educational program in Nursing; and
WHEREAS the University desires to affiliate for the purpose of providing
adequate clinical experience for said education program; and
WHEREAS the Agency believes the value of the presence of such students
will add to its operation.
NOW, THEREFORE, in consideration of the mutual covenants and agree-
ments herein contained, the parties here to agree as follows:

2. The University will assume full responsibility for planning and
execution of the educational program in Nursing, including programming,
administration, curriculum content, faculty appointment, faculty adminis-
tration and the requirements for matriculation, promotion and graduation.
3. The University shall provide qualified faculty who shall be re-
sponsible for instruction and for collaborating with appropriate Agency
personnel in planning, selecting, and evaluating student experiences.
4. The University shall provide one or more: coordinators who shall
confer regularly and at frequent intervals with the liaison person designated
by the Agency, and with other Agency officers as M.ay be appropriate to
insure the establish7,ent and maintenance of mutually beneficial workinn
relationships.
51. The Univ-it,..,)ill be responsible for as�ing students to the
Agency for experience. However, the University will notify the Agency
sufficiently in advance of its planned schedule of student assignments to
Agency areas including the dates, number of students and instructors and
types of experiences desired on those dates.
6. The Agency agrees to notify the Director of the Baccalaureate
� Nursing Program of any unusual situation or behavior involving student or
faculty, wherein safety of any person is threatened or whereby the cooperative
intent of this agreement is jeopardized.
7. University personnel will provide orientation on its education
program for the staff of the Agency. The Agency will likewise provide
orientation for the faculty of the University.
8. The Agency will distribute to the students and faculty participating
in this program all appropriate rules and regulations provided by the
Agency with the request that they abide by them at all times.
9. The University will instruct its students and faculty to respect
and maintain the confidential nature of all information which they may
obtain from patients and records of the Agency.
10. Students will provide evidence of their own professional liability
,*MO/ insurance prior to clinical assignments. The University will

itself by specific endorsement to its General Liability Insurance Policy,
malpractice coverage for injury arising out of malpractice, error or mistake
in the rendering of services by the students under the terms of this agree-
ment. This coverage shall include the University's officers and employees.
11. The Agency will provide to the University assurance of malpractice
coverage for its personnel, who, when working in conjunction with University
personnel or students, are party to any joint act out of which injury arises
from malpractice, error, or mistake in the rendering of services. Said
assurance shall preferably be made by specific endorsement to the Agency's
General Liability Insurance Policy.
12. The Agency certifies that it is an Equal Opportunity Institution
and that it is the policy of the Agency to act affirmatively in the employ-
ment of personnel without regard to race, religion, color, national origin,
age, sex, handicapped or veteran status.
13. The University shall, where appropriate, offer clinical faculty
appointment to qualifieu personnel of the Agency engaged in the clinical
exDerien.ce . Such appointments shall be approved in the no r gal manner or'

14. The Univ*,..,,it�`agrees to collaborate with"rpropriate Agency staff
in developing and revising operational plans related to numbers and levels
of students assigned, annual and weekly schedules, and recording and
reporting.
15. The University agrees to provide appropraite non -expendable items
required in the teaching program (e.g. nursing bags, equipment, etc.).
16. The University agrees to provide the Agency with a list of the
students who have met the health requirements specified by the Agency,
if any.
17. The Agency agrees to designate a liaison person or persons whose
responsibility it shall be to assist faculty in selection and coordination
of student experiences appropriate to the various levels of learning.
18. The Agency agrees to grant the University equitable use of clinical
facilities and to provide materials needed for proper orientation of
faculty and students: policy manuals, patients' records, schedules,
reporting forms, etc.
19. The Agency will make available facilities and related services
for student experiences, including the necessary expendable items and
supplies related to patient care.
20. The Agency will make available space and facilities for instruction
together with conference space for both students and faculty.
21. The Agency will permit students and faculty to use the Agency
cafeteria (if available) during Agency assignment hours or immediately
before or after such hours.

23. The Agency will be notified when students are unable to continue
with their Agency experience.
24. The students will provide their own uniforms and for their
laundering.
25. This agreement will become effective immediately and will continue
in full force and effect for the M%I academic year unless terminated

as hereinafter prde� The agreement may be mod3"ed upon request of
either party and with the agreement of the other at any time, or it may
be terminated by one party providing: (1) six months written notice of
intent to terminate is given the other party, AND, (2) actual termination
of the agreement shall not become effective until the students then en-
rolled in the program shall have the opportunity to complete a full
�•r` unaccelerated program unless otherwise agreed by the University of Denver
in writing.
26. Neither party shall assign, transfer, convey or otherwise dispose
of this agreement, or the right, title_or interest therein, or the power
to execute such agreement to any other person, company or corporation,
without the previous consent in writing of the other party.
27. All notices to parties hereunder must be in writing signed by the
party giving it and shall be served either personally or by certified
mail addressed as follows:
