AGREEMENT REGARDING PROVISION OF PROFESSIONAL SERVICES
This Agreement Regarding Provision of Professional Services
("Agreement") dated as of , 1999, is between the
County of Eagle, State of Co o a o, a body corporate and politic,
by and through its Board of County Commissioners ("County"), and
CyberLink Corporation ("Contractor").
Recitals
A. County wants to retain a telecommunications consultant to
study and make recommendations for changes and improvements to the
County internal telecommunications system.
B. CyberLink Corporation is a corporation authorized to do
business in the State of Colorado, the principals of which are (1)
Peter McManamon, President, whose expertise is in technical
evaluation and recommendations and wireless communications systems
design; (2) Perry Movick, whose expertise is in data and telephone
communications, hardware, software, infrastructure, services
evaluation, network design and management recommendations (3)
Melanie Pappas whose expertise is in telephone communications and
voice/data network design/ inside and outside cable and conduit
evaluation and design; and (4) Don Anderson whose expertise is in
telecommunications cabling infrastructure evaluation and design,
inside and outside conduit and cable plant.
C. Contractor has submitted to County a Proposal For
telecommunications consultations to study and make recommendations
for changes and improvements to the County internal
telecommunications system, dated April 15, 1999, for performing the
Work (defined below), and represented that it has the expertise and
personnel necessary to properly and timely perform the Work.
D. Contractor and County intend by this Agreement to set
forth the scope of the responsibilities of the Contractor in
connection with the Work and related terms and conditions to govern
the relationship between Contractor and County in connection with
the Work.
Agreement
Therefore, for good and valuable consideration, including the
promises set forth herein, the parties agree to the following:

1. Scope of the Work:

The Work shall be comprised of the
Contractor shall provide all labor, materials and equipment
necessary to perform and complete the work described in the
Scope of Services which is a part (pages 61-68) of the
proposal for services dated April 15, 1999, and Contractor's
letter to.County dated May 3, 1999, true copies of which are
attached hereto collectively marked as Exhibit ."A" and
incorporated herein by this reference ("Work").
The parties hereto recognize that the scope of the Work may change.
When Contractor believes that the scope of the Work has been
changed or that by reason of a decision of County it will be
required to redo properly completed Work, Contractor shall
immediately advise County of such belief and shall also provide a
statement of the maximum additional charges for such work.
Contractor shall not be entitled to be paid for any such additional
work unless and until County agrees in writing that the scope of
the Work has changed and accepts the statement of the maximum
additional charges.
2. Contractor's Professional Level of Care: Contractor
shall be responsible for the completeness and accuracy of the Work,
including all supporting data and other documents prepared or
compiled in performance of the Work, and shall correct, at its sole
expense, all significant errors and omissions therein. The fact
that the County has accepted or approved Contractor's Work shall
not relieve Contractor of any of its responsibilities. Contractor
shall perform the Work in a skillful, professional and competent
manner and in accordance with the standards of care, skill and
diligence applicable to Contractor's profession.
3. Time of Performance and Termination:
a. Contractor shall commence the Work within five (5)
business days after the date of this Agreement. Contractor shall
complete the Work within 80 calendar days after the date of this
Agreement.
b. County may terminate this Agreement, in whole or in
part, for its convenience upon providing written notice, by
delivery or by mail, to Contractor. Upon such a termination,
County shall be liable only for Work satisfactorily completed prior
to the notice and for unavoidable expenses directly incurred for
performance of those parts of the Work which have not been
satisfactorily completed, provided that, at its sole option, County
may require that Contractor complete particular portions of the
Work on a time and reimbursable expenses basis consistent with

paragraph 4 hereof. Upon termination Contractor shall deliver to
County all drawings, illustrations, text, data and other documents
entirely or partially completed, together with all material
supplied to Contractor by County. Payment will be due within
thirty (30) days after Contractor has delivered the last of the
partially completed documents, together with any records that may
be required to determine the amount due.
C. Notwithstanding anything to the contrary contained
in this Agreement, no charges shall be made to County nor shall any
payment be made to Contractor for any Work done after December 31,
1999, without the written approval of the County in accordance with
a budget adopted by the Board of County Commissioners in accordance
with the provisions of Article 25 of Title 30 of the Colorado
Revised Statutes and the Local Government Budget Law (C.R.S. §29-1-
101 et seq.) .
4. - Compensation and Payment: In consideration of its
performance of the Work, Contractor shall be paid for professional
time and reimbursable expenses actually and directly spent on or
incurred in performing the Work, up to a maximum of $15,000.00.
Payment shall be made in accordance with the following:
a. Contractor shall submit to the County not more than
one progress invoice and a final invoice for the progress made and
expenses incurred during the relevant period. Fees will be charged
in 1/4 hour (or smaller, at Contractor's discretion) increments at
the hourly rates set forth in Contractor's proposal (pages 56-57)
attached hereto as Exhibit "B" and incorporated herein by this
reference. Each invoice shall describe the Work performed,
including the percentage of completion of the respective
deliverables Contractor contends were accomplished during the
period, and expenses incurred. Upon request, Contractor shall
provide County with such other supporting information as County may
request.
b. Ninety percent (90%) of the professional fees and all of
the reimbursable expenses shall be due and payable within thirty
(30) days after submittal by Contractor together with submission of
any required clarification and documentation. The balance of the
professional fees which are "retained," unpaid, will be due and
payable within thirty (30) days after County has accepted all of
the Work as complete.
C. For the purposes of this Agreement, the term
"reimbursable costs" shall include only actual out-of-pocket
expenses incurred by Contractor in connection with the Work.
Reimbursable costs shall include travel, telephone, postal, air

freight,fax and photo -reproduction costs. At Contractor's option,
mileage may be charged at the then -current IRS -approved rate.
d. Contractor shall maintain comprehensive,* complete
and accurate records and accounts of its performance relating to
this Agreement for a. period of three (3) years following final
payment hereunder, which period shall be extended at County's
reasonable request. County shall have the right within such period
to inspect such books, records and documents upon demand, with
reasonable notice and at a reasonable time, for the purpose of
determining, in accordance with acceptable accounting and auditing
standards, compliance with the requirements of this Agreement and
the law.
5. Project Management: Peter Movick shall be designated as
Contractor's Project Manager for the Work. Richard Cunningham,
Director of the Eagle County Facilities Management Department,
shall be County's manager responsible for this Agreement. All
correspondence between the parties hereto regarding this project
shall be between and among the project managers. Either party may
designate a different project manager by notice in writing.
6. Independent Contractor: It is expressly acknowledged and
understood by the parties hereto that nothing contained in this
Agreement shall result in, or be construed as establishing, an
employment relationship. Contractor shall be, and shall perform
as, an independent contractor. No agent, subcontractor, employee,
or servant of Contractor shall be, or shall be deemed to be, the
employee, agent or servant of County. Contractor shall be solely
and_ entirely responsible for its acts and for the acts of
Contractor's agents, employees, servants and subcontractors during
the performance of this Agreement.
7. Personnel: Contractor understands and hereby acknowledges
that County is relying primarily upon the expertise and personal
abilities of Contractor's personnel identified in this Agreement.
This Agreement is conditioned upon the continuing direct personal
involvement of these persons in the Work. Contractor may not
subcontract or delegate any part of the Work or substitute
subcontractors without County's written consent, which consent
County may withhold in its sole discretion.
8. Ownership of Documents: All documents which are obtained
during or prepared in the performance of the Work are copyrighted
and shall remain the property of the County and are to be delivered
to County's project manager before final payment is made to
Contractor or upon earlier termination of this Agreement.

9. No Assignment: The parties to this Agreement recognize
that the services to be provided pursuant to this Agreement are
professional in nature and that in entering into this Agreement
County is relying upon the personal services and reputation of
CyberLink Corporation.' Therefore, Contractor may not assign its
interest in the Agreement, including the assignment of any rights
or delegation of any obligations provided therein, without the
prior written consent of County, which consent County may withhold
in its sole discretion. Except as so provided, this Agreement
shall be binding on and inure to the benefit of the parties hereto,
and their respective successors and assigns, and shall not be
deemed to be for the benefit of or enforceable by any third party.
Unless specifically stated to the contrary in any written consent
to an assignment, no assignment will release or discharge the
assignor from any duty or responsibility under the Agreement.
10. Insurance: Contractor shall maintain during the term of
this Agreement insurance in the following types and coverages,
protecting it and the County from claims which may arise out of or
result from such operations by itself or by anyone directly
employed by it, or by anyone for whose acts it may be liable:
a. Workmen's Compensation shall be carried in at least the
minimum amount required by the laws of the State of Colorado,
including coverage for disability, - for all employees performing
services under this Agreement who are required by law to be covered
by workmen's compensation insurance.
b. General Liability Coverage shall be carried in the minimum
amount of $150,000 per person per occurrence, $600,000 aggregate,
for claims for damages arising form the performance of services
under this Agreement, including but not limited to personal injury
or death, property damage, and other damages imposed by law upon
the parties hereto.
All insurance required hereby shall be issued by an insurance
company or companies authorized to do business in the State of
Colorado. Contractor shall deliver sufficient proof of such
insurance to the office of the County Attorney before commencing
the Work.
11. Indemnification: Each party hereto shall indemnify the
other party for, and hold and defend the other party and its
officials, boards, officers, principals and employees, harmless
from, all costs, claims and expenses, including reasonable
attorney's fees, arising from claims of any nature whatsoever made
by any person in connection with the acts or omissions of, or
representations by, the indemnifying party. This indemnification

shall not apply to claims by third parties against the indemnified
party to the extent that the indemnified party is liable to such
third party for such claim without regard to the involvement of the
indemnifying party.
Contractor acknowledges that County is relying on, and does not
waive or by any provision of this Agreement intend to waive, the
monetary limitations, or any other rights, immunities and
protections, provided by the Colorado Governmental Immunity Act,
CRS §24-10-101, et seq., as from time -to -time amended or as
otherwise available to County, its commissioners, officers and
employees, all of which are expressly reserved.
12. Notices: Any notice and all written communications
required under this Agreement shall be personally delivered or
mailed in the United States mails, first class postage prepaid, to
the party to appropriate party at the following addresses:

13. Miscellaneous:
a. Contractor shall not discriminate against any
employee or applicant for employment to be employed in the
performance of this Agreement on the basis of race, color,
religion, national origin, sex, ancestry, physical handicap, sexual
orientation, age, political affiliation or family responsibility.
Contractor shall require all subcontractors to agree to the
provisions of this subparagraph.
b. The making, execution and delivery of this Agreement
by the parties hereto has not been induced by any prior or
contemporaneous*representation, statement, warranty or agreement as
to any matter other than those herein expressed. This Agreement
embodies the entire understanding and agreement of the parties, and
there are no further or other agreements or understandings, written
or oral, in effect between them relating to the subject matter

hereof. This Agreement may not be amended, including by any
modification of, deletion from or addition to the scope of the
Work, except by a written document of equal formality executed by
both parties hereto.
C. This Agreement shall be governed by and construed in
accordance with the internal laws of the State of Colorado, without
reference to choice of law rules. The parties agree that venue in
any action to enforce or interpret this Agreement shall be in the
District Court in the Sth District for the State of Colorado.
d. This Agreement does not and shall not be deemed to
confer upon or grant to any third party any right enforceable at
law or equity arising out of any term, covenant, or condition
herein or the breach thereof.

deliverable Report of Requirements and Recommendations. In addition, CyberLink will
summarize the results in presentation format and deliver a final presentation to Eagle
County personnel. This final presentation will be prepared and delivered for no
additional cost to the County.

V. Scope of Services - Telecommunications Systems Audit,
Requirements Development, and Recommendations
The CyberLink proposed methodology for the Eagle County project is organized as
outlined in the RFP scope of services which is a very good approach to the project based
on CyberLink's experience. This section identifies the project scope of services,
objectives as outlined by Eagle County, project deliverables, and a discussion of how the
scope of services will be conducted.
Objective
Examine and make recommendations for the following:
• Existing hardware, software, and infrastructure
• All existing key systems, PBX, and proposed new acquisitions for
suitability, (all proposed equipment and software solutions must be Year
2000 compliant)

Discussion
The CyberLink approach to this project involves on -site reviews and inspections of
the existing telecommunications systems and facilities at each County site. The quantity
and location of County sites to be include in the project was not specified. However,
based upon prior experience, CyberLink has budgeted three full days to perform the site
telecommunications reviews and inspections of all County locations. The reviews will be
conducted to document the telephone switching equipment and other telecommunications
facilities at each site.
CyberLink will meet with the County personnel responsible for managing the
telecommunications systems at each location. The County representative(s) will be asked
to provide the following documentation for each of the locations:
• Basic Floorplans (8-1 /2 x 11 fire exit plans are adequate)
• List of telephone switch equipment including:
- Manufacturer and model of switch
Quantity and model of internal switch equipment (cards, modules, etc.)
Quantity and model of telephone stations and attachments (DSS, BLF, etc.)
• List of all telephone lines and trunks from U S WEST '
• Organization chart and/or telephone extension list showing all County personnel
_-- CyberLink will also meet with County personnel responsible for the existing data
wide area network (WAN) connecting the different County locations. For those
locations where the telephone and data network may be combined County
representative(s) will be asked to provide the following:

Inventory of data WAN equipment including quantity, manufacturer and model of:
WAN bridges and routers
Modems
CSUs
- Multiplexers
- Communication servers
- Fax servers
- Digital Access and Cross -connect Systems (DACS)

CyberLink will make site visits to the County locations to inspect the
telecommunications systems and facilities including:
• Telephone switch equipment and switch room location
• Telecommunications closet locations and backboards
• Telephone company point of presence (POP)
• Entrance cable and conduit conditions for telephone company service
• Cable conditions inside and between the buildings
• Data WAN equipment and location (where applicable)
To keep the cost of consulting services as low as possible, CyberLink proposes
that County personnel gather documentation of the existing telephone system equipment,
U S West lines and services, long distance providers/services, and wireless cellular
telephone and pager services. The proposed cost is based on County personnel providing
information for the telecommunications inventory and audit to CyberLink at the
beginning of the project. The County will need to provide the previous twelve months of
bills for the telecommunications services to be audited by CyberLink. It would also be
_ useful to obtain detailed Customer Service Records (CSRs) from U S West for all County
lines and trunks. CyberLink will cross-reference the U S West bills with the CSRs to
assure that the County is being properly billed for the services in use.
CyberLink will assemble telecommunications inventory and audit information in a
spreadsheet format using Microsoft Excel software. The version of Microsoft Excel can
be specified by the County. The inventory and audit information will include:

CyberLink recently conducted a similar project for the City and Borough of
Juneau, Alaska. We have attached excerpts from the Equipment and Data Usage Audit
developed for Juneau in Appendix B with the proposal. This report shows the inventories
prepared by CyberLink for lines and trunks, equipment, long distance carriers, long
distance billing, and cellular telephone analysis.
The results of the on -site reviews and inventories provide the building blocks for
development of requirements and recommendations for the County telecommunications
systems. The County has indicated a need to upgrade and make new acquisitions of PBX
telephone system(s) at one or more locations. CyberLink will define the requirements and
associated costs related to purchasing new telecommunications equipment and
implementation of a telephone network for the County locations. The configuration of
the existing data WAN and the capabilities and requirements to combine the telephone
and data networks will also be documented. The requirements and recommendations for
improving the County telecommunications systems will include, but not be limited to:
• Proposed New PBX Telephone System Acquisitions
• Call Accounting System, Management and Policy
• Standardized Desktop Equipment Services
• Centralized Voice Mail and County -Wide Extension Dialing (Network)
• Recommended Digital and Analog Line Configuration and Quantities through
PBX Telephone System

• County Calling Areas, Audit Future Opportunities
• Management of Local and Long Distance Service Providers, Single Billing Point

Other important considerations may include power backup and recovery, system
redundancy, incoming and outgoing call routing, direct inward dial (DID) plan for all
County locations, emergency call handling for E911 calls from each location, or other
requirements expressed by County personnel during the on -site reviews.
The recommended approach for networking the new telephone systems and central
voice mail system may involve:
• New point-to-point T1 circuits with ISDN signaling
• E&M Tie Trunks on the T 1 circuits of the existing data WAN
• Off -Premise Extension (OPXs) from the PBX switch to locations with few
telephones
• Fiber optic cable connections between buildings
• Remote cabinets (modules) from a central PBX with dedicated T1 circuits
• Two-way and DID Digital Switched Services (DSS) trunks over T 1 or ISDN
circuits from the U S West Central Office
• Fiber Optic SONET OC3 services from U S West
• Frame Relay or ATM for voice, video, and data via a County Internet
Often, the solution that best meets the needs of our client is a hybrid solution that
uses more than one of the technologies mentioned above. If a hybrid solution is
determined to be the best match for the County, this will be detailed in the report also.
The recommended telecommunications network topology for the County will be
based on trade-offs between:
• Initial Setup Costs
• Telephone System, Voice Mail System, data network and WAN Equipment Costs
• Monthly Recurring Costs
• Entrance Cable Requirements
CyberLink will estimate the costs for the new telephone systems for the County
locations and the centralized voice mail system based on actual vendor proposals from
previous projects.

The review of the telephone company lines and trunks will be performed prior to
the development of the telephone system recommendations to assure that adequate
line/trunk ports are specified for the new equipment. CyberLink will determine call
traffic capacity requirements for telephone call blocking levels around 1 % to 5% for the
County offices. The setup and monthly recurring costs for telephone company services
will be analyzed to optimize the number and type of trunks provided to the telephone
systems and to take advantage of special service or price offerings. The services and
availability that will be investigated include:
• Two -Way and DID C.O. Trunks
• DID Number Blocks
Digital Switched Services (DSS) Trunks over T1 or ISDN PRI
• Point-to-point T 1
• B8ZS or AMI
• Super Frame (SF) or Extended Super Frame (ESF)
CyberLink will also evaluate the existing data WAN equipment to define the
requirements for interconnection with the new telephone network. This will be an
important factor when developing the telephone system specifications to interconnect and
operate with the existing data WAN. The evaluation will include, but not be limited to
the following capabilities to ensure proper integration with the new telephone system
equipment.

CyberLink will also review and make recommendations for video conference
applications to assess possible meeting requirements that would use video conferencing.
In addition, the available technologies for digital compressed video need to be reviewed.
Technologies are available for ISDN BRI and ISDN PRI dial services and also for
dedicated digital transport at 1/8, 1/4, 1/2, and full T1 rates utilizing H.320 and H.323
standards from companies like PictureTel, Wel, etc. The rates selected and the modes
chosen will influence significantly the telecommunications plan requirements.

The CyberLink cost proposal is based on the County's scope of work from the
RFP. The total number of person hours of engineering and consultant services and the

The number of days proposed above shall include the days required for submission and
approval by the County of certificates of insurance as specified herein. Furthermore, the
times proposed above shall contain a two -week County approval period at the end of
each phase. A "Notice to Proceed" shall not be issued, and no work shall commence,
until acceptable insurance certificates as required herein are received by the County.
The chosen firm shall commence work within seven (7) calendar days from the date of
mailing a Notice to Proceed.
