FIRST AMENDMENT TO
INTERGOVERNMENTAL AGREEMENT REGARDING ROAD MAINTENANCE
BETWEEN EAGLE COUNTY, COLORADO AND ROUTT COUNTY, COLORADO
This First Amendment to Intergovernmen Agreement Regarding Road
Maintenance (the "Amendment") dated as of April l , 1999, is by and between Eagle
County, Colorado, acting by and through its Board of County Commissioners ("Eagle
County") and Routt County, Colorado, acting by and through its Board of County
Commissioners ("Routt County").
Recitals
A. Eagle County and Routt County entered into an Intergovernmental Agreement
Regarding Road Maintenance dated December 1, 1993 (the "Agreement").
B. Pursuant to Paragraph 1 of the Agreement, the term of the Agreement was
from November 1, 1993, through October 31, 2001, unless earlier terminated pursuant to
other provisions of the Agreement.
C. Pursuant to Paragraph 3 of the Agreement, Routt County was required to crush
45,095 cubic yards of gravel for Eagle County in exchange for. maintenance to be
performed by Eagle County on portions of Routt County Roads 1, 2, 4 and 4A.
D. During the term of the Agreement, Routt County crushed 62,779 cubic yards
of gravel for Eagle County with the consent of Eagle County resulting in 17,684 cubic
yards in excess of the amount originally contemplated. Eagle County has either used or
taken possession and control of this excess crushed gravel. Rather than compensate
Routt County for the additional gravel, Eagle County desires to continue to provide
maintenance on portions of Routt County Roads 1, 2, 4 and 4A.
F. Based on the cost for Eagle County to perform maintenance on the portions of
Routt County Roads 1, 2, 4 and 4A as specified in the Agreement and the value of the
additional gravel crushed by Routt County, the parties desire to extend the term of the
Agreement through April 30, 2005.
NOW, THEREFORE, in consideration of their mutual promises herein, the
parties agree as follows:
1. Paragraph 1 of the Agreement is hereby amended to extend the term of the
Agreement through April 30, 2005, and Eagle County shall perform maintenance on the
portions of Routt County Roads 1, 2, 4 and 4A as specified in the Agreement through that
date.

2. All other terms and conditions of the Agreement which are not hereby
expressly amended shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have signed this Amendment on the
year and date first set forth above.
