HomeMy WebLinkAboutC99-104 UGC Consulting(14?q-ioq--11 FIFTH AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES FOR GIS IMPLEMENTATION STUDY THIS Amendment made and entered into this J day of Z-t/� 1999 by and between UGC Consu.ting (hereinafter "Contractor") and the Board d County Commissioners of the County of Eagle, State of Colorado (hereinafter "County"). WHEREAS, the Board of County Commissioners of the County of Eagle, State of Colorado entered into an Agreement for Professional Services dated December 30, 1996; and WHEREAS, paragraph 4.g of the Agreement provided that additional services, if required beyond the scope of work, shallbe separately negotiated and agreed to by both the County and Contractor. Such additional services are set forth in Exhibit "A." WHEREAS, the Agreement required that all work shall be completed no later than May 30, 1997; and WHEREAS, the First Amendment to the Agreement extended the completion date to December 31, 1997 for adding project implementation planning services to the Scope of the Work; and WHEREAS, the Second Amendment to the Agreement extended the completion date to December 31, 1998 for adding project organization and management, hardware/software evaluation and vendor selection, detailed database design, and final data conversion specifications and conversion vendor evaluation and selection; and WHEREAS, the Third Amendment to the Agreement extended the completion date to January 15, 1999 for adding pilot project implementation; and WHEREAS, the Fourth Amendment to the Agreement added Services for a price of $545,755 plus an estimated $28,288 in expenses, extended the completion date to December 31, 1999, and modified the terms and conditions to the Agreement; and WHEREAS, the parties want to change the compensation method for Task 4 of the Scope of Work; and WHEREAS, the parties want to modify the Scope of Work by adding Tasks 6, 7, and 8 at no additional cost to the County. NOW THEREFORE, in consideration of their mutual promises herein, the parties agree: A. The Agreement is amended in the following particulars: 1) .The Scope of Work Task 4 is amended by forming an Estimated Pool to be used for Contractor custom applications. As custom applications are authorized and Firm Fixed Prices for each individual application are established, these amounts will be deducted from \Rwr� 14mv the remaining application Estimated Pool. The amount of the total Estimated Pool for Task 4 is $260,279. The total dollar allocations for the Estimated Pool are projected to be adequate to cover the applications currently envisioned by Contractor and County. Contractor will Provide, as part of its invoices, an update of the pool of dollars allocated to the development and the remaining unallocated dollars. The parties agree that the following Applications that were previously in the Estimated Pool are no longer required: - Site Planning - Address Cross-referencing - Incident Pin Mapping - ADAPTS Interface - COGO Input 2) The Time of Performance, paragraph 3 of the Agreement, is amended by modifying the completion date for Exhibit A (amended April 1999) to December 31, 1999. 3) The Compensation and Payment, paragraph 4 of the Agreement, is amended to reallocate $260,279 to the Task 4 Estimated Pool and $117,000 to Tasks 6, 7, and 8. There is no change to the total contract price. 4) The revised Scope of Work in Exhibit A (amended April 1999) is hereby incorporated into the Agreement and supercedes all previous versions of Exhibit A.
