PURCHASE AGREEMENT
BETWEEN THE COUNTY OF EAGLE, STATE OF COLORADO
AND
ALLWEST SYSTEMS, INC.
This Purchase Agre ment ("Agreement") is entered into this 2-L�
day of C, , 1999, by and between Eagle County,
Colorado, a body politic and corporate, acting through its Board
of County Commissioners ("County") and Allwest Systems, Inc.
("Allwest").
RECITALS
The circumstances surrounding the making of this Agreement
are as follows:
A. County operates a justice center building which
includes the jail and courtrooms and judges' chambers. Within
the jail are control panels for operating various security
devices and giving alerts of certain conditions within the jail
and within the court facilities. County wants to replace the
control panels with technology that requires less maintenance and
is easier to learn and use;
B. Because the justice center operates all day, every day,
the control panel functions must be operable during the change
from the existing to the new panels;
C. Allwest is in the business of designing, and installing
control panels such as that used by the County;
D. Allwest has visited the County's justice center, has
familiarized itself with the existing control panels, system
wiring, and functions, and proposes their replacement;
E. The parties want to set forth in this Agreement the
terms and conditions by which Allwest will design and install a
new control panel.
TERMS AND CONDITIONS
THEREFORE, in consideration of the mutual promises contained
herein, the parties agree as follows:
1. PURCHASE AND SALE:
Allwest sells to County, and County buys, installed replacement
control panels consisting of five new ADI Membrane panels, with
associated wiring,[rest of line is blank]

Interface Control Board, control/interconnect equipment cabinet,
and disconnecting old wiring, and as more specifically set forth
in Allwest's proposal dated January 81 1999, and its further
clarification in paragraph 3 of Allwest's letter dated February
11, 1999, both of which are incorporated here as though set forth
in full (hereinafter, "System") .
2. DELIVERY:
Allwest will complete fully -operational installation of the
System not later than 12 to 14 weeks after receipt of approved
submittals from the County.
3. PAYMENT:
The total purchase price for the goods and services
identified in this Agreement is $47,750.00, installed. The
purchase price shall be paid as follows:
Against invoice upon delivery of the "Engineered
Submittal Package," $11,937.50;
Against invoice upon delivery to the County of the
complete equipment package (as defined in the Submittal
Package) to the project site, the cost of the equipment
plus overhead and profit, not to exceed 50% of the
total purchase price;
Against upon County's acceptance of project completion
and delivery of final As Built Drawings and Operation &
Maintenance Manuals, the balance.
4. WARRANTY
The System is warranted to be free from defects in materials
and workmanship for a period of three years from the date of
customer acceptance. Allwest will repair or replace, at its
expense, any part of the System upon evidence of failure
occurring during the warranty period. ALLWEST IS NOT RESPONSIBLE
FOR CONSEQUENTIAL DAMAGES.
5. GENERAL PROVISIONS:
5.1 County enters into this Agreement in reliance on the
special expertise of Allwest. Accordingly, neither party shall
assign, part with, delegate, convey or sublet this Agreement, or
any right or obligation pursuant to any part thereof, to any

third party without the prior written consent of the other, which
consent shall not be unreasonably withheld.
5.2 Notices may be given by one party to the other by
personal service, or by prepaid mail or prepaid delivery service

RE: CONTROL PANEL REPLACEMENT
Dear Paul,
Allwest Systems is pleased to offer the following Scope of Work and Proposal to replace the
control panels in your facility. Proposal includes Replacing live (5) existing AML control panels
with new ADI Membrane panels and installing one (1) new ADI graphic annunciator panel.
The reason for replacing the control panels are:
Existing control panels were constructed with contact switches and indicators that have a
higher than average failure rate, a high replacement cost and long lead times for replacement
parts. The high failure rate is resulting in excessive control panel down time. The facility
cannot afford for the control panels to be down as these control panels are the core of the
facilities security operations.
The new control panels will be constructed using highly reliable membrane switches which
have about four (4) times the life expectancy of the contact switches and cost about 75% less
than the contact switches when replacement are necessary.
2. The current control panel design requires multiple sequencing of SlMtching to perform a
single function and constant operator head movement from side to side to view and operate
the multiple control panels.
The new control panels will consolidate the intercom / judges duress panel into the master
control panel and graphic annunciator, reducing the left to right head movement and reaching
currently required by the control operator.
3. The new control panel switches and indicators will be configured on the control panels and
the sequence of operation of these devices will be programmed to be more conducive to the
control operation of a detention facility.
The new control panels will utilize the existing headend GE PLC control system and all other
existing systems support equipment.

The new control panels will be designed to tic into the existing system. 41hcre required because
of sequence of operation modifications, the Allwest Systems AS14CO-16 Interface Control
Board will be incorporated into the system, this' equipment is specifically designed to interface
all types of control panels with PLC and/or relay logic control systems.
As your facility must remain operational during the panel *replacemept, it is our intent to
approach the prolcct as follows:
1. Provide a complete engineered submittal package showing all indieatar and switch positions,
wiring terminations and sequence of operations. This package, will be reviewed by your
designated personnel and modified if necessary to meet your requircnients, and resubmitted
for your final approval. NOTE: You (the owner) have the final decision as to how the new
control panels are to be configured.
2. Install new wiring under the computer floor in parallel with the existing wrong to the control
panels. The wiring will be fabricated using multi -conductor connectors for quick connect
applications.
3. Install a new control/uitcrconncct equipment cabinet if requi.-ed. The actual need and
placement of this cabinet will be decided upon during the submittal stage.
4. Tnstall new control panels.
5. Disconnect all oldlexisting wiring nut used lmm equipment rack to dw old control panel
locations.
NOTE: It is Allwest Systems intent to use the existing wiring from ft booking control and
visitation panels. The Detention center maintenance personnel shall big responsible Car any
additional wiring if required and the installation of same for these two (2) panels.
All the new equipment will be constructed using quick connect style connpctors and fully factory
tested for proper operation prior to shipment and installation. This will make the replacement a
simple " plugin" operation and keep the facility down time to a minimum.
PROPOSAL: S 47,750.00

RE: Contract for the Control Panel replacements.
Dear Paul,
I have rdviewed the drab of the contract and the following items listed under the "TERMS AND
CONDITIONS" need to be addressed.
1. Paragraph No. 2 "Delivery". States that the project will be completed by July 1, 1999. As
there is a lot of on -site Pre -Engineering and testing that has to be done before Allwest
Systems can begin the submittal engineering and drawing process, and as the County needs
to approve the engineered submittal package prior to Allwest beginning production on the
panels. This paragraph needs to be obanged to "Installation to be complete and fully
operational within 12 to 14 weeks of receipt of approved submittals from the County".
2. Paragraph No. 3 "Payment". On this project Allwest Systems is providing "Architectural"
and `engineering" services to the County and Allwest Systems will incur expenses up -front
on, this project in the inspection of the existing systems, .e valuation, engineering and
preparation of the required submittal drawings. The following is a preferred and "industry
standard" method of payment for a project of this nature.
a. Upon delivery of the "Engineered Submittal Package" Allwest Systems will bill the
County Twenty five percent (25%) of the contract value.
b. Upon delivery of the "complete" equipment package (this equipment is defined by the
Submittal Package) to the project site, Allwest Systems will bill the County for the cost
of the equipment plus overhead and profit
nce c. The balaof the Contract will be billed upon project completion and acceptance by the
Owner and delivery of final As Built Drawings and Operation & Maintenance Manuals.
3. For clarification the following new Control Panels are included in the Allwest Systems
Proposal:
,, Control Panel 1: This new panel combines the existing Master Control Panel and the existing
Intercom/Monitoring panel into one panel that will be installed in the
existing control console where the current Master Control Panel is located.

Control Panel Z: This new panel will replace the existing Housing Module Alarm Panel and
be installed in the same location as the existing panel. This panel is located
in the overhead control console.
Control Panel 3: This new panel will be a Graphic Floor Plan Map of the facility with LED
indication depicting the relative location of specific security devices that are
controlled and monitored by the new Master Control Panel. This panel will
be installed in the overhead control console directly above the Master
Control Panel. .
Control Panel 4: This new panel will replace the existing Booking Control Panel and will be
installed in the same location as the existing panel.
Control panel S: This new panel will replace the existing Visitation Control Panel and will be
installed in the same location as the existing panel.
Thank you for the sty to review the contract prior to format issuance so that these issues
could be addressed up -front instead of later. I have nig with our operations department
personnel and have scheduled a time slot so that we can get started on the project right away.
We are looking forward to completing this project so that Allwest systems will have another
Colorado facility that we can (with your approval) invite other facility owners and operators to
visit and see first hand the high degree of quality work that Allwest Systems provides.
