FOURTH AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVICES
FOR GIS IMPLEMENTATION STUDY
THIS Amendment made and entered into this I I � day of January 1999 by and
between UGC Consulting (hereinafter "Contractor") and the Board of County Commissioners of
the County of Eagle, State of Colorado (hereinafter "County").
WHEREAS, the Board of County Commissioners of the County of Eagle, State of
Colorado entered into an Agreement for Professional Services dated December 30, 1996; and
WHEREAS, paragraph 4.g of the Agreement provided that additional services, if
required beyond the scope of work, shall be separately negotiated and agreed to by both the
County and Contractor. Such additional services are set forth in Exhibit "A."
WHEREAS, the Agreement required that all work shall be completed no later than May
30, 1997; and
WHEREAS, the First Amendment to the Agreement extended the completion date to
December 31, 1997 for adding project implementation planning services to the Scope of the
Work; and
WHEREAS, the Second Amendment to the Agreement extended the completion date to
December 31, 1998 for adding project organization and management, hardware/software
evaluation and vendor selection, detailed database design, and final data conversion specifications
and conversion vendor evaluation and selection; and
WHEREAS, the Third Amendment to the Agreement extended the completion date to
January 15, 1999 for adding pilot project implementation; and
WHEREAS, the parties want to add implementation of the first year of a multiyear
Geographic Information System implementation project; and
WHEREAS, the extension of completion date to December 31, 1999 is necessary for the
completion of additional services.
NOW THEREFORE, in consideration of their mutual promises herein, the parties agree:
A. The Agreement is amended in the following particulars:
1) The Scope of Work, paragraph 1 of the Agreement, is amended by adding
the services described in Exhibit "A," attached hereto and incorporated
herein by this reference.
2) The Time of Performance, paragraph 3 of the Agreement, is amended by
adding that the completion date for the Work described in Exhibit "A" is
December 31, 1999.
3) The Compensation and Payment, paragraph 4 of the Agreement, is amended
to add that the total fixed price labor fee for the Work specified in Exhibit

"A" is $545,755.00 and the expenses for that part of the Work are estimated
as $28,288.00, as more specifically set forth in Section 3 of Exhibit "A."
The expenses for the Work described in Exhibit "A" shall not exceed
$35,000 without the prior written approval of the County.
B. Paragraph 13.f of the Agreement is amended to read as follows:
131 The County has appropriated funds sufficient to pay the costs of those
items identified in Exhibit "A" to the original and all Amendments to the
Agreement which were to be completed during calendar 1999.
Notwithstanding anything to the contrary in this Agreement, the County
shall have no obligations under this Agreement for any work performed
or things delivered after December 31, 1999, except to the extent that an
appropriation has been made therefore in accordance with Colorado
government budget laws
C. The Agreement is amended, solely with respect to the work described in Exhibit
"A," attached hereto, described as Application/Interface Development under
Task 4:
1) Paragraph 8 of the Agreement is replaced by the following:
Ownership of Documents: Contractor shall be the owner of copyright of
other intellectual property rights to the Deliverable Products. Contractor
grants to County a perpetual, royalty -free license to reproduce and use
the Deliverable products for itself and for any community, inter-
governmental entity, or special district within Eagle County using the
County's GIS system. County agrees not to exhibit, distribute, or
otherwise disclose any proprietary software, methods, materials, or
deliverables to external third parties who are not licensed under this
Agreement without first obtaining written approval from Contractor.
2) Section 17 of the General Conditions is replaced by the following:
17. Contractor warrants and guarantees that title to work, materials,
and equipment covered by any application for payment whether
incorporated in the project or not, except as provided in
modifications to paragraph 8 of the Agreement, will pass to the
County at the time of payment free and clear of all liens, claims,
security interests, and encumbrances ( in these General
Conditions referred to as "Liens")
D. The Agreement is amended to renumber paragraph 2 as paragraph 2.a. and to add
paragraphs 2.b., 2.c., and 2.d., which read as follows:
2.b. Contractor warrants that for ninety (90) days after the date of installation,
all custom software provided by Contractor will perform substantially in
compliance with the documentation provided by Contractor and will
meet the requirements contemplated by Exhibit "A," if any, as
demonstrated by the successful completion of a mutually agreed upon
acceptance test.

2.c. Contractor warrants that with the exception of any configuration of third -
party software, the custom'software developed and delivered under this
Agreement will have the ability to process, manage, and manipulate data
involving dates prior to, during, and after the Year 2000, including Leap
Year calculations, without error relating to the date data, abnormal
endings, loss of functionality, or invalid or incorrect results. This
warranty is based solely on the method which Contractor's custom
software processes dates and is valid only if the Contractor's custom
software delivered under this Agreement is installed on an operating
system and platform which has been validated as Year 2000 compliant
by County. Contractor will provide letters from each third -party vendor
from which Contractor procures third -party software products indicating
the third -party software product's readiness to conform to Year 2000
date requirements. Contractor's liability under this Agreement is limited
solely to custom software, not including any configuration of third -party
software. Contractor shall not be liable with respect to configuration of
third -party software or Year 2000 compliance by third -party software,
and all such third -party software, as configured, is provided by
Contractor "AS IS." County shall look solely to the providers of such
third -party software for any representations and warranties and any
liability or indemnity relating to Year 2000 compliance. The Year 2000
warranty set forth above shall hereinafter be referred to as the "Year
2000 Warranty."
County assumes full responsibility and liability for validating that the
components of County's integrated information system are Year 2000
compliant. This liability includes but is not limited to:
- operating systems
- interfaces supplied and/or specified by County
- any third -party products or configured software, software
applications, or embedded processors which interface with the
Contractor's custom software.
County also assumes liability for validating that each component of the
County's integrated information system provides all date -related
interface functions and that all data fields include indications of century.
The Year 2000 Warranty set forth above shall begin as of the effective
date of this Agreement and end on the date the custom software has
operated without a breach of such Warranty for a consecutive twelve
(12) month period subsequent to January 1, 2000.
County agrees that it shall not modify the custom software in any way
which would affect the performance of the custom software in such a
manner as to cause it to fail to meet the Year 2000 Warranty set forth
above. There shall be no liability on the part of Contractor for any
failure of the custom software to conform to the Year 2000 Warranty to
the extent that any such failure is directly attributable to a modification
of the custom software by County.

In the event of any conflict or apparent conflict between the terms and
conditions of other Sections of this Agreement and the terms and
conditions of the Year 2000 Warranty, the terms and conditions of the
Year 2000 Warranty shall control.
The Year 2000 Warranty shall not be assigned by County without the
prior written consent of Contractor.
Year 2000 compliance warranties obtained by Contractor from third
parties providing third -party software will be assigned to County in the
related license agreements.
2.d. THE ABOVE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF
ALL OTHER WARRANTIES EXPRESS OR IMPLIED, INCLUDING,
BUT NOT BY WAY OF LIMITATION, ANY IMPLIED
WARRANTIES OF DESIGN, MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE OR ARISING FROM A COURSE
OF DEALING, USAGE OR TRADE PRACTICE. THE ABOVE
WARRANTIES APPLY ONLY WITH RESPECT TO THE, CUSTOM
SOFTWARE, THIRD -PARTY SOFTWARE DOCUMENTATION,
TECHNICAL INFORMATION, AND TECHNICAL ASSISTANCE
PROVIDED BY CONTRACTOR PURSUANT TO THIS
AGREEMENT.
E. All terms and conditions of the Agreement which are not hereby expressly
amended shall remain in full force and effect.

programmers record recommended changes to the data
model. Convergent Group will compile, review, and

development. Following approval by the County's Project
Team, Convergent Group will execute the approved

Convergent Group's Computer -Aided Software
Engineering (CASE) tool, Power Designer, and will include
actions, such as refining Oracle tables, attributes, legal
values, views, references, and indexes.

1.2 Install revised data model on County system
Convergent Group will generate database definition scripts
for the revised physical data model and subsequently
install the database on the County's system. The database
will also be tested to validate the accurate representation
of the data model and to verify that communications
channels are operating properly.
1.3 Migrate pilot data
The pilot project data must be migrated to the modified
database. Convergent Group will export the pilot Oracle
tables to a format that will facilitate efficient import into the
modified data model. Once this one-time migration is
complete, Convergent Group will test the database to
ensure that all pilot project functionality is restored.

In this task, Convergent Group will validate that all delivered data,
as defined in the conversion specifications, meets the acceptance
criteria developed with the County Project Team.

2.1 Modify conversion acceptance testing procedures
Based on the usage of acceptance testing procedures
developed for the pilot project, Convergent Group will
update the internal acceptance testing procedures to better
define quality control procedures for future data deliveries.
Procedures will address specifically what Quality Control
(QC) products will be provided by the conversion vendor
as deliverables and how the deliverables will be checked
on delivery. QC procedures will be documented in matrix
form, analyzing each converted database item and
identifying the appropriate manual, on -screen,
programmatic, or combination of methods to be used for
ensuring the quality of the delivered data.
2.2 QC landbase, cadastral, miscellaneous, and
orthophotography data
For each contracted data delivery, Convergent Group will
perform QC of the digital data in accordance with the
updated QC procedures and the acceptance criteria
detailed in the data conversion specifications. This process
will ensure the completeness and accuracy of the delivered
data relative to the conversion sources.
In general, quality checks will be performed on 100 percent
of all data for the initial deliveries, and then modified to
continue a 100 percent check on critical data and a
statistical sample of all other data. The purpose of the 100
percent checks during the conversion of initial deliveries is
to identify as many problem areas as possible, including
interpretation, requirement oversights, internal
communication, software development oversights, and
other general problems.
The goal of data acceptance testing is to achieve a high
level of confidence that the data meets the acceptance
criteria. Once trends in quality levels have been
established from the testing of 100 percent of initial
deliveries, statistical sampling will be implemented. The
sample plan uses single sampling plans for normal
inspection tables from Military Standard 105D, which
renders a 95 percent confidence level that all data has
been converted correctly.
2.3 Prepare QC test monitoring reports
Convergent Group will prepare a QC test monitoring report
for each future delivery of data from the conversion vendor.
These reports will quantify the QC error or discrepancy
rates, identify key quality issues, and include

The complexities and the time span of the data conversion
mandate that attention be focused on the data conversion process
to ensure that it is completed on budget and on time and to the
required specifications. The Eagle County data conversion project
will require attention to coordinating the activities of the conversion
vendor, the quality assurance staff, and the County scrub staff.
Conversion management includes developing schedules,
conducting technical question and answer sessions with the
conversion vendor, and coordinating data deliveries with other
system implementation milestones.
3.1 Develop detailed work plan
Convergent Group will work closely with the County and
the conversion vendor to develop a comprehensive
schedule and work plan for completing data conversion
according to the County's schedule. Controls will be
employed to communicate requirements and progress by
all participants.

3.2 Conduct data model review session
Convergent Group will conduct a one -half -day data
model review work session with the conversion vendor
technical staff. This work session is intended to verify
understanding of all components of the County's
enhanced physical data model, including the Oracle and
GIS components, and to minimize any potential problems
in data deliveries in the future.
3.3 Monitor project conversion
Throughout the conversion effort, Convergent Group will
monitor and evaluate the conversion vendor's data
deliveries to ensure compliance with the conversion
specifications. Convergent Group will use its data
conversion experience to help identify and resolve
conversion problems. Areas where problems may occur
include, but are not limited to, the following:
• Schedule performance
• Technical data delivery issues
• Technical conversion issues
• Source data and interpretation problems
• New data requirements
• Quality issues with converted data
• Problem/resolution identification and documentation
3.4 Conduct monthly status meetings
Convergent Group will brief the County Project Team
during regularly scheduled team meetings as to the status
of the conversion process. The briefings will address the
progress of the conversion vendor, problems encountered
during conversion, error levels measured from delivered
products, and any changes that may become necessary
during the course of the project.
3.5 Lead conversion problem tracking/resolution activities
Convergent Group will lead efforts to track and assist in the
resolution of problems as they are discovered during
project conversion. Problems that can be expected to
occur include missing source documents and improper
interpretation of source documents, as well as previously
unseen treatments of data that may require
communications with County staff and/or Convergent
Group technical staff. Convergent Group will be
responsible for contacting appropriate team staff to help

A GIS application is a software program that supplements the
inherent capabilities of the base system software. The basic GIS
software package can rarely perform customized procedures or
specialized analysis immediately "out of the box." A customized
interface, on the other hand, is an automated routine that provides
access to an existing information system. Through a customized
interface, a user has transparent access to information maintained
on separate systems.

4.1 Conduct application priority work session
Convergent Group will conduct a work session with the
County Project team to identify the applications to be
developed in 1999. The Requirements Definition Report
(June 1997) identified the following applications for
development in 1999:
• Enhance Standard and Custom Map Production
• Enhance Feature Placement and Record Maintenance

4.2 Develop application/interface functional specifications
The functional specifications will detail specific user
requirements for the applications and interfaces. The
information required for the document will come from the
existing Requirements Definition Report and additional
user input gathered during an on -site application/interface
definition workshop. User requirements are dissected into
system requirements, which are then further analyzed and
refined to a more suitable level for a preliminary design.
4.2.1 Develop draft functional specifications
Convergent Group will develop a draft functional
specifications document based on information in
the Requirements Definition Report,
hardware/software vendor capabilities, and
industry best practices.
4.2.2 Conduct initial applicationrnterface definition
workshop
Convergent Group will conduct a two-day
workshop with the County Project Team and GIS
users to review the draft functional specifications.
Each of the applications and interfaces listed for
1999 will be reviewed, and the definitions will be
further refined. The information gathered during
this workshop will be used to refine the draft
functional specifications document.

4.2.3 Research/analyze application and interface
requirements
Convergent Group will research and analyze the
County's requirements to determine what is
needed to achieve the desired results for the
applications and interfaces. This research will
include reviewing any external system technical
documentation, such as that for the AIMS, TIMS,
ADAPTS, and CRIS databases. The system
requirements will be analyzed, refined, and
further decomposed in preparation for the
preliminary design stage.
4.2.4 Finalize functional specifications
A-8
Convergent Group will finalize the functional
specifications based on the review workshop and
subsequent research and analysis of
application/interface requirements.
Convergent Group will provide a detailed budget
for developing each application. With a 1999
budgetary constraint on applications
development, the development of some
application requirements may be deferred to
2000. Convergent Group and the County Project
Team will finalize applications development
according to the budgetary figures. Convergent
Group will then begin applications design for the
County Project Team approved
applications/interfaces.
4.3 Design applications
The purpose of the design tasks is to determine the overall
architecture or structure of the 1999 applications to satisfy
the County's user requirements. Analysis and prototyping,
combined with user feedback sessions, are essential
components of Convergent Group's design stage.
The detailed design phase refines the functional
specifications to the level of detail necessary to verify that
all of the County's requirements are met and that the
applications can be developed and tested. All functions,
inputs, outputs, and constraints are defined.

4.3.1 Develop preliminary applications design
Convergent Group will refine the selected
requirements identified in the functional
specifications tasks into specific design
requirements. Convergent Group will develop a
preliminary application design that includes a
breakdown of the applications into program
modules, or functional component blocks.
Convergent Group will then determine the
development methodology for the modules and
the potential for reuse across the different
applications. In addition, Convergent Group will
develop Graphical User Interface (GUI) screen
prototypes for Eagle County feedback.
4.3.2 Conduct preliminary design review workshop
Convergent Group will conduct a one -day
workshop with the County Project Team to review
the preliminary applications design, discuss the
GUI screen prototypes, and clarify remaining
application design issues.
4.3.3 Refine applications design
Based on the results of the preliminary design
review workshop, Convergent Group will further
break the preliminary application design into
smaller component blocks, which will become
core software configuration items. These
low-level requirements will then be sufficient for
coding and testing.
4.3.4 Develop draft applications design specifications
Convergent Group will compile the requirements
developed throughout the applications design
process into a draft applications design
specifications. This draft will be provided to the
County Project Team for review.
4.3.5 Finalize design specifications
The final step prior to code development will be to
incorporate County design specifications
comments into the final detailed application
design specifications. Once finalized, Convergent
Group will begin applications development and
testing. The design specifications within this
document will predict the functionality to be
provided by these applications.

4.4 Develop 1999 applications
Convergent Group will develop the applications as defined
in the previous tasks. Convergent Group will use structured
applications development techniques, document the code,
inspect the code, and unit test the software prior to
delivery. Following the unit testing, the code will be entered
into Convergent Group's configuration management
software. Convergent Group will utilize in-house processes
and tools for source code management that will track such
items as new County requests, problem reports, and scope
changes.
4.5 Install applications software
Convergent Group will install all application/interface
software and will test for operability with the existing,
delivered data.
4.6 Conduct custom applications training
Convergent Group will provide applications end -user
training for each of the custom applications for the
appropriate personnel during a one -week training session.
This training will consist of guiding the users through
applications use and answering application use questions.
The training will focus on the operational use of the GIS
application in daily work activities.
The user application test scripts described in Subtask 4.7
will be used as a training guideline. These test scripts will
be provided to the County in electronic format so that they
may be modified for use in future training exercises.
4.7 Develop user application acceptance tests
Convergent Group will develop user application test scripts
for each of the custom -developed applications. The County
personnel trained in the use of the GIS will work through
each application script to test for compliance with the
functional requirements specification.
4.8 Assist with application acceptance testing
Convergent Group will monitor applications testing during a
two-day, on -site workshop. This workshop will be used to
ensure conformance to each application design. The user
application acceptance tests will be completed by the
County Project Team or other key users involved in the
project. Convergent Group will prepare an application
acceptance test summary report describing test results and
recommendations for acceptance, rejection, and future
development.

4.9 Resolve test script problems
Convergent Group will resolve specific problems identified
during the project application acceptance testing process.
The problems to be corrected will be limited to those that
apply directly to the application functional requirements
and design specification documents.
4.10 Document 1999 applications
Convergent Group will provide documentation to assist the

The detailed work breakdown structure, project schedule,
task relationships, and associated Convergent Group and
County resource responsibilities will be discussed with the
County Project Team. The resulting resource assignments
and schedule adjustments will be incorporated into the
project schedule and will be maintained over the course of
the project.

5.2 Provide systems administration support
It should be expected that as the system designs evolve
over the course of the project that some tuning of the
hardware/software system will be required. In addition to
Convergent Group's on -site presence, Convergent Group
will provide specialized expert telephone support, as
required, to support GIS implementation. It is estimated
that this level of effort will not exceed two man -weeks over
the course of 1999.
5.3 Provide ongoing project management
Convergent Group will provide general project oversight,
communicate with the County Project Manager, and
coordinate the teams involved with the development.
Convergent Group will provide monthly status reports that
will recount work completed for the preceding month, work
anticipated for the current month, and any open issues that
need to be addressed by the County. Convergent Group
will also issue and maintain a project schedule that reflects
current project status.
The County will be responsible for project coordination and
administration activities, including scheduling project
meetings, processing invoices, following up on open
issues, and managing ASI and County resources.
5.4 Conduct County Board and external organization
progress briefings
Convergent Group will support the County Project Team in
conducting briefings to the County Board members and
external organizations regarding the progress of the
project. These briefings will address schedule issues,
management and technical problems encountered, and
projections for continued progress.
