AGREEMENT FOR PROVISION OF
AIRPORT SCREENING CHECKPOINT SECURITY
IN THE EAGLE COUNTY AIRPORT TERMINAL
SPECIALIZED PROTECTIVE SERVICES, LLC
THIS AGREEMENT F+RR PROVISION OF SERVICES (the "Agreement") is made and
entered into this 1 Z day of `November, 2002 by and between the Eagle County Air Terminal
Corporation, a Colorado non-profit corporation, ("ECAT") and Specialized Protective Services, LLC
(hereinafter "Contractor").
FOR GOOD AND VALUABLE CONSIDERATION the parties agree as follows:
The purpose of this Agreement is to provide one security guard at the Eagle County Airport
terminal security checkpoint during the times in which the security checkpoint is open. This guard
will arrive at least fifteen minutes prior to its opening, remain at the checkpoint during the time it
is open, and be available in the Terminal until the last departing commercial flight is airborne for 15
minutes. This service is to be provided seven (7) days a week throughout the term of this contract
or as required by airline schedules.
1. TERM. This Agreement shall commence on November L, 2002 and shall end on
November J_Zf, 2003 unless earlier terminated as set forth herein. At the expiration of the initial
term, the Agreement may be extended for two (2) additional terms of one year with the express
written consent of both parties within thirty (30) days of term expiration unless earlier terminated
as set forth herein.
2. CONTRACT DOCUMENTS. The Agreement between these parties shall consist of this
Agreement, the "Scope of Work" (Exhibit A), and the submitted proposal (Exhibit B) all of which
are incorporated herein by this reference.
A. Contractor's Obligations. Contractor shall adhere to all items listed in
Scope of Work (Exhibit A).
B. Compensation and Expenses, Invoicin and nd Payment. ECAT shall pay the
Contractor for performance of services hereunder. Payment of invoices
submitted by Contractor is contingent upon completion of each task to the
satisfaction of ECAT. Invoices shall itemize specific work done to complete
the task, and include receipts for all reimbursable items. Within thirty (30)
days of receipt of an invoice and approval thereof as required hereunder,
payment shall be made by ECAT.
C. Cost for Services. Cost for services shall be $35.00 per hour. Contractor
will not exceed amount of three thousand one hundred and eighty-five
dollars ($3,185.00) per week without the written permission of ECAT's
representative. In the event the Contractor incurs time and expenses above
said amount without obtaining ECAT's written permission, ECAT shall not
be required to compensate Contractor for that additional time and expense.
Costs may be billed on a monthly basis and will be paid within thirty (30)
days of receipt of the invoice.
3. ECAT's EXCLUSIVE OWNERSHIP OF WORK PRODUCT. All work produced
pursuant to this Agreement becomes the property of ECAT, including, but not limited to, daily logs,
incident reports, and time records.
4. ECAT'S OBLIGATIONS. ECAT shall administer this Agreement through its
Representative. The Airport Manager or his designee will manage the project as ECAT's
representative. The services provided and products delivered by the Contractor under this
Agreement will be subject to review by ECAT's Representatives, or a designee, for compliance
herewith.
5. TERMINATION. ECAT will make periodic inspections to review the quality and
performance of the services performed by Contractor. If the work is deficient, ECAT shall notify
Contractor in writing of the specific deficiencies, which notice may be given in Contractor's log(s).
The Contractor shall have ten (10) working days to correct the work. If after such notice and
correction period Contractor fails, in the sole opinion of ECAT, to remedy the deficiencies, ECAT
shall have the right to immediately terminate this Agreement. ECAT shall not be liable for damages
caused by such termination.
ECAT is subject to an Airport Security Plan and to certain rules and regulations regarding
Airport security. Due to changes which may occur to rules, requirements, or regulations regarding
airport security, ECAT may terminate this Contract, in whole or in part, for its convenience upon
providing thirty days' written notice to the Contractor. Upon such a termination, ECAT shall be
liable for completed Work.
6. CUSTOMER SERVICE/TERMINATION. In rendering its services, Contractor shall
comply with the highest standards of customer service to the public. Contractor shall maintain a
close check over its employees to ensure the maintenance of these high standards of customer service
and professionalism, the performance of such obligation to be determined at the sole discretion of
ECAT. In the event that ECAT finds these standards of customer service are not being met by the
Contractor, ECAT may terminate this Contract, in whole or in part, upon providing thirty (30) days'
written notice to the Contractor.
7. AIRPORT SECURITY. As outlined above, the Airport Security Plan, security rules,
and regulations may change from time -to -time. Contractor and all of its employees and agents shall
at all times be responsible for knowing and for complying with plans, rules, and regulations as they
presently exist and as they may be modified and supplemented hereafter.
All persons who may work inside the Airport perimeter must submit to a Criminal History
Records Check (CHRC), fingerprinting, and successfully complete a ten year employment history
investigation to be performed by the Eagle County Airport Administration in conjunction with the
Eagle County Sheriff's Department pursuant to the requirements of the Transportation Security
Administration (TSA). Upon Airport's completion of the CHRC,fingerprinting, and acceptance of
the satisfactory ten year employment history investigation, each employee will undertake Secured
Identification Display Area (SIDA) training from Airport Administration and pass the Airport's
SIDA test. If issued security access media, employees must have access media clearly visible above
the waist at all times when working inside the Airport perimeter during commercial airline season.
All employees must wear identification badges from the Contractor, access media or other
airport badges, and a uniform which identifies them as employees of the Contractor. Contractor will
be responsible for collecting all issued access media, badges, and proximity cards upon the
termination of any of its employees. All SIDA badges and proximity cards must be returned at the
end of the commercial air service season or upon their expiration.
8. PARKING. Contractor's employees shall park in the parking areas for the Terminal
designated for Terminal employee parking.
9. INSURANCE. The Contractor shall secure and maintain for the term of its contractual
relationship with ECAT such insurance policies, from companies licensed in the State of Colorado,
as will protect itself, SCAT, and the County (with ECAT and the County named as additional
insured) and others as specified, from claims for bodily injuries, death, personal injury or property
damage, which may arise out of or result from the acts, errors or omissions of the Contractor, its
employees, or agents. The following insurance coverage, at or above the limits indicated and
including such endorsements as are indicated below are required:
(1) Statutory Workers' Compensation: Colorado statutory minimums
Commercial General Liability - ISO 1998 Form or equivalent
(Eagle County and SCAT Named Additionally Insured)
Each Occurrence Limit $1,000,000.00
General Aggregate Limit $2,000,000.00
Products/Completed Operations Aggregate Limit $2,000,000.00
Performance Bond $ 11,550.00
*General liability policy should be endorsed to provide aggregate limit on a per
location basis.

Copies of Certificates of Insurance in a form acceptable to ECAT shall be filed with
SCAT no later than ten (10) calendar days prior to commencement of operations affecting
ECAT. Failure to file or maintain acceptable Certificates of Insurance with ECAT is agreed
to be a material breach of any contract and grounds for rescission or termination. These
Certificates of Insurance shall contain a provision that coverage afforded under the policies
will not be canceled or materially altered unless at least thirty (30) calendar days prior
written notice by certified mail, return receipt requested (effective upon proper mailing),
has been sent to ECAT. For purposes of this provision, "materially altered" shall mean a
change affecting the coverage's required herein, including a change to policy limits as set
out in the then -current policy declarations page.
In addition, these Certificates of Insurance shall contain the following clauses:
(1) The insurance companies issuing the policy or policies hereunder shall have no
recourse against the County of Eagle or the Eagle County Air Terminal Corporation
for payment of any premiums or for assessments under any form of policy.
(2) Any and all deductibles in the above -described insurance policies shall be assumed
by and be for the amount of, and at the sole expense of the Contractor.
(3) Location of operations shall be: "all operations and locations at which work for the
referenced work is being done."
Certificates of Insurance for all renewal policies shall be delivered to ECAT' S
Representative at least fifteen (15) days prior to a policy's expiration date except for any
policy expiring on the expiration date of this Agreement or thereafter.
ECAT reserves the right to request and receive a copy of any policy and any policy
endorsement.
10. INDEMNIFICATION. Contractor hereby agrees to release and indemnify, save
harmless ECATand Eagle County, its officers, agents and employees from and against any and
all loss of or damage to property, or injuries to or death of any person or persons and shall defend
indemnify and save harmless ECAT and Eagle County, its officers, agents, and employees from
any and all claims, damages, suits, costs, expense, liability, actions, penalties or proceedings of
any kind or nature whatsoever, including worker's compensation claims, of or by anyone
whomsoever, in any way resulting from or arising out of, directly or indirectly, Contractors'
operations in connection herewith, or its use or occupancy of any portion of the Airport and
including acts or omissions of officers, employees, representatives, suppliers, invitees,
contractors, subcontractors, and agents of the Contractor; provided, that the Contractor need not
release, indemnify or save harmless ECAT, Eagle County, its officers, agents and employees
from damages resulting from the sole negligence of the County's and ECAT's officers, agents
and employees. The minimum insurance requirements prescribed herein shall not be deemed to
limit or define the obligations of Contractor hereunder.

11. REQUIRED CLAUSES.
A. Disadvantaged/Minority/Women Business Enterprises. Pursuant to local,
state and/or federal anti -discrimination and affirmative action programs,
contractor shall meet all applicable requirements with respect to
employment and subcontracting in connection with
Disadvantages/Minority/Women individuals and enterprises
(DME/MBE/WBE).
B. Discrimination. In connection with the execution and administration of this
Agreement, and any subcontracts, the Contractor shall not discriminate
against any employee or applicant for employment because of race, religion,
color, sex, national origin, age, handicap or status as a veteran.
C. Cooperation. In connection with the performance of this Agreement, the
Contractor will cooperate with the County and ECAT in meeting their
commitments and goals with regard to the maximum utilization of
disadvantaged, minority and women business enterprises and will use its
best -ffnrts to ensure that such business enterprises shall have the maximum
practicable opporturiiY *r-% compete for employment and/or subcontract
work, if any, under this Agreement.
D. Compliance. The Contractor will furnish all necessary information an:
reports and will permit access to its books, records, and accounts by Eagle
County or ECAT and their agents or employees for purpose of investigation
to ascertain compliance with the nondiscrimination/affirmative action
provisions of any resultant contract.
12. INDEPENDENT CONTRACTOR STATUS. Contractor, and any agent,
employee, or servant of Contractor shall be deemed to be an independent contractor and not an
employee, agent, or servant of ECAT or Eagle County.
Contractor is not required to offer services exclusively to ECAT under this Agreement.
Contractor may choose to work for other individuals or entities during the term of this
Agreement, provided that the basic services and deliverable products required under this
Agreement are submitted in the manner and on the schedule defined under this Agreement.
Contractor warrants that all work produced will conform to all applicable industry
standards of care, skill and diligence in the performance of Contractor's obligations under this
Agreement.
Contractor shall not attempt to oversee or supervise the work or actions of any ECAT or
Eagle County employee, servant or agent in the course of completing work under this
Agreement.
Contractor is not entitled to any Workers' Compensation benefits through ECAT or
Eagle County and is responsible for payment of any federal, state, FICA and other income taxes.
13. ASSIGNABILITY. This Agreement is not assignable by either party.
14. GOVERNING LAW AND JURISDICTION. This Agreement and all disputes
arising hereunder shall be governed by the internal laws of the State of Colorado and the parties
agree that venue and jurisdiction over any claim arising from this Agreement shall lie in the
courts of the Fifth Judicial District of Colorado. In the event of litigation, the prevailing party
shall be entitled to attorney's fees and costs.
15. SEVERABILITY. It is understood and agreed by and between the parties that if
any covenant, condition or provision contained in this Agreement is held to be invalid by any
court of competent jurisdiction, or otherwise appears to be invalid, such invalidity shall not affect
the validity of any other covenant, condition or provision herein contained; provided however,
that the invalidity of any such covenant, condition or provision does not materially prejudice
either party in its respective rights and obligations contained in the remaining valid covenants,
conditions and provisions of this Agreement.
16. ENTIRE AGREEMENT. This Agreement, together with all exhibits attached
hereto, constitutes the entire agreement between the parties hereto and all other representations or
statements heretofore made, verbal or written, are merged herein, and this Agreement may be
amended only in writing, and executed by duly authorized representatives of the parties hereto.
17. NOTICE. Any written notice required by this Agreement shall be deemed
delivered on the happening of any of the following: (1) hand delivery to the person at the address
below; (2) delivery by facsimile with confirmation of receipt to the fax number below; or (3)
within three (3) days of being sent certified first class mail, postage prepaid, return receipt
requested addressed as follows:

EXHIBIT A
SCOPE OF WORK
Provide one security guard at the airport security checkpoint 7 days a week, from fifteen (15)
minutes prior to check point opening until fifteen (15) minutes after the last commercial flight of
the day departs. The security company and individual guards will meet all applicable State of
Colorado private security licensing/certification standards. In addition, all persons who may
work inside the Airport perimeter must submit to a Criminal History Records Check (CHRC),

performed by the Eagle County Airport Administration in conjunction with the Eagle County

season The functions of the armed security guard at the security check point will be to:
A. Be stationed in the immediate vicinity of the checkpoint during all hours the checkpoint
is open.
B. Provide an armed deterrence to criminal activity.
C. Respond to situations where an individual is interfering with
activities of the screening checkpoint.
D. Request assistance from the Eagle County Sheriff's Office if a violation
of the law occurs.
E. When requested by an on -duty screener, assist in preventing prohibited items from
entering the sterile area.
F. Provide for the overall security of the screening checkpoint, screeners,
and passengers.
G. Take control of illegal items that are discovered at the checkpoint, such as firearms or
explosives, detain Individual(s) presenting such items, and immediately turn over such
items to the Eagle County Sheriff's Office.
H. Be an accountable witness to what transpires at the checkpoint during the
working day.

I have worked with Dave Meeker and Specialized Protective Services on 3 separate occasions
since the September 110,2001 crisis. I first requested Mr. Meeker to provide security patrols for the
airport terminal and curbside area soon after the crisis. His response was prompt and efficient.
Later in 20011 again called upon him to provide security, this time for the rental car ready lot.
There his employees conducted an efficient and successful automobile search program. Finally, in
mid summer of 2002 I hired Mr. Meeker, after very detailed competitive process, to provide
armed security guards at this airport's security check point This arrangement was made with the
full concurrence of the Transportation Security Administration; Mr. Meeker's company and
employees had to meet stringent guidelines for personnel hiring, training, appearance, conduct
and attitude.
Throughout these instances Mr. Meeker has been thoroughly responsive and professional. He
takes significant care in hiring his employees and they have reflected his professional standards.
At times his employees have encountered difficult persons and situations while working at this
airport; to my knowledge they have handled these incidents with professionalism and patience.
In summary, Mr. Meeker has done and continues to do an excellent job for this airport; I look
forward to working with him in the future.

Proposal to Provide Armed Security at the Eagle County Airport
September 19, 2002
I. INTRODUCTION
In response to a "Request for Proposals" from the Eagle County Airport, Specialized
Protective Services, LLC, is pleased to submit the following proposal to provide services for
airport security screening checkpoint security guard.
II. SCOPE OF WORK
A. Specialized Protective Services (SPS) agrees to provide one security guard at the Eagle
County airport security checkpoint seven (7) days a week, from thirty (30) minutes prior to check
point opening until 15 minutes after the last commercial flight of the day departs. This is
anticipated to be approximately thirteen (13) hours per day, billed at $35/hour. Any extra hours
of coverage requested by Eagle County will be provided and billed in quarter hour increments at
the standard hourly rate of $3 5/hour.
SPS will accommodate any needed changes in hours of operation as requested by Eagle
County.
There are no specific licensing requirements for private security companies in the state of
Colorado_ However, SPS guards will meet or exceed requirements in states that do have such
laws. Further, SPS guards also will be required to prove competency in less lethal weapons.
A copy of current SPS business license is in the Appendix. SPS will maintain all
applicable local, state and federal licenses and certifications.
B. SPS will provide the following functions:
• Station armed security guards in the immediate vicinity of the airport checkpoint during
all hours the checkpoint is open.
• Provide an armed presence with security guards to deter criminal activity.
Respond to situations where an individual is interfering with activities of the screening
checkpoint.
Request assistance from and assist the ECSO if a violation of the law occurs.
When requested by an on -duty screener, assist in preventing prohibited items from
entering the sterile area. Guards will be given familiarization training in the screening
process.

• Provide for the overall security of the screening checkpoint, screeners and passengers.
• Take control of illegal items that are discovered at the checkpoint, such as firearms,
explosives, and immediately turn over such items to the Eagle County Sheriffs Office.
• Be an accountable witness to what transpires at the checkpoint during the working day.
C. SPS is prepared to commence, and have armed security guards on duty at the airport, at
7:00 AM on October 12 2002 until the end of the contract on September 30, 2003.
D. SPS will bill at an hourly rate of $35 per hour, in quarter hour intervals. SPS will provide
detailed billing on or by the last working day of the month.
E. SPS is owned and operated by David E. Meeker, a 17-year resident of Colorado and an
I 1-year resident of Eagle County with a sterling local reputation and work history. I am
currently operating the services for airport security and screening checkpoint security at the
Aspen/Pitkin County Airport (since May, 2002) and I am also providing 24/7 armed guard
service at Ruedi reservoir since September 12, 2001 in Pitkin/Eagle County. We also work
closely with Eagle County Sheriffs Office. I have also successfully worked with local law
enforcement (Pitkin County Sheriffs Office, Aspen Police Department, and Snowmass Village
Police) in a wide variety of other security -sensitive events. My ability to provide services in
accordance with local norms has been praised by Sheriff Bob Braudis and by Director of Pitkin
County Airport Land -Side Operations Carrington Brown. I have also worked closely with the
State Department, Secret Service, FBI, US Marshals, US Department of Reclamation, multi-
national security forces (Saudi Arabian, British, and American), numerous Fortune 500 CEOs
and many high profile.private security clients.
SPS has many repeat clients -- testament to my ability to provide security services that
are of the highest quality of professionalism while fitting into the unique Western Slope scene.
I have a reputation for reliability, integrity, honesty, and professionalism. In short, I have
a track record of providing professional private security in a way that is sensitive to and
compatible with the Western Slope and resort communities' norms and expectations of citizens
and law enforcement agencies.

F. SPS takes pride in hiring guards who are experienced. All have either years of law
enforcement, military or private security experience. Customer service has always been a high
priority for SPS employees, most of whom have lived and worked in the Western Slope for years
and have proven records of public service that reflect the expectations of Eagle County, the
community and the Eagle County Sheriff's Office.
A list of guards who are now employed by or will be employed by SPS (if this proposal is
favorably received) will be provided upon request.

G. SPS security guards will be armed with sidearms and less lethal weapons (such as a
collapsible baton, mace/pepper spray or electronic stun device) that meet Eagle County Law
Enforcement criteria. Guards will meet or exceed standards outlined in "I" below.
Qualifications will be administered by a certified NRA firearms instructor. Section "I" below
requires lethal weapon training every 18 months and less lethal training every 24 months.
SPS will provide professional company uniforms, a badge and nametag for each guard.
Appropriate personal hygiene for all employees will be monitored by SPS supervisors, thus
assuring a neat appearance that meets community expectations. The Airport Security
Coordinator will have final approval on all standards of dress, equipment and appearance.
H. SPS acknowledges and understands the physical and mental demands put upon security
guards to maintain long hours of vigilance. The company therefore concurs with the requirement
that no security guard will work the checkpoint more than 14 consecutive hours in any one 24-
hour period. The company will have sufficient personnel to cover all shims and will have
contingency plans to cover any unanticipated unavailability of any guard (for example, sickness).
I. All guards will be required to pass firearms qualifications at a minimum of every 18
months and to pass less lethal weapon qualifications at a minimum of every 24 months.
J. SPS screens its employees very carefully and will gladly provide name, DOB and SSN
for each guard, prior to working the checkpoint, to Eagle County for a thorough criminal history
check. SPS agrees that any convictions for crimes of assault, violence or theft will be grounds to
preclude that particular individual from the position of security guard at the Eagle County
Airport and will also preclude him/her from any employment with SPS.
K. SPS understands that Eagle County reserves the right to have any security guard
immediately and permanently dismissed from the checkpoint for any reason.
L. Supervisors will be available by land -line, cell phone, radio and/or pager at all times a
guard is on duty at the checkpoint to answer any questions or concerns that may arise. This
supervisor will also be accessible to provide guidance on adherence to this scope of work and to
the policies and procedures required by Eagle County, the Transportation Security
Administration (TSA), and the Eagle County Air Terminal Corporation.
In the unlikely event that the security guard is unable to report for duty, the SPS
supervisor will immediately respond and cover the shift until such time as a replacement guard
can arrive. As SPS hires only responsible and well -screened individuals, this scenario is
unlikely. However, emergencies can happen; therefore the contingency plan for coverage will
provide as seamless coverage as possible.
M. SPS realizes that, by Federal law, normal operation of the Eagle County Airport can not
proceed without a security guard on duty at the checkpoint during hours of operation. SPS
understands that the Transportation Security Administration (TSA) representative will close the

checkpoint due to the absence of a security guard for any reason, and in that event Eagle County
may penalize SPS up to $2,000 per day. SPS further understands that if any fines are levied on
Eagle County by the TSA because of any incident involving failure of a guard to be on duty,
Eagle County will pass that fine to SPS.
N. SPS understands that that our employees will report to the Airport Security Coordinator
or Airport Manager for day-to-day activities. During emergencies or other situations requiring
additional assistance, the security guard on duty will contact the Eagle County Sheriffs Office
via radio (which the Airport will supply) or phone. The security guard will interact with the
Airport's TSA security representative on a daily basis.
O. SPS will commit to a continuing close working relationship with the Airport Security
Coordinator, the Airport Manager, the TSA and the Eagle County Sheriffs Office. SPS will
communicate on a routine and emergency basis via radio and/or by phone as required by contract
and dictated by situational common sense. Each SPS security guard on duty will interact in a
positive way, with a "team" mentality, with the airport's TSA security representative.
P. All SPS guards will receive training to familiarize them with checkpoint procedures,
including reading, understanding and initializing checkpoint policy and procedure documents
before his/her first shift at the airport. Further, SPS will foster a positive working relationship
with the security screeners at the checkpoint. SPS realizes that policies and procedures evolve
over time and will assure that guards will be educated in inevitable changes and amendments.
In short, SPS realizes that true airport security is a team effort among the TSA
representative, the Airport Security Coordinator, the checkpoint screeners, the Airport Security
Officers, the private security guards, the Sheriffs Office, airline employees and the traveling
public. SPS will make every effort not only to meet but also to exceed expectations regarding
its part in the security cooperative effort.
