HomeMy WebLinkAboutC02-118 Eagle Manore,0Z,—ll S- —t `) ASSIGNMENT OF CONTRACT DATED FEBRUARY 12, 2002 AND ANY AMENDMENTS THERETO BETWEEN EAGLE COUNTY, COLORADO AND EAGLE MANOR LIMITED PARTNERSHIP Dated: May 14, 2002 For good and valuable consideration, the receipt of which is hereby acknowledged Eagle County, a body corporate and politic, of 500 Broadway, Eagle, Eagle County, Colorado, as Assignor, does hereby transfer and assign to the Golden Eagle Elderly Housing Corporation, a Colorado non-profit corporation, of 500 Broadway, Eagle, Eagle County, Colorado, as Assignee, it heirs, legal representatives, and assigns, all rights and interest in the contract dated* February 12, 2002, and any amendments thereto, ("Contract") between Eagle Manor Limited Partnership, Seller, and Assignor, as Buyer, for the sale of the following described real estate, subject to the covenants, conditions, and payments contained in the Contract: Lot 1B, Golden Eagle Elderly Housing, a resubdivision of a resubdivision of Lot 1, Block 1, The Bull Pasture, according to the recorded plat thereof, recorded July 18, 1985, in Book 420 at page 259 as Reception No. 316528, as more particularly described on the attached Exhibit A and made a part hereof by reference thereto in the County of Eagle, Colorado and commonly known as 700 Broadway, Eagle, Colorado 81631. Eagle County hereby authorizes and empowers Assignee, on its performance of all the covenants, conditions and payments, as set forth in the contract, to demand and receive of Seller the deed covenanted to be given in the Contract assigned in the same manner and with the same effect as Eagle County could have done had this assignment not been made. Eagle County further assigns to the Golden Eagle Elderly Housing Corporation all other documents, papers and writings, including any applications submitted to the United States Department of Agriculture, associated with the purchase and sale of the above -referenced property. ACCEPTANCE BY ASSIGNEE Golden Eagle Elderly Housing Corporation, does hereby accept the above assignment of that Contract dated February 12, 2002 and any amendments thereto. Golden Eagle Elderly Housing Corporation agrees to perform all obligations to be performed by Assignor under that Contract, according to the terms and conditions stated in that Contract or any amendments thereto. Eagle Manor Limited Partnership agrees that any correspondence, documents, and writings or objections, received by it to date from Assignor will be treated as though they had been submitted by Assignee.
