FIRST AMENDMENT TO AGREEMENT BETWEEN
EAGLE COUNTY, COLORADO
AND
WALKING MOUNTAINS SCIENCE CENTER
THIS FIRST AMENDMENT (“First Amendment”) is effective as of _____________by and
between Walking Mountains Science Center, a Colorado nonprofit corporation (hereinafter
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 12th day of April, 2022
(C22-184), for certain Services (the “Original Agreement”); and
WHEREAS, the term of the Original Agreement expired on the 31st day of July, 2022 with the
ability to extend such term for up to 3 additional 1-year terms upon the written agreement of the
parties; and
WHEREAS, the parties desire to extend the term of the Original Agreement for an additional
year on the same terms and conditions as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to extend the term to the 31st day of July,
2023.
2. The Original Agreement shall be amended by the replacement in its entirety of
Exhibit A (Zero Waste Services Plan), with the Zero Waste Services Plan attached
hereto as Exhibit A1, and incorporated herein by reference.
3. The compensation for the Services to be performed at the 2023 Eagle County Fair and
Rodeo shall not exceed $11,677.00, as documented in Exhibit A1, for a total maximum
compensation under the Original Agreement and this First Amendment of $21,211.00.
4. Section 15 of the Original Agreement shall be deleted in its entirety.
5. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.

6. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
7. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

Walking Mountains Science Center (WMSC) provides education and outreach about recycling and
composting while supporting special events with their environmental sustainability initiatives. The
Walking Mountains Zero Waste program is available to special events in Eagle Valley on a contract service
basis. Each event is unique and requires pre-planning and coordination with event staff and vendors to
ensure success. Walking Mountains will provide expertise, coordination, trained staff, communication
materials for event organizers and vendors, and training to event staff and volunteers to ensure each
event is a sustainability success.
EVENT BRAND DEVELOPMENT THROUGH SUSTAINABILITY
Zero waste is an important aspect of sustainable events and can help to achieve the
following goals:
1.Reduce waste headed for landfill.
2.Reduce the event’s carbon footprint.
3.Educate and empower event participants to make changes toward more
sustainable practices.
4.Engage staff, vendors and volunteers in sustainable event practices.
5.Help “Green” the event image.
Walking Mountains Science Center encourages you to share your success and will
offer additional sustainability best practices and messaging for marketing/social
media as needed.
EVENT WASTE MANAGEMENT BY WALKING MOUNTAINS SCIENCE CENTER (WMSC)
-Educate and advise vendors on back of house compost and recycling operations, including proper sorting.
-Training and management of staff/volunteers during the event.
-Outreach and education to event participants.
-Manage venue waste disposal operations and communicate with waste haulers as needed.
-Oversee waste collection throughout the event.
-Reporting of waste totals and diversion numbers when possible.
VENDOR MANAGEMENT AND EXPECTATIONS
-The event organizer must require all vendors, including food & beverage vendors, vendors
operated by the event company, and any vendor or sponsor giving out disposable items or
serviceware, to adhere to the Zero Waste vendor guidelines.Event organizers must distribute
the Vendor Guidelines and collect signed forms to return to WMSC at least two weeks prior to the event
to give ample time to acquire proper items if needed.

-Vendor products and service ware will be verified by Walking Mountains Zero Waste staff, who will follow
up with vendors as needed to ensure all service ware at the event is zero waste compliant and divertible
according to your hauler’s rules.
-WMSC Staff will educate and advise vendors on proper sorting and waste management on-site.
-If vendors are not in compliance, there will be up to an additional 30% fee added to the
final invoice.This fee accounts for the additional staff time required to ensure that all waste
is sorted properly and is free of the contamination that comes with noncompliance and
non-divertible items being used on site. See fee details in the Description of Services for
more information.
REQUIRED EQUIPMENT/SERVICES TO BE PROVIDED BY EVENT
-Compost bags, black trash bags, clear or blue recycling bags, and cardboard event boxes (for back of
house vendor waste).
-Coordinate hauling and dumpsters/toters for trash, recycling, and compost.
VOLUNTEER/STAFF COORDINATION
-Support staff are needed for each date and are included in the Description of Services below. Having a
person (volunteer or staff person) at every Zero Waste station is crucial to the success of the event. It is
imperative that the recycling and composting streams are kept clean. If too much contamination occurs,
the entire load can be rejected and sent to the landfill.
-Having additional volunteers is welcome. Green Team volunteers are a great way to engage participants
and increase public education.
-Please note that our staff is onsite until all tasks are completed. Our proposed cost includes estimated
setup and breakdown time. The final invoice will be for actual staff time.

DESCRIPTION OF SERVICES – PROPOSED AMOUNT
Zero Waste Coordinator:
Includes pre-planning and coordination with hauler, guest education,
interaction with all supporting partners, best practices and troubleshooting
during the event, volunteer training, sorting of materials to eliminate
contamination & on-site management.
Approx. 66 hours (64 on-site + 2 pre-planning/coordination)

Support Staff:
Maintain on-site waste streams, ensuring that as much as possible is diverted
and compost and recycling streams are free of contamination. Provide waste
and sustainability education to event guests and vendors.

Noncompliance Fee:
***Waived if all vendors and event organizers follow vendor and
event guidelines.***
All vendors (including food & beverage vendors, vendors operated by the
event company, and any vendor or sponsor giving out disposable items or
serviceware) are required to abide by the vendor guidelines to prevent any
charges due to noncompliance. It is the responsibility of the event organizer to
communicate and share these guidelines with all vendors and connect with
Walking Mountains as needed. This fee will be 100% waived if all vendors are
in compliance, OR will be proportionately be waived due to the documented
amount of compliance at event (ex: if 8/10 vendors are compliant, 80% of this
fee will be taken off, and you will be required to pay the remaining 20% of the
fee). Utilize the compliance checklist attached to reference any forms of
noncompliance. If a noncompliance fee is charged, Walking Mountains will
provide an explanation including which vendors were found in noncompliance.
This fee accounts for the additional staff time required to ensure that all waste
is sorted properly and is free of the contamination that comes with
noncompliance and non-divertible items on site.
