CONCERNING EMERGENCY MEDICAL SERVICES IN EAGLE COUNTY; APPROVING AND ADOPTING REVISED BYLAWS, AUTHORIZING ACCEPTANCE OF EMS COUNTY SUBSIDY FUNDS, AND APPOINTING MEMBERS TO THE THE EAGLE COUNTY EMERGENCY MEDICAL SERVICES COUNCIL WHEREAS, the General Assembly of the State of Colorado enacted the Colorado Emergency Medical Services Act, C.R.S. § 25 -3.5 -101 et sue.; and WHEREAS, the Act requires that the Board of County Commissioners of each county adopt certain standards, requirements and procedures for providing emergency medical services within each county; and WHEREAS, the Act contemplates the existence of a county emergency medical services council; and WHEREAS, an Eagle County Emergency Medical Services Council was established by the Board of County Commissioners on April 16, 1981, with the subsequent adoption of Bylaws; and WHEREAS, the terms and conditions of this Resolution are intended to reaffirm Eagle County's commitment to and implementation of the General Assembly's declaration that it is in the public interest to provide available, coordinated, quality, sufficient and reliable emergency medical services to the state's residents. WHEREAS, the existence of an active and concerned Emergency Medical Services Council assists in the development of the emergency medical services system within the County and assists in the prevention of premature mortality and the reduction of the morbidity that arises from critical injuries, exposure to poisonous substances and illnesses. Support of an Emergency Medical Services Council by the Board of County Commissioners will also indirectly serve to facilitate tourism and economic development in the state and in Eagle County; and WHEREAS, the Board of County Commissioners of the County of Eagle, State of Colorado deem it in the best interest of the citizens of the County to adopt the following Resolution: NOW, THEREFORE, BE IT RESOLVED, by the Board of County Commissioners of the County of Eagle, State of Colorado, that in order to preserve the public health, safety and welfare, and in accordance with the law, the following shall, as of December 10, 1990, govern the existence of the Eagle County Emergency Medical Services Council. County Emergency Medical Services Council 1. The Board hereby reaffirms the creation of the County Emergency Medical Services Council. 2. The EMS Council is charged with the responsibility of advising the Board regarding standards for treatment, transportation, training of emergency medical services personnel, communications, documentation systems, appropriation of monies received from state of federal funds, and such other and further assistance as the Board deems necessary. 3. The Amended Bylaws of the EMS Council are hereby approved and adopted and the EMS Council is charged with carrying out the provisions set forth herein. (A copy of the Bylaws are attached hereto and incorporated by reference herein.) 4. The following persons shall comprise the newly appointed membership of the EMS Council, with future vacancies, additions and deletions to be approved in accordance with the Bylaws: Vail Valley Medical Center - Jane Brandes Eagle County - _-,ri M f'c tz e. The Chairman of the Board of County Commissioners is authorized and empowered to complete the state form in order to receive the EMS county subsidy funds, in the form as attached hereto. The Board finds, determines and declares that this Resolution is necessary for the public health, safety and welfare of the citizens of the County of Eagle, State of Colorado. Gustafson _e This Resolution passed by 9 vote of the Board of County Commissioners of the County of Eagle, State of Colorado. -3- EAGLE COUNTY EMERGENCY MEDICAL SERVICES COUNCIL BYLAWS ARTICLE I. ENABLING ACT Section 1: The Eagle County Emergency Medical Services Council ( "EMS Council ") was created by resolution of the Board of County Commissioners, County of Eagle, State of Colorado ('Board of County Commissioners "), pursuant to the Emergency Medical Services Act (C.R.S. 25 -3.5 -101 et seq.). Section 2: The purpose of the EMS Council is to monitor, advise, inform and give recommendations to the Board of County Commissioners concerning the availability, coordination and quality of emergency medical services to the people of Eagle County, Colorado, and to monitor the emergency medical system, which shall consist of treatment, transportation, communication, training and subsystems thereof, designed to prevent premature mortality and to reduce morbidity arising from critical injuries and illnesses. ARTICLE II. MEMBERSHIP Section 1: The EMS Council shall have nine (9) appointed members, nine (9) alternates, and nine (9) advisory members. Appointed members shall serve for a term of two (2) years, or until a replacement is appointed. Section 2: The Board of County Commissioners shall appoint the members of the EMS Council from the following representative categories: Vail Valley Medical Center Eagle County Eagle County Sheriff's Office Police Fire Western Eagle County Ambulance District Eagle County Emergency Services Hospital District Dispatch - Vail Dispatch - Eagle The EMS Council shall appoint advisory members from the following representative categories: Colorado Mountain College Medical Doctor Red Cross Search and Rescue Ski Patrol Civil Defense Eagle County Nurse Eagle County Attorney Airport Section 3: Alternates shall be designated by each representative category of emergency medical providers to represent the respective appointed representatives in the absence of the appointed member. Any alternate member may be an advisory member, but shall be from a different emergency medical provider than the appointed member, where possible. If the designated alternate member is not available, proxies may be used. Alternate members shall have no voting rights unless the appointed member is absent. Section 4: A representative of any newly created emergency medical service provider shall automatically become an advisory member of the EMS Council upon creation thereof. Section 5: Should an appointed member fail to attend three (3) successive regular meetings without being excused, that position shall be declared vacant and a new member appointed by the Board of County Commissioners. Section 6: Any vacancy of appointed members occurring on the EMS Council shall be filled by the Board of County Commissioners after recommendation from the EMS Council. Vacancies shall be filled within sixty (60) days after the occurrence of the vacancy. ARTICLE III. QUORUM A quorum shall be five (5) members. No business may be conducted unless a quorum is present. ARTICLE IV. VOTING Recommendations of the Council shall be based upon a majority vote of the appointed members voting. Each appointed member shall have one (1) vote. In the absence of the appointed member, the alternate shall have one vote. In the absence of both the appointed member and the designated alternate, a proxy shall be accepted by the Chairman for specific issues scheduled for action in the published agenda for that meeting. ARTICLE V. OFFICERS Section 1: Officers of the EMS Council shall be a Chairman, Vice - Chairman and Secretary. The Chairman and Vice - Chairman shall be appointed members of the EMS Council. Officers shall be elected at the first meeting of the calendar year. Officers shall be elected for a term of one (1) year, or until their replacements are elected. Section 2: The Chairman shall preside at all meetings of the EMS Council. Section 3: The Vice - Chairmen shall preside in the absence of the Chairman, and shall perform any other duties as shall be assigned by the Chairman or the EMS Council from time to time. -2- ,y Section 4: The Secretary shall keep the minutes of the meetings of the EMS Council, and shall supply all members (voting, alternates and advisory) and the Board of County Commissioners with a copy of the minutes within twenty -one (21) days of the meeting. The Secretary shall also supply all EMS Council members with an agenda for the next meeting at least seven (7) days prior to that meeting. In the absence of the Secretary, the Chairman may appoint a member to keep minutes. ARTICLE VI. MEETINGS Section 1: Meetings shall be on the first Thursday of every odd month from 9:00 a.m. to 11:00 a.m. The location of the meeting shall be announced in advance. Section 2: Special meetings may be called by the Chairman, at the request of two (2) or more members of the EMS Council, or at the request of the Board of County Commis- sioners. The Chairman shall notify all EMS Council members at least two (2) days prior to special meetings. ARTICLE VII. CONDUCT OF MEETINGS Section 1: All EMS Council meetings shall be called to order, conducted and adjourned by the Chairman. Section 2: Robert's Rules of Order and common courtesy shall guide the conduct of members at EMS Council meetings. Section 3: The Chairman may limit the time in which any speaker may have the floor to address the EMS Council. ARTICLE VIII. COMPENSATION EMS Council members shall not receive any compensation for their services on the EMS Council, but by resolution of the Board of County Commissioners, funds may be allocated for travel and related expenses. ARTICLE IX. AMENDMENT These Bylaws may be amended by a two- thirds (2 /3rds) majority vote of the entirety of the EMS Council appointed membership, provided that notice of the proposed amendment shall be made at the previous meeting, or shall be made in writing to all EMS Council members two (2) weeks prior to action on the proposed amendment. The amendment shall become effective upon approval of the Board of County Commissioners.
