AND
EAGLE COUNTY SCHOOL DISTRICT RE-50J
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of the______________, by and
between Eagle County School District RE-50J at Eagle Valley Elementary, Edwards Early Learning
Center, Brush Creek Elementary, Gypsum Elementary, Homestake Peak Elementary, Red Hill
Elementary, and Red Sandstone Elementary (hereinafter “Contractor”) and Eagle County, Colorado, a
body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Contractor entered into an agreement with an effective date of June 1, 2021, for
certain Services for compensation not to exceed $125,400 (the “Original Agreement" C21-270); and
WHEREAS, County and Contractor entered into a First Amendment with an effective date of December
20, 2021, for certain Services for compensation not to exceed $136,957 (the “First Amendment" C22-007);
and
WHEREAS, County and Contractor desire to continue Services as reflected in Exhibit A-1, compensate
the Contractor for 2022 and extend the term of the Agreement for this First Amendment.
WHEREAS, the term of the First Amendment expires on the 31st day of December, 2022, and the parties
desire to extend the term of the First Amendment for an additional year and revise the compensation on
the same terms and conditions as set forth in the Original Agreement.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth
below, the parties agree as follows:
1. The Original Agreement and the First Amendment shall be amended to extend the term to the
31st day of December, 2023.
2. The compensation for this term shall not exceed $142,357.
3. Capitalized terms in this Second Amendment will have the same meaning as in the First
Amendment and the Original Agreement. To the extent that the terms and provisions of the
Second Amendment conflict with, modify or supplement portions of the First Amendment
and the Original Agreement, the terms and provisions contained in this Second Amendment
shall govern and control the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this Second Amendment, all terms and
provisions of the First Amendment and the Original Agreement shall remain in full force and
effect, and are hereby ratified and confirmed in all respects as of the date hereof.
5. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

EXHIBIT A-1
CONTRACTOR SHALL PERFORM OR PROVIDE THE FOLLOWING SERVICES
1. SCOPE OF SERVICES
The purpose of this funding is to subsidize infant and toddler capacity and support the early childhood
workforce and Eagle County’s licensed child care providers.
Programs must be a licensed Family Child Care home or Child Care Center, based in Eagle County that
serves infants, toddlers, and/or preschoolers and are eligible to go through a Colorado Shines rating.
● Must be licensed and have an active CCCAP agreement to be eligible for funds this fiscal year.
● Must be a Level 2 or above in Colorado Shines
● If a program is on probation, the provider will work with DHS on additional requirements it will
need to fulfill in order to participate in this program.
● School aged programs and camps are not eligible.
Early childhood educators must be registered with the Colorado Shines Professional development
Information System.
2. COMPENSATION
Contractor (provider), who is a Colorado Shines Level 4, will be reimbursed as set forth in the Agreement in
an amount not to exceed $142,357, because it is licensed to provide care for 18 infants and toddlers at Eagle
Valley Elementary and it provides care for 36 infants and toddlers at Edwards Early Learning Center. The
contractor will only be paid for the infant/toddler licensed spaces. Once DHS approves the provider grant
application, 70% of the total funding will be released upon full execution of the County contract and initial
data entry completed on the provider sheet. The remaining 30% of funds will be distributed in November
2022 after second reporting is confirmed. Providers will also be required to submit final data entry by
January 31, 2023. Payments will be released as reporting requirements are met. Additional direction and
support will be provided as reporting deadlines approach.
Per the guidance provided in the 2022 grant application, Contractor has provided the County information on
additional funding required to provide the salary supplement as dictated in the grant agreement.
3. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY:
The provider must update its provider sheet 3 times during the fiscal year. A tutorial will be provided to help
navigate the updated tracking tool. Expenditure reporting will be required by June 1, 2022, November 1,
2022, and January 31, 2023. Providers will also actively participate and engage in the coaching process.
