EAGLE COUNTY, COLORADO
AND
COLORADO MOUNTAIN COLLEGE
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of _______________ by
and between Colorado Mountain College, a statutory local college district (hereinafter
“Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic
(hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement (C20-050) dated the 5th day of
February, 2020, for certain Services (the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
Services with compensation in an amount not to exceed $6000; and
WHEREAS, by a First Amendment (C21-424) dated the 7th day of December, 2021 the term of
the Original Agreement was extended to December 31, 2022; and
WHEREAS, the term of the First Amendment expires on the 31st day of December, 2022, and
the parties desire to extend the term for an additional year and have Consultant perform
additional Services for additional compensation as set forth below.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described in
Exhibit 1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$5,980.00 or a total maximum compensation for the year 2023 shall not exceed $8000.00
3. The term of the Original Agreement is hereby extended to the 31st day of December,
2023.
4. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second Amendment
conflict with, modify or supplement portions of the Original Agreement, the terms and
provisions contained in this Second Amendment shall govern and control the rights and
obligations of the parties.
5. Except as expressly altered, modified and changed in this Second Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are hereby
ratified and confirmed in all respects as of the date hereof.

6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement the day and year first above written.

Exhibit 1
Additional Scope of Service
A partnership between Colorado Mountain College and Eagle County Detention Facility has
been created to provide the Eagle County inmate population with educational opportunities
and study support while housed within the Eagle County Detention Facility. A tutor for the
General Educational Development (GED) test will be available to individuals who need
additional help to study for the test. Study sessions will be scheduled individually through
zoom or can be offered in person. The parties will mutually agree when tutoring sessions are
scheduled.
Roles and Responsibilities:
• Jail Volunteer & Program Coordinator will provide general oversight and direction.
The Coordinator will provide training on jail safety and security to instructor(s) before
they begin their first session, and offer support and guidance throughout their time
instructing in the jail. GED materials will be provided by the jail to the tutor before the
start of the first session.
• Colorado Mountain College Tutor will provide instruction and training to jail inmates on
their specific subject.
Fees
The County Representative and Contractor will agree upon number of sessions. Fees for
each class are to be negotiated and agreed upon in writing between the County Representative
and Contractor prior to the commencement of the class. As these sessions are ongoing
throughout the year, payment will be made on a quarterly basis. Payment in full will be made
within thirty (30) days of receipt of a proper and accurate invoice from the Contractor. Fees will
consist of a flat rate payment for each hourly session that will support the instructor’s payment
for their time. Number of hours will stay consistent, and payment will be made even if there are
no jail inmates scheduled or if jail inmates decline a session in which they were scheduled to
attend. If any changes are to be made they will be reviewed by the County Representative and
Contractor and agreed upon in writing by both parties. Rates for individual tutoring sessions and
time frame can be found below:
Hourly Rate - $57.50/hr.
Hours of tutoring in a week - 2 hours
Breakdown: two hours/week * 13 week/quarter * $57.50/hr. = $1495/quarter
