HomeMy WebLinkAboutC22-412 Hope Flores Childcare_third amendment THIRD AMENDMENT EAGLE COUNTY, COLORADO AND HOPE FLORES CHILDCARE THIS THIRD AMENDMENT (“Third Amendment”) is effective as of the______________, by and between Hope Flores Childcare, a Sole Proprietor (hereinafter “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Contractor entered into an agreement with an effective date of June 5, 2021, for certain Services for compensation not to exceed $7,200 (the “Original Agreement" C21-197); and WHEREAS, County and Contractor entered into a First Amendment with an effective date of December 21, 2021 for certain Services for compensation not to exceed $7,200 (the “First Amendment" C21-460); and WHEREAS, County and Contractor entered into a Second Amendment with an effective date of January 25, 2022 for certain Services for compensation not to exceed $4,000 (the “Second Amendment" C22-028); and WHEREAS, County and Contractor desire to continue Services as reflected in Exhibit A-1, increase the compensation for the Contractor for 2023 and extend the term of the Agreement for this Third Amendment. WHEREAS, the term of the Second Amendment expires on the 31st day of December, 2022, and the parties desire to extend the term of the Third Amendment for an additional year and revise the compensation on the same terms and conditions as set forth in the Original Agreement. THIRD AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement, the First Amendment and the Second Amendment shall be amended to extend the term to the 31 st day of December, 2023. 2. The compensation for this term shall not exceed $5,400. 3. Capitalized terms in this Third Amendment will have the same meaning as in the Second Amendment, First Amendment and the Original Agreement. To the extent that the terms and provisions of the Third Amendment conflict with, modify or supplement portions of the Second Amendment, First Amendment and the Original Agreement, the terms and provisions contained in this Third Amendment shall govern and control the rights and obligations of the parties. 4. Except as expressly altered, modified and changed in this Third Amendment, all terms and provisions of the Second Amendment, First Amendment and the Original Agreement shall DocuSign Envelope ID: F50B187C-9111-4442-995E-5D5A61256C59 12/21/2022 remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This Third Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. SCOPE OF SERVICES The purpose of this funding is to subsidize infant and toddler capacity and support the early childhood workforce and Eagle County’s licensed child care providers. Programs must be a licensed Family Child Care home or Child Care Center, based in Eagle County that serves infants, toddlers, and/or preschoolers and are eligible to go through a Colorado Shines rating. ● Must be licensed and have an active CCCAP agreement to be eligible for funds this fiscal year. ● Must be a Colorado Shines Level 2 or higher program. ● If a program is on probation, the provider will work with DHS on additional requirements it will need to fulfill in order to participate in this program. ● School aged programs and camps are not eligible. Early childhood educators must be registered with the Colorado Shines Professional development Information System. 2. COMPENSATION Contractor (provider), who is a Colorado Shines Level 2, will be reimbursed as set forth in the Agreement in an amount not to exceed $5,400, because it is licensed to provide care for 6 infants and toddlers. Once DHS approves the provider grant application, 70% of the total funding will be released upon full execution of the County contract and initial data entry completed on the provider sheet. The remaining 30% of funds will be distributed in November 2023 after second reporting is confirmed. Providers will also be required to submit final data entry by January 31, 2024. Payments will be released as reporting requirements are met. Additional direction and support will be provided as reporting deadlines approach. 3. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY: The provider must update its provider sheet 3 times during the fiscal year. A tutorial will be provided to help navigate the updated tracking tool. Expenditure reporting will be required by June 1, 2023, November 1, 2023, and January 31, 2024.
