BETWEEN EAGLE COUNTY, COLORADO
AND
VALLEY SETTLEMENT
THIS FIRST AMENDMENT (“First Amendment”) is effective as of the _____________________ by
and between Valley Settlement a Colorado nonprofit corporation (hereinafter “Contractor”) and Eagle
County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, the County, through its Department of Human Services (“DHS”) works to promote the
health, safety and welfare of County residents of all ages; and
WHEREAS, the County uses outside providers and professionals to enhance the ability of County to
promote such health, safety and welfare; and
WHEREAS, Contractor is authorized to do business in the State of Colorado and has the time, skill,
expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and
WHEREAS, County and Consultant entered into agreement C22-095 dated March 1, 2022 for certain
Services (the “Original Agreement”); and
WHEREAS, the term of the Original Agreement expires on the December 31, 2022 and the parties desire
to extend the term and services of the Original Agreement for an additional year.
WHEREAS, County and Contractor desire to continue Services as reflected in Exhibit A-1, compensate
the Contractor for 2023 and extend the term of the Agreement for this First Amendment.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth
below, the parties agree as follows:
1. The First Amendment shall be amended to include Services as described in Exhibit A-1,
which is attached hereto and incorporated herein by reference.
2. The term of the First Amendment is hereby extended to the 31st day of December, 2023.
3. The total compensation for 2023 shall not exceed $32,675.
4. Capitalized terms in this First Amendment will have the same meaning as in the First
Amendment. To the extent that the terms and provisions of the First Amendment conflict
with, modify or supplement portions of the First Amendment, the terms and provisions
contained in this First Amendment shall govern and control the rights and obligations of the
parties.

5. Except as expressly altered, modified and changed in this First Amendment, all terms and
provisions of the First Amendment shall remain in full force and effect, and are hereby
ratified and confirmed in all respects as of the date hereof.
6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

EXHIBIT A -1
SCOPE OF SERVICES, SCHEDULE, FEES
Eagle County is committed to supporting early childhood care and education to ensure that all children
develop a strong foundation for learning and life. The 2016 Eagle County Early Childhood Roadmap
launched a series of investments in strategies to create and sustain a comprehensive early care and
education system. Continuing this vision, Eagle County has identified key strategic priorities for the next
two years, including Supporting our Workforce through investments that "Support accessible, quality
early childhood care and education programming”.
For childcare and early learning to make a positive difference in child development and future educational
success, children should have access to quality programs which:
● Support children’s health and safety,
● Ensure staff are well-trained and effective,
● Provide a supportive learning environment that teaches children new skills,
● Help parents become partners in their child’s learning, and
● Demonstrate good leadership and business practices.
A healthy, supported workforce, adequate coaching supports, family engagement, child physical and
mental health services, shared services (lower stress, increased financial viability) all contribute to a
quality program, which means safer, more consistent support for children and families.
CONTRACTOR SHALL PERFORM OR PROVIDE THE FOLLOWING SERVICES
Services dedicated to improving the early childhood workforce and family engagement include:
● Recruit additional and support existing FFNs in Eagle County
● Conduct outreach to families served by FFN population
● Train, evaluate, and maintain enrollment of FFN population
● Conduct Learning with Love classes with infants and toddlers and parents in Basalt and El
Jebel
Services dedicated to improving access to and increase quality of early childhood services include:
● Recruit students for CDA
● Schedule CDA classes
● Conduct CDA classes for participants
● Increase the quality and access of FFN program to community
● Support optional 3rd year with FFN population with CDA course to increase education and
support with curriculum development of optional 3rd year program
● Busisito preschool classes in El Jebel
COMPENSATION
Contractor shall be compensated for performance of the Services as follows:
1. A total amount not to exceed $32,675
2. Compensation will be distributed as follows: 100% of funds will be distributed upon signed
contract

CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO
COUNTY
1. Mid-year check-in with early childhood DHS team
2. Submission of an annual report that describes how funding was utilized and any related outcomes
