HomeMy WebLinkAboutC22-400 Early Childhood Network_first amendmentFIRST AMENDMENT BETWEEN EAGLE COUNTY, COLORADO AND EARLY CHILDHOOD NETWORK THIS FIRST AMENDMENT (“First Amendment”) is effective as of the _______________ by and between Early Childhood Network, a Colorado nonprofit corporation (hereinafter “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, the County, through its Department of Human Services (“DHS”) works to promote the health, safety and welfare of County residents of all ages; and WHEREAS, the County uses outside providers and professionals to enhance the ability of County to promote such health, safety and welfare; and WHEREAS, Contractor is authorized to do business in the State of Colorado and has the time, skill, expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and WHEREAS, County and Consultant entered into agreement C22-069 dated February 22, 2022 for certain Services (the “Original Agreement”); and WHEREAS, the term of the Original Agreement expires on the December 31, 2022 and the parties desire to extend the term and services of the Original Agreement for an additional year. WHEREAS, County and Contractor desire to continue Services as reflected in Exhibit A-1, compensate the Contractor for 2023 and extend the term of the Agreement for this First Amendment. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The First Amendment shall be amended to include Services as described in Exhibit A-1, which is attached hereto and incorporated herein by reference. 2. The term of the First Amendment is hereby extended to the 31st day of December, 2023. 3. The total compensation for 2023 shall not exceed $72,890. 4. Capitalized terms in this First Amendment will have the same meaning as in the First Amendment. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the First Amendment, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the First Amendment shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. The 2016 Eagle County Early Childhood Roadmap launched a series of investments in strategies to create and sustain a comprehensive early care and education system. Continuing this vision, Eagle County has identified key strategic priorities for the next two years, including Supporting our Workforce through investments that "Support accessible, quality early childhood care and education programming. For childcare and early learning to make a positive difference in child development and future educational success, children should have access to quality programs which: ● Support children’s health and safety, ● Ensure staff are well-trained and effective, ● Provide a supportive learning environment that teaches children new skills, ● Help parents become partners in their child’s learning, and ● Demonstrate good leadership and business practices. A healthy, supported workforce, adequate coaching supports, family engagement, child physical and mental health services, shared services (lower stress, increased financial viability) all contribute to a quality program, which means safer, more consistent support for children and families. SCOPE OF SERVICES Early Childhood Network provides numerous services related to the strategic goal of “Increase number of licensed early childhood programs in Eagle County rated level 3 or higher on the Colorado Shines rating system from 18 out of 42 programs up to 22 out of 42 (or a total increase of level 3 or higher programs by 20%) by December 31, 2023”. Specific services that enhance quality and increase access may include but are not limited to: ● Increase coaching opportunities available to early childhood network ○ Assess professional development needs and provide resources accordingly ○ Utilize coaching tools that support the effectiveness of coaching, including but not limited to the LENA Grow program and closed-circuit cameras ○ Support early childhood educators by sharing information about community behavioral health resources that are free and easy to access ○ Ensure licensed providers receive the maximum allowable rates through CCAP ○ Support family engagement with providers ○ Increase in early childhood educator credential levels ○ Reduce the number of licensed providers who are rated at level 1 through CO Shines ○ Support Friends, Family, and Neighbor care in the Roaring Fork Valley through coaching and support services ○ Offer trainings to early childhood professionals and families ○ Offer local childcare referral support and funding navigation DocuSign Envelope ID: E326A5BF-943B-467E-9BB8-4B7A99A55E92 4 Eagle County HHS General Services Final 5/14 ○ Provide technical assistance, substitute, and additional services to support recruitment, retention and sustainability of programs Proposed activities may include but are not limited to: ● Increase in early childhood provider engagement in coaching ● Increase in coaching hours to programs and professional development opportunities for educators COMPENSATION Contractor shall be compensated for performance of the Services as follows: 1. $32,890 for coaching services at licensed child care providers in the Roaring Fork Valley and within (this dollar amount includes a 15% administrative fee, in the amount of $4,290, in recognition of the coach’s activities that result in effective coaching but take place outside of the classroom) 2. $40,000 for family engagement services 3. For a total amount not to exceed $72,890 4. Compensation will be distributed as follows: 50% of total compensation upon signature of contract, remaining 50% of compensation following mid-year check-in. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY 1. Coaching logs that describe coaching activities at early childhood providers will be made available to DHS as needed 2. Quarterly check-ins with early childhood DHS team 3.
